The law
#Transfer pricing is governed by Decree 255/2026/ND-CP of 30 June 2026. It replaced Decree 132/2020 and Decree 20/2025 from 1 July 2026 and applies from the 2026 corporate income tax period. Article 3 says a taxpayer must remove the tax-reducing effects of related party ties and price its transactions like independent parties would. Article 5 lists related parties, for example 25% capital links, a 10% largest shareholder link, loans of at least 25% of the borrower's equity that are over 50% of its medium and long term debt, shared management, family links, head office and branch links, and credit institutions with their subsidiaries. The general rules sit in the Law on Tax Administration 108/2025/QH15 (in force 1 July 2026), Decree 252/2026/ND-CP and Circular 89/2026/TT-BTC. The Corporate Income Tax Law 67/2025/QH15 (in force 1 October 2025) leaves caps on related party interest and head office charges to the Government.
Documentation
#Every taxpayer with related party transactions files Appendix I (related parties and transactions) with its corporate income tax finalization return. Appendices II and III are checklists of the local file (Hồ sơ quốc gia) and master file (Hồ sơ toàn cầu), also attached to the return (art. 18(2)(c)). The files must be prepared before the return is filed, kept, and handed to the tax office within 30 working days of a written request, with one extension of up to 15 working days (art. 18(3) and (4)). The exemptions in article 20 are: only transactions with other Vietnamese taxpayers at the same rate and with no incentives (no files and no Sections III and IV of Appendix I); revenue under VND 50bn and related party transactions under VND 30bn; an advance pricing agreement; or revenue under VND 500bn with no intangible asset income or cost and a net margin of at least 5% (distribution), 10% (manufacturing) or 15% (processing). The old 'simple functions' test and the VND 200bn limit are gone. Exempt taxpayers still file Appendix I.
Methods
#Substance beats form (art. 6). Comparables come first from the taxpayer's own independent deals, then Vietnamese companies, then regional companies, and data comes first from public sources, then commercial databases, then tax office data (art. 17). You need 1, 3 or 5 comparables depending on how many material differences can be removed (art. 7(3)). Where only most differences can be removed, at least 5 comparables are needed and the standard range runs from the 35th to the 75th percentile, not the OECD quartiles. A taxpayer outside the range adjusts to the most comparable value in the range, and the tax office adjusts to the median (art. 8). The methods are comparable uncontrolled price, resale price, cost plus, net margin and profit split (arts. 13 to 15), and interest is capped at 30% of net profit plus net interest and depreciation with a 5 year carry forward (art. 16(3)).
Penalties
#Fines under Law 108/2025 art. 44(3) are 10% or 20% of understated tax, and 1 to 3 times the tax for evasion. Late payment interest is 0.03% per day (art. 16(2)). The tax office can assess price, profit or tax when Appendix I is missing or wrong, or when the files are incomplete or not produced in time (Decree 255 art. 21(3)). Fines for procedural violations such as late returns are set in the penalty decree (Decree 125/2020 as amended). The limitation period is 2 years for procedural breaches and 5 years for underpayment and evasion. A fine for the same breach is twice as high for an organization as for an individual, except for underpayment and evasion.
Pillar Two
#Vietnam applies a qualified domestic minimum top-up tax (QDMTT) and an income inclusion rule (IIR) from financial years starting in 2024 under Resolution 107/2023/QH15, with no undertaxed profits rule. Decree 236/2025/ND-CP (in force 15 October 2025) sets the filing rules. One Vietnamese entity files and pays for the group: a group with more than one Vietnamese entity names it within 30 days of year end (form 01/TB-ĐVHT), and the filing entity registers once for a tax code within 90 days after its first reporting year. QDMTT returns and payment are due 12 months after year end, and IIR returns and the group information return are due 15 months after, or 18 months for the first year the group is in scope. A group that files abroad under an exchange agreement sends form 03/TB-ĐVHT instead. Transitional safe harbours and relief from penalties for late information or top-up returns apply to years starting on or before 31 December 2026.
Other rules
#The corporate income tax finalization return is due on the last day of the 3rd month after the accounting year end (Decree 252 art. 10(5)(a)). A due date on a rest day moves to the next working day (Decree 252 art. 3(7)). The only extension is for force majeure, up to 60 days for finalization returns (Law 108 art. 12(4)). The country-by-country report threshold is now EUR 750m (it was VND 18,000bn), and the report is due 12 months after the group's year end. Tax offices must not use the report to adjust prices (art. 21(1)(c)). Decree 255 also lets the tax office publish industry profit margins and run a voluntary compliance program (art. 21(10)).
Filings and deadlines
#| # | Filing | When | Who | Source |
|---|---|---|---|---|
| 1 | Notice of the filing constituent entity and list of entities (form 01/TB-ĐVHT) The group, or the entity it assigns, sends the notice within 30 days of the end of the financial year (Decree 236 art. 14(1)). Changes are due by the information return deadline for the year of the change (art. 14(2)). If the tax office names the filing entity, that entity must send form 01/TB-ĐVHT within 10 days of the office's notice (art. 15(4)). The date is not moved for rest days, because this is a notice and not a tax return. | 30 days after year end (e.g. Jan 30, 2026) | Groups with consolidated revenue of at least EUR 750m in at least two of the four preceding financial years and more than one constituent entity in Vietnam (Resolution 107 art. 2(1) and art. 6(3)(b)). A group with only one Vietnamese entity does not send it: that entity files itself (art. 6(3)(a)). | Decree 236/2025/ND-CP art. 14 and Resolution 107 art. 6(3) |
| 2 | Corporate income tax finalization return (Tờ khai quyết toán thuế TNDN) Due on the last day of the 3rd month after the end of the accounting year, for example 31 March 2027 for a 31 December 2026 year end (Decree 252 art. 10(5)(a)). If the last day is a rest day, it moves to the next working day (Decree 252 art. 3(7)). The only extension is for force majeure, up to 60 days (Law 108 art. 12(4)(a)). The tax is also due on the filing date. Quarterly provisional payments exist but are not tracked here. | 3 months after year end (e.g. Mar 31, 2026) | All companies subject to Vietnamese corporate income tax. The accounting year can be the calendar year or a registered financial year. | Decree 252/2026/ND-CP art. 3(7) and art. 10(5)(a) |
| 3 | Appendix I: related party relationships and transactions (Phụ lục I) Filed with the corporate income tax finalization return, so it has the same date (Decree 255 art. 18(2)(c) and art. 20). The first Appendix I under Decree 255 is for the 2026 tax period. The tax office can assess price, profit or tax if it is missing, incomplete or wrong (art. 21(3)(a)). | With Corporate income tax finalization return (Tờ khai quyết toán thuế TNDN) (e.g. Mar 31, 2026) | Every taxpayer with related party transactions. Taxpayers with only Vietnamese related parties at the same tax rate and no incentives fill only Sections I and II. | Decree 255/2026/ND-CP art. 18 and art. 20 |
| 4 | Local file (Hồ sơ quốc gia) and Appendix II checklist The file must be prepared before the finalization return is filed (art. 18(3)), and the Appendix II checklist goes with the return (art. 18(2)(c)). Give the full file to the tax office within 30 working days of a written request, with one extension of up to 15 working days (art. 18(4)). | With Corporate income tax finalization return (Tờ khai quyết toán thuế TNDN) (e.g. Mar 31, 2026) | Taxpayers with related party transactions that are not exempt under art. 20. Exempt: only Vietnamese related parties at the same rate with no incentives; revenue under VND 50bn and related party transactions under VND 30bn; an advance pricing agreement with annual reports (for the covered transactions); or revenue under VND 500bn with no intangible income or cost and a net margin of at least 5% (distribution), 10% (manufacturing) or 15% (processing). The tool shows it for everyone, so check the exemptions. | Decree 255/2026/ND-CP art. 18 and art. 20 |
| 5 | Master file (Hồ sơ toàn cầu) and Appendix III checklist Prepared before the finalization return is filed (art. 18(3)). The Appendix III checklist goes with the return (art. 18(2)(c)). Give the file to the tax office within 30 working days of a written request, with one extension of up to 15 working days (art. 18(4)). | With Corporate income tax finalization return (Tờ khai quyết toán thuế TNDN) (e.g. Mar 31, 2026) | Same taxpayers as the local file (not exempt under art. 20). The law sets no separate group revenue test for the master file. The tool shows it for everyone, so check the exemptions. | Decree 255/2026/ND-CP art. 18 and art. 20 |
| 6 | Country-by-country report (Báo cáo lợi nhuận liên quốc gia) Due no later than 12 months after the end of the ultimate parent's financial year (art. 19(3)). It is filed in encrypted XML through the tax management system (art. 19(4) and (5)). From the 2026 tax period the threshold is EUR 750m, converted at the State Bank rate for December of the year before the reporting year (art. 19(6)). For earlier years Decree 132/2020 applied, with the same 12 month deadline but a threshold of VND 18,000bn of global consolidated revenue in the tax period (art. 18(5)(a)), which is lower than EUR 750m, so check those years by hand. The date is not moved for rest days. | 12 months after year end (e.g. Dec 31, 2026) | A Vietnamese ultimate parent with global consolidated revenue of at least EUR 750m in the year before the reporting year. A Vietnamese subsidiary files only in the cases in art. 19(2), for example when the parent has no filing duty or no exchange agreement applies. | Decree 255/2026/ND-CP art. 19 (and Decree 132/2020/ND-CP art. 18(5) for earlier years) |
| 7 | QDMTT information return, top-up tax return and payment (01/TKTT-QDMTT, 01/TNDN-QDMTT, 01/TM) Due, with payment, no later than 12 months after the end of the financial year (Resolution 107 art. 6(1)). There is no longer first year period for QDMTT. Filed electronically by the filing entity. Late payment interest is 0.03% per day. Transitional safe harbours apply, and there is no penalty for wrong or late information and top-up returns during the transition (art. 6(6)). A due date on a rest day moves to the next working day (Decree 252 art. 3(7)). | 12 months after year end (e.g. Dec 31, 2026) | Entities of multinational groups with consolidated revenue of at least EUR 750m in at least two of the four preceding financial years, with a constituent entity in Vietnam (Resolution 107 art. 2(1)). | Resolution 107/2023/QH15 art. 6(1) and Decree 236/2025/ND-CP art. 16 |
| 8 | GloBE information return, group part (Tờ khai thông tin) and notice 03/TB-ĐVHT The group part of the QDMTT filing (art. 16(1)(a.4)) and the notice of a filing abroad (form 03/TB-ĐVHT, art. 16(2)) are due 15 months after year end, or 18 months for the first year in which any constituent entity of the group is subject to the rules (Decree 236 art. 16(5)). That is the group's first year under Resolution 107, which for most groups is the 2024 year. A group that files its information return abroad under a competent authority agreement does not file it in Vietnam. A due date on a rest day moves to the next working day. | 15 months after year end (e.g. Mar 31, 2027) | Entities of multinational groups with consolidated revenue of at least EUR 750m in at least two of the four preceding financial years, with a constituent entity in Vietnam (Resolution 107 art. 2(1)). | Decree 236/2025/ND-CP art. 16(5) |
| 9 | IIR information return, top-up tax return and payment (01/TKTT-IIR, 01/TNDN-IIR, 01/TM) Due, with payment, 18 months after year end for the first year the group is subject to the rules and 15 months after for later years (Resolution 107 art. 6(2)). The IIR filing includes the consolidated financial statements and entity data. Late payment interest is 0.03% per day. A due date on a rest day moves to the next working day. | 15 months after year end (e.g. Mar 31, 2027) | Vietnamese ultimate, partially owned or intermediate parents that own low taxed entities abroad, in groups with consolidated revenue of at least EUR 750m in at least two of the four preceding financial years. | Resolution 107/2023/QH15 art. 6(2) and Decree 236/2025/ND-CP art. 16 |
| 10 | CbC report notice (Thông báo, form 01/TB-BCLN) Filed once, when the duty first arises under Decree 255, no later than the last day of the ultimate parent's financial year for the reporting year (art. 19(2)(d)). The tool shows it for the first year end on or after 1 July 2026, when the decree took effect (for example 31 December 2026). A group that comes into scope later files it for its own first year. Changes, including the end of the duty, must be notified within 90 days. It is filed through the tax management system. The date is the year end itself, so it is not moved for rest days. | Starts with years ending on or after 2026-07-01 | A Vietnamese entity of a group with consolidated revenue of at least EUR 750m in the year before the reporting year, where the ultimate parent files abroad or a Vietnamese entity is the surrogate filer. | Decree 255/2026/ND-CP art. 19(2)(d) |
| 11 | Tax registration of the filing constituent entity (form 01-ĐKTĐ-ĐVHT) One time. The filing entity registers within 90 days after the end of its first reporting financial year and gets a 10 digit tax code (Decree 236 art. 15(6)). For a 2024 financial year ending on or before 30 June 2025, the period is 90 days from 15 October 2025 (13 January 2026), but not later than the group's filing and payment deadline (art. 15(6)): the tool shows 13 January 2026 for year ends from January to June 2025, and 31 December 2025 (the QDMTT deadline) for a 31 December 2024 year end. The tool shows it only for the 2024 year; a group that comes into scope later registers within 90 days after its own first year. Changes are due within 10 working days (art. 15(8)). A registration is not a tax return or payment, so the date is not moved for rest days. | One-time: due only for the first year in scope | Entities of multinational groups with consolidated revenue of at least EUR 750m in at least two of the four preceding financial years, with a constituent entity in Vietnam (Resolution 107 art. 2(1)). | Decree 236/2025/ND-CP art. 15 |
| 12 | Amended returns and change notices A filing entity that finds errors in current or earlier top-up returns files an amended return under the tax administration law (Decree 236 art. 16(6)), within 5 years (Law 108 art. 12(5)). A change of the filing entity must be notified within 10 days of the event (Resolution 107 art. 6(3)(c)), and a change in group details on the registration form within 10 working days (Decree 236 art. 15(8)). | See note | Entities of multinational groups with consolidated revenue of at least EUR 750m in at least two of the four preceding financial years, with a constituent entity in Vietnam (Resolution 107 art. 2(1)). | Decree 236/2025/ND-CP art. 15 and art. 16 |
