The law
#Brazil moved to arm's length rules based on the OECD standard with Law 14,596/2023, which applies from 1 January 2024. Taxpayers could opt in from 1 January 2023 by filing an irrevocable option between 1 September and 31 December 2023 (Law art. 45, IN RFB 2,161/2023 art. 69). The Law covers corporate income tax (IRPJ) and the social contribution on net profit (CSLL). It replaced the old fixed-margin rules of Law 9,430/1996. Related parties are broadly defined (art. 4), for example control, 25% of profits, or 20% common ownership. The tax office can ignore or replace a transaction that unrelated parties would not have done (art. 8). IN RFB 2,161/2023 is the main regulation and treats the OECD Guidelines 2022 as a secondary source (art. 1 para. 4). The rules also reach any transaction with a tax haven or a privileged tax regime entity, even if it is not related (Law 9,430/1996 arts. 24 and 24-A).
Documentation
#A company with controlled transactions of R$ 15m or more in the prior year must file a Global File (master file) and a Local File through an e-CAC digital process (IN 2,161 arts. 56 and 57). A full Local File is needed at R$ 500m or more, and a short one from R$ 15m to below R$ 500m. Below R$ 15m both are waived. The deadline is 3 months after the ECF deadline. With the ECF due 31 July, that is 31 October, moved to the next working day when it falls on a weekend or national holiday (CTN art. 210), so 3 November 2026 for 2025. For 2024 only, the date was the last business day of 2025. Part of the transfer pricing data is also filed in the ECF, per the ECF layout manual (art. 56 para. 1). Supporting documents must be kept up to date and given to the tax office on request (art. 62). A Global File in English or Spanish, and some Local File attachments and supporting documents in those languages, need a Portuguese translation only if the tax office asks (arts. 58, 59 and 62). Controlled commodity import and export contracts must also be registered in the e-CAC by the 10th day of the month after the contract (art. 64).
Methods
#The Law lists five methods: comparable independent price (PIC), resale price less profit (PRL), cost plus profit (MCL), transactional net margin (MLT) and profit split (MDL). A sixth, other methods, is allowed if the result matches what unrelated parties would reach (Law art. 11). The most appropriate method is chosen. PIC is preferred when reliable price data exists, and it is also the lead method for commodities. If the result is outside the range, the adjustment is to the median. The range is the interquartile range if comparability is uncertain, and the full range if comparables are equally good (art. 16). A tested party, the delineation of the transaction and a comparability analysis come first (arts. 6 to 9, 15). IN 2,161 art. 53 gives an optional 5% markup for low value-added services.
Penalties
#Late Global or Local File: 0.2% of the company's gross revenue per month or part month. Filed but not meeting the filing rules: 3% of gross revenue. Wrong, incomplete or missing data in the Global File: 0.2% of the group's prior year revenue. Missing data requested in an audit: 5% of the transaction value. Every fine has a floor of R$ 20,000 and a cap of R$ 5,000,000 (Law art. 35, IN art. 66). If the tax office disagrees, the company can often correct the ECF and DCTF within 30 days without a penalty, if it was cooperative and acted in good faith (Law art. 36, IN art. 67). Late filing of the ECF carries separate fines under Decree-Law 1,598/1977 art. 8-A and Law 8,218/1991 art. 12.
Pillar Two
#Brazil applies only a qualified domestic minimum top-up tax, called the Additional CSLL (Law 15,079/2024, IN RFB 2,228/2024). It applies from 1 January 2025 to groups with consolidated revenue of at least EUR 750m in two of the four prior years. It tops up Brazilian profits to an effective rate of 15%. The tax is paid by the last business day of the seventh month after the year end, so 31 July 2026 for a 2025 calendar year (DARF code 1809). The amount is also reported in the DCTFWeb for the sixth month, due the last business day of the next month, which is the same date. A separate information return has not been issued yet. For the first year it will not be due before the 18th month after year end, so not before 30 June 2027 for 2025. No Brazilian IIR or UTPR was found. Law 15,079 art. 40 only asked the government to propose an IIR and a CFC regime.
Other rules
#The ECF (Escrituração Contábil Fiscal) is the annual income tax return for companies on real, presumed or arbitrated profit. It is due by the last business day of July of the next year (IN RFB 2,004/2021 art. 3), and the Simples Nacional, inactive companies and public bodies are exempt. The Country-by-Country report and the notice of who the reporting entity is are both made inside the ECF, so they share its deadline (IN RFB 1,681/2016 arts. 5 to 7). The CbC threshold is R$ 2.26bn for a Brazilian parent and EUR 750m for a foreign parent. The Receita may set up a consultation process on the method for future controlled transactions, with a fee of R$ 80,000 and a validity of 4 years plus 2 more (Law art. 38). The tax office must implement results agreed in a mutual agreement procedure (art. 39). Interest paid to related parties abroad is limited by a 2 to 1 debt to equity test (Law 12,249/2010 art. 24). Under CTN art. 210, a deadline set by tax law falls on a normal working day, so a deadline on a weekend or national holiday moves to the next one. The ECF and Pillar Two deadlines are already set to a business day and do not move.
Filings and deadlines
#| # | Filing | When | Who | Source |
|---|---|---|---|---|
| 1 | Fiscal Accounting Bookkeeping (Escrituração Contábil Fiscal, ECF), the annual IRPJ and CSLL return Sent to Sped by 23:59:59 Brasilia time on the last business day of July after the calendar year (art. 3 and 3 para. 4). The rule counts back from 31 July to a working day, so it can move earlier but never later: 31 July 2026 for 2025, 30 July 2027 for 2026. Special dates apply on merger, split or wind-up (art. 3 para. 2). Late or wrong filing brings fines under Decree-Law 1,598/1977 art. 8-A (real profit) or Law 8,218/1991 art. 12 (others). | Last business day of July of the next year (e.g. Jul 31, 2026) | All legal entities taxed on real, presumed or arbitrated profit, filed by the head office for all branches. Simples Nacional companies, public bodies and entities inactive for the whole year are exempt (IN RFB 2,004/2021 art. 1). | IN RFB 2,004/2021 art. 3 (Receita Federal normas) |
| 2 | Transfer pricing data inside the ECF (Bloco X) Part of the information in arts. 59 and 60 of IN 2,161 is also filed in the ECF, following the ECF layout manual published by ADE Cofis (IN 2,161 art. 56 para. 1). It is filed with the ECF, so it shares the ECF deadline. This is separate from the Global and Local Files, which are filed later. The ECF layout 12 manual was not read, so the exact records are not listed here. | With Fiscal Accounting Bookkeeping (Escrituração Contábil Fiscal, ECF), the annual IRPJ and CSLL return (e.g. Jul 31, 2026) | Any company with controlled transactions or transactions with tax havens or privileged tax regimes that files the ECF. No value threshold was found for this part. | IN RFB 2,161/2023 art. 56 (Receita Federal normas) |
| 3 | Notice of the CbC reporting entity (made in the ECF) Each Brazilian entity must say in the ECF whether it is the ultimate parent, the surrogate entity, or name the reporting entity and its country (art. 7). Without it the ECF cannot be sent (art. 8). It is filed with the ECF, so the deadline is the same. | With Fiscal Accounting Bookkeeping (Escrituração Contábil Fiscal, ECF), the annual IRPJ and CSLL return (e.g. Jul 31, 2026) | Every Brazilian entity of a group above the CbC threshold: R$ 2.26bn if the ultimate parent is Brazilian, EUR 750m if it is foreign (IN RFB 1,681/2016 art. 4). The tool uses EUR 750m for every group. | IN RFB 1,681/2016 art. 7 and 8 (Receita Federal normas) |
| 4 | Country-by-Country Declaration (Declaração País-a-País, in the ECF) Filed inside the ECF, so it is due with the ECF, by the last business day of July after the year (arts. 5 and 6). For a 2025 year it is 31 July 2026, much sooner than the usual 12 months. It follows the ECF layout manual. Late filing is fined 0.2% of gross revenue per month, 3% if the filing rules are not met, and 0.2% of group revenue for wrong data, with a floor of R$ 20,000 and a cap of R$ 5m (IN 1,681 art. 11). | With Fiscal Accounting Bookkeeping (Escrituração Contábil Fiscal, ECF), the annual IRPJ and CSLL return (e.g. Jul 31, 2026) | A Brazilian ultimate parent with group revenue of R$ 2.26bn or more in the prior year. A Brazilian entity of a foreign group files if the parent's country has no filing rule, has no exchange with Brazil, or has had a systemic failure (IN RFB 1,681/2016 art. 3 and 4). The tool uses EUR 750m for every group. | IN RFB 1,681/2016 art. 3 to 6 (Receita Federal normas) |
| 5 | Additional CSLL (QDMTT): payment by DARF code 1809 Paid by the last business day of the seventh month after the fiscal year end: 31 July 2026 for 2025 and 30 July 2027 for 2026 (Law art. 33, IN 2,228 art. 73). Payment can be by each entity (DARF 1809-01) or by one entity for all (1809-02). Only calendar fiscal years are modelled, but the law also covers other fiscal years, for example a 31 March 2026 year end is due 30 October 2026. The tax starts with fiscal years from 1 January 2025. | Last business day of the seventh month after the year end (e.g. Jul 31, 2026) | Constituent entities in Brazil of a group with consolidated revenue of at least EUR 750m in at least two of the four prior fiscal years (Law 15,079 art. 4). | Receita Federal, Adicional da CSLL (gov.br) |
| 6 | Additional CSLL: report in the DCTFWeb The amount due is reported in the DCTFWeb for the sixth month after the fiscal year end, which is due by the last business day of the next month, the same day as payment (IN 2,228 art. 73 para. 4, added by IN 2,319/2026). For a 2025 calendar year that is the June 2026 period, due 31 July 2026. The Receita notice of 8 July 2026 confirms the June 2026 period and the 31 July 2026 date. The tax is treated as not paid if it is disputed (Law art. 36). | With Additional CSLL (QDMTT): payment by DARF code 1809 (e.g. Jul 31, 2026) | Same as the Additional CSLL payment: groups with consolidated revenue of at least EUR 750m in two of the four prior years. | Receita Federal news, 8 July 2026 (gov.br) |
| 7 | Global File (Arquivo Global), the master file Filed as a digital process in the e-CAC, one process per calendar year, within 3 months after the ECF deadline (IN 2,161 art. 56). Counted from the ECF date, that is 31 October (30 October in 2027). Under CTN art. 210 a deadline that ends on a weekend or national holiday moves to the next working day: Saturday 31 October 2026 and holiday Monday 2 November give Tuesday 3 November 2026 for 2025, and Saturday 30 October 2027 gives Monday 1 November 2027 for 2026. No Receita page confirms the move, so filing by Friday 30 October 2026 is the safe choice. Late filing is fined at 0.2% of gross revenue per month, and wrong data at 0.2% of the group's prior year revenue, with a floor of R$ 20,000 and a cap of R$ 5m (art. 66). It may be in English or Spanish, with a Portuguese translation only if the tax office asks (art. 58 para. 1). | 3 months after the ECF deadline, moved to the next working day if needed (31 December 2025 for 2024, a one-time rule) (e.g. Nov 3, 2026) (moved from Oct 31, 2026, a Saturday) | Companies whose total controlled transactions in the prior calendar year, before transfer pricing adjustments, were R$ 15m or more (IN 2,161 art. 57). The tool tests one number, which is the same year's figure. | IN RFB 2,161/2023 arts. 56, 57, 58 and 66 (Receita Federal normas) |
| 8 | Local File (Arquivo Local), full or short form Filed with the Global File in the same e-CAC process, within 3 months after the ECF deadline (IN 2,161 art. 56). It must cover the largest transactions that make up 80% of each of goods imports, goods exports, service imports and service exports, and all commodities, rights, restructurings, cost sharing, financial and intangibles transactions (art. 57 para. 2). Late filing is 0.2% of gross revenue per month, and not meeting the filing rules is 3%, with a floor of R$ 20,000 and a cap of R$ 5m (art. 66). Filing late also removes the right to correct the ECF without a penalty after an audit (art. 67 para. 8). | With Global File (Arquivo Global), the master file (e.g. Nov 3, 2026) (moved from Oct 31, 2026, a Saturday) | R$ 15m or more of controlled transactions in the prior calendar year. A full Local File applies from R$ 500m (arts. 59 and 60), and a short one from R$ 15m to below R$ 500m (art. 61). The tool tests one number and does not tell the two apart. | IN RFB 2,161/2023 art. 56 to 61 (Receita Federal normas) |
| 9 | Additional CSLL information return (not yet issued, earliest date shown) Law 15,079 art. 34 and IN 2,228 art. 153 require the information, but the Receita has not yet issued the return. It says that for the first fiscal year the return will be required not before the 18th month after year end, so not before 30 June 2027 for a December 2025 year. No date was found for 2026 and later years. Late or wrong information is fined 0.2% of the total revenue per month, capped at 10% and R$ 5m, and 5% of wrong amounts, capped at R$ 5m (Law art. 35), with cuts if filed within 30 or 60 days. | Not before the 18th month after the year end; return not yet issued (e.g. Jun 30, 2027) | Constituent entities in Brazil of a group with consolidated revenue of at least EUR 750m in two of the four prior years. One entity may file for the whole group (Law art. 34). | Receita Federal news, 8 July 2026 (gov.br) |
| 10 | Information or documents requested by the tax office in an audit The deadline is set in the tax office's request, and the law gives no fixed number of days. Failing to deliver on time, or hindering the audit, is fined at 5% of the transaction value, with a floor of R$ 20,000 and a cap of R$ 5m (Law 14,596 art. 35 item II). Supporting documents must be kept up to date at all times (IN 2,161 art. 62). | See note | Any taxpayer with controlled transactions, once the tax office asks for information in an audit or a preliminary step. | Law 14,596/2023 art. 35 (planalto.gov.br) |
