#Dates are for an example year end of Dec 31, 2025. Where local law moves a deadline on a weekend or national public holiday to the next working day, the date shown is already moved. Use the Deadlines tool for your own year end and thresholds.
Verified 2026-10-27. Tax authority: Belastingdienst Curaçao (Tax Administration, the Inspecteur). Summaries are simplified; check the linked official source before relying on them.
The law
#Curaçao has no stand-alone transfer pricing act and no general arm's length section in the Profit Tax Ordinance 1940 (Landsverordening op de winstbelasting 1940). The brief pointed to art. 1b, but art. 1B is the rule on purpose vehicles (doelvermogen), so that was wrong. The rules that exist are: art. 6(2)(c) of the Profit Tax Ordinance, which denies a deduction for interest and rent paid to a group company or a person with a substantial shareholding to the extent the terms differ from those between independent parties; art. 43(11) and (12) of the General National Taxes Ordinance (Algemene landsverordening Landsbelastingen, ALL), which make companies that deal with related parties keep records showing how the terms came about and that they are terms independent parties would agree; and Chapter VIII of the Profit Tax Ordinance (arts. 42 to 47, added by P.B. 2018 no. 30) for the master file, local file and CbC report. Curaçao follows the OECD Guidelines in practice, but no official page read says so in the law itself.
Documentation
#Every company must keep records of its related-party terms under ALL art. 43(11) and (12), with no revenue threshold. A group entity taxable in Curaçao must also keep a master file (groepsdossier) and a local file (lokaal dossier) in its records for each year, by the deadline for the profit tax return, if its multinational group had consolidated revenue of at least NAf 100m (now XCG 100m, assumed at par) in the prior year (art. 46). They are not filed with the return. They go to the Inspecteur on request. They must be in Dutch or English and follow the formats in the Landsbesluit winstbelasting (P.B. 2018 no. 19), which track OECD Guidance on Transfer Pricing Documentation (Chapter V of the Guidelines).
Methods
#The law prescribes no pricing methods. The test is whether terms are those independent parties would agree (ALL art. 43(11) and Profit Tax Ordinance art. 6(2)(c)). The Landsbesluit formats for the master and local file follow the OECD Guidelines, so OECD methods are the practical standard. Curaçao has no formal APA programme. The Inspecteur can give a ruling on request under ALL art. 61 (decision within 2 weeks, at most 30 days).
Penalties
#There is no transfer pricing specific penalty for a missing master or local file in the texts read. General rules apply: a late return can bring a fine of up to NAf 2,500 (ALL art. 18) and late payment up to NAf 10,000 (art. 19), now in XCG at par. A CbC filer that fails its CbC duties on purpose or through gross negligence can be fined NAf 100,000 to NAf 250,000 (ALL art. 21b). Amounts were not checked for later indexing.
Pillar Two
#The Staten van Curaçao passed the Minimum Tax Ordinance 2024 (Landsverordening minimumbelasting 2024) on 1 September 2026. ICB Instituut reports it as dated 13 October 2026 and published on 22 October 2026 as P.B. 2026 no. 231. The Minister of Finance said on 13 April 2026 that Curaçao will NOT introduce a QDMTT or a UTPR, only an income inclusion rule (IIR) that applies from fiscal years starting on or after 1 January 2025. So there is no domestic top-up tax on low-taxed profits in Curaçao, and the brief's QDMTT premise was wrong. The IIR reaches only low-taxed group entities outside Curaçao. A side-by-side safe harbour applies from fiscal years starting on or after 1 January 2026, and for groups with a US ultimate parent it can bring Curaçao top-up tax to nil. Per EY, the information return or notification is due 15 months after year end and the minimum tax return and payment 17 months after year end, with 18 and 20 months for the transition year (normally 2025). In the draft law the longer transition periods do not apply to a group that already filed an information return in another country with a qualifying agreement with Curaçao, so the tool shows 15 and 17 months.
Other rules
#Profit tax: a provisional return and payment are due by the last day of the 3rd month after the fiscal year end, with no extension (ALL art. 15(2)). The definitive return and payment are due by the last day of the 6th month (art. 15(4)). On a reasoned request the Inspecteur decides within 15 days, and if there is no refusal the deadline moves 3 months (art. 15(6)). The Belastingdienst says that from fiscal year 2023 this extension is automatic, and it has set later one-off dates: 31 December 2024 for calendar 2023 and 15 December 2025 for calendar 2024 (first 1 December 2025). Nothing was found yet for fiscal year 2025. Rate: 15% on the first XCG 500,000 and 22% above that (Rootz guide). Weekends and holidays: the Algemene termijnenlandsverordening (consolidated text P.B. 2024 no. 43) moves a statutory term that ends on a Saturday, Sunday or public holiday to the next day, but art. 4(a) excludes terms of more than three months, so it does not reach any deadline in this file except arguably the 3 month provisional return.
Filings and deadlines
#| # | Filing | When | Who | Source |
|---|---|---|---|---|
| 1 | CbC notification (kennisgeving aan de Inspecteur) By the last day of the group's reporting year the entity tells the Inspecteur whether it is the ultimate parent, surrogate parent or designated entity. If not, it names the reporting entity and where it is tax resident (art. 44(1) and (2)). The NAf 1.5bn test is in art. 43(5), which exempts smaller groups from art. 43(1) to (4); art. 44 has no threshold of its own, so the revenue test for the notice is read from art. 43(5). Read literally, art. 44 applies to every Curaçao entity of a multinational group, whatever its size. If your group is below the threshold, check with the Inspecteur whether a notice is still expected. | Last day of the fiscal year (e.g. Dec 31, 2025) | Curaçao group entities of a multinational group with consolidated revenue of at least NAf 1.5bn (now XCG 1.5bn, assumed at par) in the year before the reporting year. | Landsverordening op de winstbelasting 1940, art. 44 (P.B. 2018 no. 30) |
| 2 | Provisional profit tax return and payment (voorlopige aangifte winstbelasting) Due by the last day of the third month after the fiscal year end, with the tax paid at the same time (31 March for a calendar year). No extension is possible (ALL art. 15(2)). The tax shown must be at least the rate for that year applied to the profit in the latest definitive return, unless the Inspecteur accepts a lower amount on a reasoned request (art. 15(3)). A late return can be fined up to NAf 2,500 and late payment up to NAf 10,000. The weekend and holiday rule in the Algemene termijnenlandsverordening (P.B. 2024 no. 43) excludes terms longer than three months. This 3 month term may be covered, so a date on a weekend or holiday may move to the next working day, but the tool keeps the earlier date. | 3 months after year end (e.g. Mar 31, 2026) | Every company subject to Curaçao profit tax. | Algemene landsverordening Landsbelastingen, art. 15 (P.B. 2013 no. 53); Belastingdienst: Winstbelasting |
| 3 | Definitive profit tax return and payment (definitieve aangifte winstbelasting) Due by the last day of the sixth month after the fiscal year end, with the tax paid at the same time (30 June for a calendar year; ALL art. 15(4)). The legal extension is 3 months, to 30 September for a calendar year (art. 15(6)), and the Belastingdienst said in its fiscal year 2023 notice that from 2023 on the extension is granted automatically, with no request needed. It has also announced later one-off dates: 31 December 2024 for calendar 2023 (12 months for broken years) and 15 December 2025 for calendar 2024 (first announced as 1 December 2025). No date for fiscal year 2025 was found, so the tool shows the 9 month date, which is never later than the law allows. Under ALL art. 9(1) an extension cannot run past 18 months after the tax debt arose. A late return can be fined up to NAf 2,500. | Extended: Extended by 3 months unless the Inspecteur refuses within 15 days (ALL art. 15(6)); the Belastingdienst says this is automatic from fiscal year 2023. It has also set later one-off dates (31 December 2024 for calendar 2023, 15 December 2025 for calendar 2024), but none for 2025 yet. (e.g. Sep 30, 2026); original due date Jun 30, 2026 | Every company subject to Curaçao profit tax, including those with no profit. | Belastingdienst Curaçao: Automatische uitstel voor het indienen van de definitieve aangifte winstbelasting 2023; ALL art. 15 (P.B. 2013 no. 53) |
| 4 | Master file (groepsdossier) in the records Must be in the company's records within the period for filing the profit tax return for that year (art. 46(1) and (2) of the Profit Tax Ordinance). It is not filed with the return; the Inspecteur asks for it. Dutch or English, in the Landsbesluit winstbelasting format (Annex C or D). The statute says 'the period set for filing the return', so an extension of the return is read as extending this date. | With Definitive profit tax return and payment (definitieve aangifte winstbelasting) (extended) (e.g. Sep 30, 2026); original due date Jun 30, 2026 | Group entities taxable in Curaçao that belong to a multinational group with consolidated revenue of at least NAf 100m (now XCG 100m, assumed at par) in the year before the return year. | Landsverordening op de winstbelasting 1940, art. 46 (P.B. 2018 no. 30) |
| 5 | Local file (lokaal dossier) in the records Must be in the records within the period for filing the profit tax return (art. 46). Dutch or English, in the Landsbesluit winstbelasting format (Annex E or F). Provided to the Inspecteur on request. Companies below the threshold have no fixed date but must show on request how their related-party terms were set. | With Definitive profit tax return and payment (definitieve aangifte winstbelasting) (extended) (e.g. Sep 30, 2026); original due date Jun 30, 2026 | Same as the master file: group revenue of at least NAf 100m (now XCG 100m) in the prior year. All companies with related-party terms must still keep the records in ALL art. 43(11) and (12). | Landsverordening op de winstbelasting 1940, art. 46 (P.B. 2018 no. 30) |
| 6 | Country-by-country report (landenrapport) Filed with the Inspecteur within 12 months after the last day of the reporting year (art. 43(1) to (3)). XML format, in Dutch or English, in the Landsbesluit winstbelasting layout (OECD Chapter V annexes). A Curaçao entity need not file if a surrogate parent files and exchanges the report (art. 43(4)). Failing on purpose or through gross negligence can bring a fine of NAf 100,000 to NAf 250,000 (ALL art. 21b). | 12 months after year end (e.g. Dec 31, 2026) | Curaçao ultimate parent of a group with consolidated revenue of at least NAf 1.5bn (now XCG 1.5bn) in the prior year, or a Curaçao group entity that must file because the parent country does not require, or does not exchange, the report, or because of a systematic failure notice. | Landsverordening op de winstbelasting 1940, art. 43 (P.B. 2018 no. 30) |
| 7 | Minimum tax information return or notification (bijheffing-informatieaangifte) Due 15 months after the end of the reporting year (31 March 2027 for calendar 2025). If the group files centrally, a notification naming the filing entity and its country is filed instead. For the transition year (the group's first year under the rules for Curaçao, normally 2025) EY gives 18 months (30 June 2027 for calendar 2025), but in the draft (art. 14.3(4)) that longer period does not apply if the group already filed an information return in another country with a qualifying agreement with Curaçao before the transition year. Many large groups did so for 2024, so the tool shows the shorter 15 months. Curaçao has an IIR only (no QDMTT or UTPR). The law was passed on 1 September 2026 and reported as published on 22 October 2026 (P.B. 2026 no. 231); the final text was not read. | 15 months after year end (e.g. Mar 31, 2027) | Curaçao entities of multinational groups with consolidated revenue of at least EUR 750m in at least 2 of the 4 prior years (draft art. 2.1; the final text was not read). | EY Tax News: Curacao Parliament passes Pillar Two legislation (2 September 2026); draft Landsverordening minimumbelasting 2024 |
| 8 | Minimum tax return and payment (aangifte minimumbelasting) The minimum tax return is filed and any IIR top-up tax paid 17 months after the end of the reporting year (31 May 2027 for calendar 2025). For the transition year EY gives 20 months (31 August 2027 for calendar 2025), but in the draft (art. 14.3(4)) that relief does not apply if the group filed an information return elsewhere before the transition year, so the tool shows 17 months. No QDMTT or UTPR exists, so there is no top-up tax on Curaçao profits. The rules apply to years starting on or after 1 January 2025, with the side-by-side safe harbour from 1 January 2026. Penalties were not found. | 17 months after year end (e.g. May 31, 2027) | Curaçao entities of multinational groups with consolidated revenue of at least EUR 750m in at least 2 of the 4 prior years (draft art. 2.1; the final text was not read). | EY Tax News: Curacao Parliament passes Pillar Two legislation (2 September 2026); draft Landsverordening minimumbelasting 2024 |
