The law

#

Kenya's arm's length rule is in section 18(3) of the Income Tax Act (Cap. 470). It applies where a non-resident carries on business with a related resident and the business gives the resident no profit or less than expected: the resident's profits are set as if the two were independent. Section 18(5) treats a permanent establishment as separate from its head office, and section 18A applies the same idea to dealings with a preferential tax regime (including a foreign country that taxes at under 20%). The Income Tax (Transfer Pricing) Rules, 2026 (Legal Notice 186, made 12 August 2026 and published 18 September 2026) replace the 2006 Rules. They apply to transactions under sections 18 and 18A to 18F, and add financing, insurance and reinsurance, restructurings, cost distribution arrangements and derivatives. The Rules have no commencement clause. Kenya Law shows 18 September 2026, while one EY alert says 12 August 2026. The OECD guidelines are used for guidance and interpretation (Kenya's OECD country profile, October 2025).

Documentation

#

The Transfer Pricing Rules 2026 do not set a master file or local file. Under rule 8 the Commissioner can ask for the method and reasons, calculations, group structure, contracts, a functional and comparability analysis, comparables, audited accounts and APA details, and rule 9 says a person claiming arm's length prices needs a policy and supporting documents on request. No response period is given. Separately, sections 18C and 18D of the Income Tax Act require any resident member of a multinational group to file a master file and local file within 6 months after the group's reporting year end, with no turnover threshold (KRA asks for them by email to cbcr@kra.go.ke). Groups with consolidated turnover of KES 95bn or more also send a CbC notification by the last day of the reporting year and a CbC report within 12 months. Records are kept for 5 years in English or Kiswahili (Tax Procedures Act s 23).

Methods

#

Rule 6 of the 2026 Rules lists the comparable uncontrolled price, resale price, cost plus, profit split and transactional net margin methods, plus any other method the Commissioner prescribes if none fits. The taxpayer picks the most appropriate method for the transaction, class of transactions or functions (rules 6 and 7). There is no method hierarchy. For commodity imports and exports, the price quoted publicly on the shipping date, averaged over 15 days before and after, is used unless the taxpayer shows an adjustment fits the arm's length principle (rule 6(1) proviso and 6(2)). Section 18G allows advance pricing agreements for up to 5 years, but the regulations to run them were still pending in October 2025.

Penalties

#

The Transfer Pricing Rules 2026 have no penalty of their own. Rule 10 applies the Tax Procedures Act on fraud, failure to furnish returns and underpayment, and rule 11 treats unpaid tax as additional tax. Failing to follow sections 18C and 18D (notification, CbC report, master file, local file) is an offence with penalties set by the Tax Procedures Act (Income Tax Act s 18E). That Act gives KES 1,000 a day up to KES 50,000 for a late document that is not a return (s 83(2)), 5% of tax or KES 20,000 for a late return by a company (s 83(1)(d)(i)), 5% for late payment (s 83A), 1% a month interest (s 38) and 75% of the shortfall for a deliberate false statement (s 84). Which of these applies to a late master file or local file is not spelled out.

Pillar Two

#

Kenya has a domestic minimum top-up tax only, in section 12G of the Income Tax Act (added by the Tax Laws (Amendment) Act 2024, Act 12 of 2024, and changed by the Finance Act 2025). It is payable by a resident company or permanent establishment in a group with revenue of EUR 750m or more in two of the four prior years, when its effective rate for the year is under 15%, for tested years of income occurring on or after 1 January 2025 (read here as years starting on or after that date). No income inclusion rule or under-taxed profits rule was found. The Income Tax (Minimum Top Up Tax) Regulations 2026 (Legal Notice 189, published 18 September 2026) set: a first notification within 60 days of publication (17 November 2026), a local minimum top-up tax return by the end of the 6th month after the year, and a GloBE Information Return 18 months after the first year and 15 months after later years. The tax itself is due by the end of the 4th month after the year. A transitional safe harbour election is open for years starting before 1 July 2029.

Other rules

#

Weekend rule: Tax Procedures Act s 77(1) moves a due date for a return, notice, other document or payment that falls on a Saturday, Sunday or public holiday back to the previous working day. The date stays only for a tax return or objection filed electronically, or tax paid electronically. So the iTax corporate return keeps its date, and every other filing here is moved back, which is the safe choice. The corporate return is due on the last day of the 6th month after year end (Income Tax Act s 52B(1)(b)); KRA says the Finance Act 2026 does not change this for companies. Significant economic presence tax (s 12E) applies to non-residents earning from services over the internet, a digital marketplace or an electronic network from Kenyan users. It is on 10% of gross turnover, with a return and payment by the 20th of the next month, and is not modelled as a deadline. Interest above 30% of EBITDA is disallowed. Kenya has no formal safe harbours; the OECD profile says a transfer pricing adjustment is treated as a dividend to a non-resident shareholder (s 7), which was not checked in the text. Kenya is still considering Amount B.

Filings and deadlines

#FilingWhenWhoSource
1CbC notification Due not later than the last day of the group's reporting financial year, so it falls before the CbC report. The group says whether the entity is the ultimate parent, the surrogate parent, or names the entity that is (s 18C(1)). KRA asks for the CbC Notification Form by email to cbcr@kra.go.ke. If several Kenyan entities exist, the group may designate one to file (s 18D(8)). Weekend rule: Tax Procedures Act s 77(1) moves a due date for a document that falls on a Saturday, Sunday or public holiday back to the previous working day. The exception for electronic filing covers tax returns and objections only, so the date shown is moved back even though the filing is emailed.Last day of the fiscal year (e.g. Dec 31, 2025)A resident member of an MNE group with total consolidated turnover of KES 95bn or more in the year before the reporting year (Income Tax Act ss 18C and 18D(1B)).Income Tax Act (Cap. 470) s 18C; KRA CbC page
2Minimum top-up tax payment Minimum top-up tax is payable by the end of the fourth month after the end of the year of income (Income Tax Act s 12G(3A), added by the Finance Act 2025). This is earlier than the return and the GloBE Information Return, and the longer GIR period does not extend payment. Reg 33(2) says a person that was covered on 27 December 2024 and had a year starting 1 January 2025 had to pay the tax due on or before 30 April 2026. Pay in shillings, converted at the year's average exchange rate (Reg 30(1)). Late payment: 1% a month interest and a 5% late payment penalty (Tax Procedures Act ss 38 and 83A). Weekend rule: Tax Procedures Act s 77(1) moves a due date to the previous working day, but tax paid electronically keeps its date. The date shown is moved back to be safe.4 months after year end (e.g. Apr 30, 2026)Groups with consolidated revenue of at least EUR 750m in at least two of the four preceding years of income, with a resident company or permanent establishment in Kenya (Income Tax Act s 12G(5), 'covered person').Income Tax Act (Cap. 470) s 12G(3A); Minimum Top Up Tax Regulations 2026 regs 30 and 33
3Corporate income tax return (iTax) Due not later than the last day of the sixth month after the end of the year of income, with the self-assessment (Income Tax Act s 52B(1)(b)). It is filed on iTax. Tax is paid earlier by instalments, which are not modelled here. Late return: the higher of 5% of the tax payable or KES 20,000 for a company (Tax Procedures Act s 83(1)(d)(i)), plus 1% a month interest and a 5% late payment penalty on unpaid tax (ss 38 and 83A). A return filed on iTax keeps its due date even if it falls on a weekend or holiday (Tax Procedures Act s 77(1) proviso). The Finance Act 2026 changes return dates for individuals from 1 January 2027; KRA says companies stay at six months.6 months after year end (e.g. Jun 30, 2026)Every company chargeable to tax in Kenya, including a Kenyan permanent establishment of a foreign company.Income Tax Act (Cap. 470) s 52B(1)(b), as at 1 July 2026
4Master file Due not later than 6 months after the last day of the reporting financial year of the MNE group (s 18D(4)), filed in the way the Commissioner specifies. KRA asks for it by email to cbcr@kra.go.ke. Contents are listed in s 18D(6). Failing to file is an offence with penalties under the Tax Procedures Act (s 18E). If no specific penalty applies, s 83(2) of that Act sets KES 1,000 a day up to KES 50,000 for a late document that is not a return. Weekend rule: Tax Procedures Act s 77(1) moves a due date for a document that falls on a Saturday, Sunday or public holiday back to the previous working day. The exception for electronic filing covers tax returns and objections only, so the date shown is moved back even though the filing is emailed.6 months after year end (e.g. Jun 30, 2026)A resident constituent entity of any multinational enterprise group, with no turnover threshold (Income Tax Act s 18D(3)). The KES 95bn threshold in s 18D(1B) applies to the CbC report only. KRA says the same on its CbC page.Income Tax Act (Cap. 470) ss 18D(3), 18D(4), 18D(6) and 18E; KRA CbC page
5Local file Due not later than 6 months after the last day of the reporting financial year of the MNE group (s 18D(4)). It covers the entity's activities, management structure, business strategy, controlled transactions and amounts paid or received (s 18D(7)). KRA asks for it by email to cbcr@kra.go.ke. Records must be kept for 5 years (Tax Procedures Act s 23) in English or Kiswahili, and the Transfer Pricing Rules 2026 want books in English or translated into English (r 8(6)). Jun 30, 2026)A resident constituent entity of any multinational enterprise group, with no turnover threshold (Income Tax Act s 18D(3) and (7)).Income Tax Act (Cap. 470) ss 18D(3), 18D(4), 18D(7) and 18E; KRA CbC page
6Minimum top-up tax return (iTax) Each covered person submits a minimum top-up tax return under section 52B of the Income Tax Act, not later than the last day of the sixth month after the end of the year of income (Regs 28(1) and (2)). This is a local return and is separate from the GloBE Information Return. It applies to years of income that start on or after 1 January 2025. For a 31 December 2025 year the date was 30 June 2026, before the Regulations were published on 18 September 2026, and no rule on how this is handled was found. KRA has not yet said how this return is filed. A return filed electronically keeps its date (Tax Procedures Act s 77(1) proviso), but until that is confirmed the date shown moves back to the previous working day if it falls on a weekend or holiday.6 months after year end (e.g. Jun 30, 2026)Groups with consolidated revenue of at least EUR 750m in at least two of the four preceding years of income, with a resident company or permanent establishment in Kenya (Income Tax Act s 12G(5), 'covered person').Income Tax (Minimum Top Up Tax) Regulations, 2026 (Legal Notice 189 of 2026) reg 28(1) and (2)
7Minimum top-up tax: first notification to KRA A person who is a covered person when the Regulations start must notify the Commissioner in writing within 60 days from the date of publication of the Regulations (Reg 27(1)). Published 18 September 2026, so the date is 17 November 2026 (day counted from the next day, Interpretation and General Provisions Act s 57(a)). A person who becomes covered later must notify at any time before the end of its year of income (Reg 27(2)); a person who stops being covered must notify within 6 months from the first day of the year of income (Reg 27(3)). One designated entity may notify for several Kenyan covered persons (Reg 27(4)). Changes are reported under Tax Procedures Act s 9 (Reg 27(5)). Failure is an offence with Tax Procedures Act sanctions (Reg 32). 17 November 2026 is a Tuesday. A notice on a weekend or holiday would move to the previous working day (Tax Procedures Act s 77(1)).60 days after publication on 18 September 2026 (e.g. Nov 17, 2026)Groups with consolidated revenue of at least EUR 750m in at least two of the four preceding years of income, with a resident company or permanent establishment in Kenya (Income Tax Act s 12G(5), 'covered person').Income Tax (Minimum Top Up Tax) Regulations, 2026 (Legal Notice 189 of 2026) reg 27
8Country-by-country report Due not later than 12 months after the last day of the group's reporting financial year (s 18D(2)). A Kenyan entity need not file if a non-resident surrogate parent files and the conditions in s 18D(10) are met. Late or missing filing is an offence under s 18E, with penalties under the Tax Procedures Act (the specific amount is not set in the Income Tax Act). Weekend rule: Tax Procedures Act s 77(1) moves a due date for a document that falls on a Saturday, Sunday or public holiday back to the previous working day. The exception for electronic filing covers tax returns and objections only, so the date shown is moved back even though the filing is emailed.12 months after year end (e.g. Dec 31, 2026)A Kenyan resident ultimate parent of a group with consolidated turnover of KES 95bn or more in the prior year. A Kenyan constituent entity files only if the parent is not required to file, its country has no competent authority agreement with Kenya, or the Commissioner notified a systemic failure (s 18D(1) and (1A)).Income Tax Act (Cap. 470) ss 18D(1), (1A), (1B), (2) and (10)
9GloBE Information Return Due not later than 18 months after the end of the first year of income in which the covered person becomes subject to section 12G, and 15 months after each later year (Reg 28(5)). Kenya's first year is a year of income starting on or after 1 January 2025, so the longer period runs to year ends up to 30 December 2026 (a longer cut-off than the site's usual 30 December 2025, because it is tied to Kenya's own start date). A group that first becomes covered in a later year also gets 18 months, and the tool cannot detect that. Kenya's exchange agreements may not be active yet, so a local GIR may still be needed (see uncertain). Failure is an offence with Tax Procedures Act sanctions (Reg 32).18 months after year end (first year) (e.g. Jun 30, 2027)Groups with consolidated revenue of at least EUR 750m in at least two of the four preceding years of income, with a resident company or permanent establishment in Kenya (Income Tax Act s 12G(5), 'covered person'). Not required in Kenya if the ultimate parent or a designated filing entity files it in a jurisdiction that has an agreement with Kenya (Reg 28(4)).Income Tax (Minimum Top Up Tax) Regulations, 2026 (Legal Notice 189 of 2026) reg 28(3) to (5)
10Transfer pricing documents on request (TP Rules 2026) The Commissioner may ask for the transfer pricing method and reasons, the calculations, group structure, contracts, functional and comparability analysis, comparables, audited accounts and more (Rules 8(1) to (4)). The Rules set no number of days to respond and no routine filing date. A person who says its prices are arm's length must have a transfer pricing policy and give the supporting documents on request (r 9). Books must be in English or translated into English (r 8(6)).See noteAny person with controlled transactions covered by sections 18, 18A and 18B to 18F of the Income Tax Act.Income Tax (Transfer Pricing) Rules, 2026 (Legal Notice 186 of 2026) rr 8 and 9
