The law

#

The UAE Corporate Tax Law (Federal Decree-Law 47 of 2022) sets the transfer pricing rules. Article 34 says deals between Related Parties must be at arm's length, which means the result matches what independent parties would have agreed. Article 35 defines Related Parties (50% ownership or control, close family, a person and its permanent establishment, and partners in the same unincorporated association). Article 36 says a payment to a Connected Person (an owner, a director or officer, or their Related Parties) is deductible only up to its Market Value. The FTA Transfer Pricing Guide (CTGTP1, October 2023) follows the OECD Guidelines and is guidance, not law. The rules also apply to exempt persons and small business relief elections, which only skip the full documentation.

Documentation

#

The FTA's transfer pricing disclosure is part of the corporate tax return and is due with it. The related party schedule is needed if all related party transactions together exceed AED 40m (then each category above AED 4m is listed), and the connected person schedule for each connected person above AED 500,000. A downward transfer pricing adjustment must always be disclosed (FTA clarification CTP011). A master file and local file are needed if the entity's revenue is AED 200m or more, or if it is in a group with consolidated revenue of AED 3.15bn or more (Ministerial Decision 97 of 2023). They must be handed over within 30 days of an FTA request, or a later date the FTA sets (Article 55(3)). The FTA expects the documentation to exist when the return is filed, and records are kept for seven years (Article 56).

Methods

#

Article 34(3) lists the five OECD methods: comparable uncontrolled price, resale price, cost plus, transactional net margin and profit split. Another method is allowed only if none of those can reasonably be applied. The most reliable method is chosen using the contract terms, the nature of the deal, the economic setting, the functions, assets and risks, and the business strategies (Article 34(5)). The FTA guide has no strict ranking, but prefers CUP when it is as reliable as another method. The interquartile range is the accepted way to narrow comparables, and any point in the range is acceptable (Article 34(7)). If a result is outside the range, the FTA adjusts it to the result that best fits the facts (Article 34(8)). Comparable searches should be fully updated every three years, with a yearly financial update in between.

Penalties

#

No special penalty for a missing master file, local file or disclosure was found in Cabinet Decision 75 of 2023. The general penalties are AED 10,000 for failing to keep required records (AED 20,000 if repeated within 24 months), AED 5,000 for not giving documents in Arabic when asked, and AED 500 a month for a late return (AED 1,000 a month after 12 months). An incorrect return costs AED 500 unless it is corrected before the deadline, and late registration costs AED 10,000. A late CbC report or notification costs AED 1m plus AED 10,000 a day, with the daily part capped at AED 250,000. Not keeping CbC records for 5 years or not giving information costs AED 100,000, and an incomplete or wrong report costs AED 50,000 to AED 500,000 (Cabinet Resolution 44 of 2020, art. 8). Cabinet Decision 129 of 2025 (from 14 April 2026) revised VAT and excise penalties, and advisers read it as leaving the corporate tax table in Cabinet Decision 75 of 2023 in place.

Pillar Two

#

The UAE has a Domestic Minimum Top-up Tax (DMTT, also called QDMTT) under Cabinet Decision 142 of 2024. It applies to fiscal years beginning on or after 1 January 2025 for groups with at least EUR 750m of revenue in two of the four preceding years, and there is no UAE IIR or UTPR. Each UAE entity registers with the FTA within 7 months of the end of its first in-scope year, but by 30 November 2026 for years ending before 30 April 2026 (FTA Decision 12 of 2026). The Top-up Tax Return and payment are due 15 months after year end. The first Transition Year gets 18 months, but that is the first year the group was in scope of any qualified IIR or UTPR for its UAE entities or of the UAE tax, so a group already under a parent IIR in 2024 gets only 15 months for 2025. The Pillar Two Information Return (GIR) is due 15 months after year end. For years beginning on or before 31 December 2026 (but not years ending after 30 June 2028), no penalties apply to the returns if the FTA agrees the group took reasonable measures, but the AED 10,000 failure to register penalty still applies.

Other rules

#

Country-by-country reporting applies to UAE-resident ultimate parents of groups with consolidated revenue of AED 3.15bn or more (Cabinet Resolution 44 of 2020). Only the ultimate parent notifies the Ministry of Finance, by the last day of the reporting year, and the report is due 12 months after year end. The CT return and the tax are due 9 months after the end of the tax period (Article 53(1)). Corporate tax registration is event based: within 3 months of incorporation for a UAE company, and within 3 months of year end for a foreign company managed in the UAE (FTA Decision 3 of 2024). A time limit that ends on a day that is not a Business Day moves to the next Business Day (Tax Procedures Law art. 49(2)), and the UAE weekend is Saturday and Sunday. Advance pricing agreements and clarifications are available on application (CT Law art. 59).

Filings and deadlines

#FilingWhenWhoSource
1CbC notification to the Ministry of Finance The ultimate parent says it is the reporting entity no later than the last day of the group's reporting fiscal year (Cabinet Resolution 44 of 2020, art. 2(1)). A late notice costs AED 1m plus AED 10,000 a day, up to AED 250,000 in total for the daily part (art. 8(2)). The date is not moved for weekends because it is the last day of the year itself, and the resolution is run by the Ministry of Finance, which Article 49 of the Tax Procedures Law does not clearly cover.Last day of the fiscal year (e.g. Dec 31, 2025)The ultimate parent entity, tax resident in the UAE, of a multinational group with consolidated revenue of AED 3.15bn or more in the year before the reporting year. Other UAE entities have no notification duty.Cabinet Resolution 44 of 2020, art. 2 and 8 (MoF)
2Corporate tax return (EmaraTax) Due no later than 9 months after the end of the tax period, or another date the FTA directs (CT Law art. 53(1)). The tax is due on the same date. For a 31 December 2025 year end the FTA announced 30 September 2026. The FTA has postponed the date for some tax periods before (for example Public Clarification CTP004 in 2024). Under Article 49(2) of the Tax Procedures Law, a deadline that falls on a weekend or public holiday moves to the next Business Day. A late return costs AED 500 a month for 12 months, then AED 1,000 a month (Cabinet Decision 75 of 2023, item 7).9 months after year end (e.g. Sep 30, 2026)Every taxable person, including free zone persons and entities that elect small business relief. Exempt persons that are registered usually file too.CT Law art. 53 (UAE Legislation portal) and FTA corporate tax page
3Transfer pricing disclosure (related party and connected person schedules in the CT return) There is no separate form to send. It is part of the corporate tax return in EmaraTax and is due with it (CT Law art. 55(1); FTA TP Guide 6.5). Every taxpayer answers the related party and connected person questions, so this entry applies to all, and the schedules are triggered by the thresholds. With Corporate tax return (EmaraTax) (e.g. Sep 30, 2026)Related party schedule: total related party transactions above AED 40m, then each category above AED 4m. Connected person schedule: payments or benefits above AED 500,000 per connected person. A downward transfer pricing adjustment must always be disclosed. Dividends paid to related parties are left out of the AED 40m and AED 4m tests.FTA Corporate Tax Guide on Tax Returns (CTGTXR1), sections 9.3 and 16
4Top-up Tax registration with the FTA (EmaraTax, one-time) Within 7 months of the end of the first fiscal year in which the entity is in scope, but for fiscal years ending before 30 April 2026 the deadline is 30 November 2026 (FTA Decision 12 of 2026, art. 2, as described in FTA guide TTGREG1 section 8.4). The group names the entity that files the Pillar Two Information Return at registration. Failure to register costs AED 10,000 per entity. The FTA may register an entity itself if it does not.7 months after year end (first year), but not before 2026-11-30 (e.g. Nov 30, 2026)Groups with consolidated revenue of at least EUR 750m in at least two of the four preceding fiscal years, with a constituent entity, joint venture or JV subsidiary located in the UAE. Groups that operate only in the UAE are out of scope. Each entity must register, even if no top-up tax is due. A domestic designated filing entity can register all UAE entities of the group.FTA Top-up Tax Guide TTGREG1, Scope and Registration (August 2026), section 8.4
5Country-by-country report Filed electronically with the Ministry of Finance no later than 12 months after the last day of the reporting fiscal year, in the OECD template (Cabinet Resolution 44 of 2020, art. 3 and 4). A late report costs AED 1m plus AED 10,000 a day up to AED 250,000 for the daily part, and an incomplete or wrong report costs AED 50,000 to AED 500,000 (art. 8). The date is not moved for weekends, because the resolution has its own rules and is run by the Ministry of Finance, not under the FTA's Tax Procedures Law.12 months after year end (e.g. Dec 31, 2026)The ultimate parent entity, tax resident in the UAE, of a multinational group with consolidated revenue of AED 3.15bn or more in the year before the reporting year.Cabinet Resolution 44 of 2020, art. 3, 4 and 8 (MoF)
6Pillar Two Information Return (GIR) Filed with the FTA no later than 15 months after the last day of the reporting fiscal year, in the OECD GIR template (Cabinet Decision 142 of 2024, art. 15.2 and 15.4). Article 15.4 gives no longer period for the first year. Who files is set by Ministerial Decision 133 of 2026: each UAE entity, a designated local entity, or the parent or a designated filing entity abroad if a qualifying competent authority agreement is in place. For fiscal years beginning on or before 31 December 2026, but not years ending after 30 June 2028, no penalty applies if the FTA agrees the group took reasonable measures (art. 14.3). A deadline on a weekend or public holiday is read as moving to the next Business Day.15 months after year end (e.g. Mar 31, 2027)Groups with consolidated revenue of at least EUR 750m in at least two of the four preceding fiscal years, with a constituent entity, joint venture or JV subsidiary located in the UAE. Groups that operate only in the UAE are out of scope.Cabinet Decision 142 of 2024, annex, art. 15 (UAE Legislation portal)
7Notification of the foreign filing entity (Pillar Two Information Return) The notifications under Article 15 are due on the same date as the Pillar Two Information Return, 15 months after the fiscal year end (art. 15.4). The filing entity is named at Top-up Tax registration, so keep the registration data up to date. With Pillar Two Information Return (GIR) (e.g. Mar 31, 2027)UAE entities of in-scope groups whose Pillar Two Information Return is filed abroad by the parent or a designated filing entity, or by a designated local entity in the UAE.Cabinet Decision 142 of 2024, annex, art. 15.4, and FTA guide TTGREG1 section 9.5
8Top-up Tax Return and payment (QDMTT) Filed with the FTA no later than 15 months after the last day of the reporting fiscal year (Cabinet Decision 142 of 2024, art. 8.1.2). The deadline is 18 months for a year that is the first Transition Year of the group. Transition Year means the first fiscal year the group is in scope of a qualified IIR or UTPR for the UAE, or of the UAE top-up tax (art. 18.1). A group whose parent already applied a qualified IIR to its UAE entities in 2024 is past its Transition Year, so its 2025 return has 15 months. The tool shows 15 months because it is the safe date: for a calendar 2025 year that is 31 March 2027, and if 2025 is the group's first Transition Year it is 30 June 2027. The top-up tax is paid in AED on the same date (art. 11.1). Groups that operate only in the UAE are out of scope. The return is filed for each UAE constituent entity, joint venture and JV subsidiary, or by a domestic designated filing entity.Cabinet Decision 142 of 2024, annex, art. 8.1 and 11 (UAE Legislation portal)
9Master file Keep it for each tax period. Hand it over within 30 days of an FTA request, or a later date the FTA sets (CT Law art. 55(3)). The FTA expects it to exist by the time the return is filed. It follows OECD Annex I to Chapter V. Under Article 49(2) of the Tax Procedures Law, a 30 day period that ends on a weekend or public holiday moves to the next Business Day.Within 30 days of a tax authority requestA taxable person with revenue of AED 200m or more in the tax period, or a constituent company of a multinational group with consolidated revenue of AED 3.15bn or more in the tax period (Ministerial Decision 97 of 2023, art. 2(1)). The tool tests only the entity revenue. Enter the entity's own revenue, and check the group test by hand.CT Law art. 55 and FTA Transfer Pricing Guide CTGTP1, section 6.6
10Local file Keep it for each tax period and hand it over within 30 days of an FTA request, or a later date the FTA sets (CT Law art. 55(3)). It covers the local entity, its controlled transactions and the arm's length testing. Missing records can cost AED 10,000, or AED 20,000 if repeated within 24 months (Cabinet Decision 75 of 2023, item 1). A 30 day period that ends on a weekend or public holiday moves to the next Business Day (Tax Procedures Law art. 49(2)).Within 30 days of a tax authority requestSame test as the master file: entity revenue of AED 200m or more, or a constituent company of a group with consolidated revenue of AED 3.15bn or more (Ministerial Decision 97 of 2023, art. 2(1)). The tool tests only the entity revenue. Taxpayers below the test still need to meet the arm's length rule, and the FTA can ask for support within 30 days (CT Law art. 55(4)).CT Law art. 55 and FTA Transfer Pricing Guide CTGTP1, section 6.6
