The law

#

Austria has no single transfer pricing article. The arm's length principle comes from §6 no. 6 EStG 1988 (assets and services between related businesses are valued as if dealt with an independent party), the hidden profit distribution and capital contribution rules in §8 KStG 1988, and Article 9 of the tax treaties. Documentation duties are in the Transfer Pricing Documentation Act (VPDG, 2016) and its ordinance (VPDG-DV), plus the general books and records duties in §§124, 131 and 138 BAO. The BMF Transfer Pricing Guidelines 2021 (VPR 2021, updated by the maintenance decree of 11 March 2025) follow the OECD Guidelines 2022 and are an interpretation aid, not law.

Documentation

#

An Austrian business unit of a multinational group must prepare a master file and a local file if its revenue exceeded EUR 50m in each of the two previous financial years (§3(2) VPDG). The duty ends from the next year if revenue stays at or below the amounts in two years in a row. Once the corporate income tax return has been filed, the tax office can ask for both files, and they must be handed over within 30 days of the request (§8(2) VPDG). A master file can also be requested if a foreign group entity must prepare one under foreign rules (§3(3) VPDG). Documents may be in German or English. Entities below the thresholds need no VPDG structure, but they must still be able to show arm's length pricing under §§124, 131 and 138 BAO, and the records should exist when the return is filed (VPR 2021 Rz 407).

Methods

#

Austria accepts the OECD methods: comparable uncontrolled price, resale price, cost plus, TNMM and profit split (VPR 2021 Rz 50). The method that gives the most reliable result is used. If two are equally reliable, the standard methods are preferred over profit methods, and the CUP method comes first. An interquartile range is used when comparability gaps remain (Rz 77). If the price is outside the range, the tax office adjusts to a point inside it and may use the median (Rz 78). Database studies must show every search step and may be refreshed every three years (Rz 424 to 426).

Penalties

#

The VPDG has no special fine for a missing master or local file. The general tools apply: the tax office may estimate the tax base (§184 BAO), charge a late-filing surcharge of up to 10% (§135 BAO), and impose coercive penalties of up to EUR 5,000 each (§111 BAO). Documentation that meets the rules is presumed correct and the tax office must prove the price is not arm's length (VPR 2021 Rz 409). A missing, late or wrong CbC report is a fiscal offence: fine up to EUR 50,000 for intent and EUR 25,000 for gross negligence (§49b FinStrG). Pillar Two reports carry fines up to EUR 100,000 for intent and EUR 50,000 for gross negligence (§75 MinBestG).

Pillar Two

#

The Mindestbesteuerungsgesetz (MinBestG) applies the IIR (PES) and the QDMTT (NES) to fiscal years that begin on or after 31 December 2023, and the UTPR (SES) to fiscal years that begin on or after 31 December 2024 (not for groups whose parent is in an EU state that used the deferral option). It covers groups with revenue of at least EUR 750m in two of the four prior years. Every Austrian entity files the Mindeststeuerbericht (GIR) in XML through FinanzOnline, or names the entity that files it (Notification 1 or 2). It is due 15 months after year end, 18 months for the transition year, and never before 30 June 2026. The tax is self-assessed in a Voranmeldung and falls due on 31 December of the second calendar year after the year in which the fiscal year ends. The parent must also appoint the taxable Austrian entity and prove it before the end of the calendar year in which the fiscal year ends.

Other rules

#

Groups with consolidated revenue of at least EUR 750m file a CbC report through FinanzOnline within 12 months of year end if the ultimate parent is resident in Austria or an Austrian entity stepped in (§§4 and 8 VPDG). Each Austrian entity must say by the last day of the reported year whether it is the ultimate or surrogate parent, or name the reporting entity. Unilateral rulings (§118 BAO) and bilateral or multilateral APAs are available, and mutual agreement procedures follow the tax treaties and EU rules. Interest deductions are limited to 30% of tax EBITDA with a EUR 3m allowance (§12a KStG). A correction usually takes the form of a hidden profit distribution, which can bring dividend withholding tax. There is no annual TP return form.

Filings and deadlines

#
#FilingWhenWhoSource
1CbC notification (Mitteilung to the tax office) Each Austrian entity must tell its tax office by the last day of the financial year to be reported whether it is the ultimate or surrogate parent, or give the identity and residence of the reporting entity (§4 VPDG). No separate form is named in the law. The date is shown as the last day of the year itself and is not moved for weekends, because the duty must be met within that year; §108(3) BAO is written for periods (Fristen).Last day of the fiscal year (e.g. Dec 31, 2025)Austrian entities of groups with consolidated revenue of at least EUR 750m in the previous financial year.§4 VPDG (RIS)
2Proof of appointment of the taxable entity (Nachweis der Beauftragung) The parent appoints one Austrian entity to be liable for the top-up tax. That entity must give proof of the appointment, or of its withdrawal, before the end of the calendar year in which the fiscal year ends (§76(5)), so file earlier than 31 December. Without an appointment the top Austrian entity, or the most important one, is liable (§76(2)). The proof must be given before the year ends, so a 31 December on a weekend does not move the date; file on the last working day before it or earlier.Fixed calendar date (e.g. Dec 31, 2025)Groups with consolidated revenue of at least EUR 750m in at least two of the four preceding fiscal years, with an entity located in Austria.§76 MinBestG (RIS)

If a tax advisor, lawyer or notary files the return under the quota system, the deadline is 31 March of the second year after (§134a(1) BAO), for example 31 March 2027 for 2025. The tax office may move this to 30 June for all quota returns (§134a(3)), and can extend a single return on request (§134(2)). The quota system has interim percentage targets set by BMF ordinance (§134a(5) BAO). Under §108(3) BAO a deadline on a Saturday, Sunday, public holiday, Good Friday or 24 December moves to the next working day.Extended: filed by a tax advisor in the quota system (§134a BAO); the tax office can move it to 30 June (e.g. Mar 31, 2027); original due date Jun 30, 2026All companies subject to Austrian corporate income tax.§134 and §134a Bundesabgabenordnung (RIS)
5Mindeststeuerbericht (GloBE Information Return) Filed in XML through FinanzOnline with the Finanzamt für Großbetriebe, 15 months after the fiscal year end, or 18 months for the transition year, and never before 30 June 2026 (§72 MinBestG). One Austrian entity can file for all (designated local entity), and no Austrian filing is needed if the parent or a designated entity files in a country with a qualifying exchange agreement, but then Notification 2 is due. A late or wrong report is fined up to EUR 100,000 for intent or EUR 50,000 for gross negligence (§75). Under §108(3) BAO a deadline on a weekend, public holiday, Good Friday or 24 December moves to the next working day.15 months after year end (e.g. Mar 31, 2027)Groups with consolidated revenue of at least EUR 750m in at least two of the four preceding fiscal years, with an entity located in Austria.§69 to §72 MinBestG (RIS)
6Mitteilung 1 and Mitteilung 2 (designated entity notifications) Notification 1: a designated local entity or a designated reporting entity in Austria says so (§69(3)). Notification 2: if the report is filed abroad, the Austrian entity names the filing entity and its country (§70(2)). Both use the same deadline as the Mindeststeuerbericht (§72) and go through FinanzOnline. With Mindeststeuerbericht (GloBE Information Return) (e.g. Mar 31, 2027)Groups with consolidated revenue of at least EUR 750m in at least two of the four preceding fiscal years, with an entity located in Austria.§69 and §70 MinBestG (RIS)
7Mindeststeuer Voranmeldung (top-up tax return) and payment The liable Austrian entity self-assesses the NES, PES and SES in a Voranmeldung and pays on the due date, 31 December of the second calendar year after the calendar year in which the fiscal year ends (§77(1)). For example, fiscal years ending in 2025 are due 31 December 2027. A due date on a weekend, public holiday, Good Friday or 24 December moves to the next working day (§210(3) BAO). Late payment brings a 2% surcharge (§217 BAO).Fixed calendar date (e.g. Dec 31, 2027)Groups with consolidated revenue of at least EUR 750m in at least two of the four preceding fiscal years, with an entity located in Austria.§76 and §77 MinBestG (RIS)

Once the corporate income tax return is filed, the tax office can ask for it, and it must be handed over within 30 days of the request (§8(2) VPDG). English is allowed (§10 VPDG). The duty ends from the next year after two years in a row below the threshold. The law says revenue must exceed EUR 50m, not just reach it.Within 30 days of a tax authority requestAustrian entity of a multinational group whose revenue exceeded EUR 50m in each of the two previous financial years. Content is set by §7 VPDG and §§7 to 10 VPDG-DV. For entities below the threshold, VPR 2021 expects the arm's length records to exist when the return is filed (Rz 407).Within 30 days of a tax authority requestAustrian entity of a multinational group whose revenue exceeded EUR 50m in each of the two previous financial years. 10Notice of changes, departures and SES initial phase Changes to the tax base or to NES amounts of other countries must be reported to the Finanzamt für Großbetriebe without delay (§77(4)), as must the departure or end of the liable entity (§76(5)). The reporting Austrian entity must also tell the office when a group enters the initial phase of international activity (SES exemption, §81(4)), with no deadline given in the law.See noteGroups with consolidated revenue of at least EUR 750m in at least two of the four preceding fiscal years, with an entity located in Austria.§77 and §81 MinBestG (RIS)
