The law

#

The Cayman Islands has no corporate income tax and no transfer pricing law. There is no local rule that tells a company to price deals with related parties at arm's length, so arm's length pricing matters here only through the rules of the other countries a group operates in. The Cayman rules that matter to multinational groups are about reporting, not tax. The Tax Information Authority Act (2021 Revision), s.25, lets the Cabinet make regulations, and the Tax Information Authority (International Tax Compliance) (Country-By-Country Reporting) Regulations, 2017 (SL 99 of 2017) set up country-by-country (CbC) reporting. The International Tax Co-operation (Economic Substance) Act (2026 Revision) (the ES Act) makes Cayman entities that carry on certain mobile activities show real activity in the Islands. The DITC runs both through the DITC Portal. The DITC administers these laws as the Tax Information Authority, the Cayman competent authority.

Documentation

#

Cayman has no transfer pricing documentation rule. The DITC has said in an industry advisory (20 December 2017) that Cayman does not require a master file or a local file, and does not require Constituent Entities that are not the Reporting Entity to file a CbC report. The only documents the law asks for are the CbC report (Reporting Entities only), the annual Economic Substance Notification (ESN) and, for some entities, the Economic Substance return. The CbC regulations (reg 10(3)) and the ES Act (s.7(8)) both require records to be kept for six years.

Methods

#

Cayman has no transfer pricing methods. No local law or guidance names the OECD methods or sets an arm's length range, because there is no tax base to adjust. A Cayman entity that deals with related parties in other countries follows those countries' methods and documentation rules.

Penalties

#

CbC: failing to notify, file on time or comply with a request is an offence under reg 12 of the CbC regulations. On summary conviction the fine is 10,000 dollars or 6 months in prison, or both (reg 16). The Authority can instead impose an administrative penalty of 4,000 dollars (reg 17), plus 200 dollars a day while that penalty stays unpaid (reg 19). Filing a CbC report with inaccurate information that the filer knew about, or found later and did not take reasonable steps to correct, costs 5,000 dollars (reg 20). Economic Substance: a late ES return costs 5,000 dollars plus 500 dollars a day while it stays late (ES Act s.7(8A)). Failing the economic substance test costs 10,000 dollars, and 100,000 dollars for a later year (s.8(2) and (4)). The Grand Court can also order the entity to act or treat it as defunct or struck off (s.8(11)). Giving false or misleading information is an offence with a fine of 10,000 dollars or up to 5 years in prison, or both (s.13). The law says dollars and does not name the currency (Cayman Islands dollars are the local currency).

Pillar Two

#

As of 27 October 2026 the Cayman Islands has no Pillar Two law. There is no Cayman top-up tax, no Cayman GloBE information return and no Pillar Two notification, so this file sets no Pillar Two deadline. Checks made on 27 October 2026: the legislation.gov.ky lists of recent Acts, regulations, amendments, Bills and Gazettes (to LG50 of 20 October 2026) show no such measure, and the DITC website has no Pillar Two advisory after an October 2020 OECD consultation notice. A Chambers guide written by Cayman lawyers (updated 16 July 2026) also says Pillar Two has not been adopted and no minimum tax has been announced. Some commercial websites say a Cayman domestic top-up tax has applied since 2025. No official source supports that. Cayman entities of a group with revenue of at least EUR 750m can still be counted in top-up taxes and GloBE returns in other countries, and those filings are made there.

Other rules

#

CbC: a Cayman Constituent Entity of a group with consolidated revenue of at least USD 850m in the preceding fiscal year must notify the DITC by the last day of the group's fiscal year. The DITC asks for one notification covering all Cayman entities of the same group. Only a Cayman-resident Ultimate Parent Entity, or a Cayman-resident Surrogate Parent Entity when the conditions in reg 4(2) apply, files the CbC report, within 12 months after the fiscal year end. Both are filed on the DITC Portal. Economic Substance: every Cayman company, LLC, LLP, partnership and exempted limited partnership, and every registered foreign company and foreign limited partnership, files an annual ESN by 31 March. The DITC counts the ESN year as the year in which the financial year started, so a year ending 31 March 2026 has its ESN due 31 March 2026, not 2027. A relevant entity that carries on a relevant activity (banking, distribution and service centre, financing and leasing, fund management, headquarters, insurance, intellectual property, shipping or holding company business) must also file an ES return within 12 months after its financial year end. Domestic companies, local partnerships, investment funds and entities that are tax resident outside Cayman are not relevant entities. Deadlines: s.8(b) and (c) of the Interpretation Act (1995 Revision) moves a deadline that falls on a Sunday or a public general holiday to the next day that is neither. The ESN date of 31 March is a DITC administrative date and is not rolled here. Cayman also runs CRS and FATCA reporting, which is not covered here.

Filings and deadlines

#
#FilingWhenWhoSource
1CbC notification to the DITC (regulation 5) Due no later than the last day of the group's Reporting Fiscal Year (reg 5(1) and (2)). The entity says whether it is the Ultimate or Surrogate Parent Entity, or names the Reporting Entity and where it is resident. The DITC FAQ says it is a one-off filing that is updated only when details change, and a new Constituent Entity notifies before the end of its fiscal year. The DITC asks for one notification for all Cayman entities of the same group (advisory of 5 February 2018). It is made on the DITC Portal. Failure is an offence (reg 12, fine of 10,000 dollars or 6 months in prison) or draws a 4,000 dollar administrative penalty (reg 17). A date that falls on a Sunday or a public general holiday moves to the next day that is neither (Interpretation Act (1995 Revision) s.8(b) and (c), which covers regulations as well as Acts; Public Holidays Act (2007 Revision) and its Orders). Saturday is not an excluded day, so a Saturday deadline does not move.Last day of the fiscal year (e.g. Dec 31, 2025)Every Constituent Entity resident in the Cayman Islands (incorporated or established there, managed there, or supervised there) of an MNE Group whose total consolidated group revenue in the preceding fiscal year was at least USD 850m. The regulations define an excluded group as one under USD 850m and do not mention a euro figure. The DITC says other countries may state the test as EUR 750m.DITC: CbCR FAQs (notification deadline), with SL 99 of 2017 reg 5
2Economic Substance Notification (ESN) under the ES Act, not a transfer pricing form The ES Act (s.7(1) and (2)) requires an annual notification at the time the Authority sets. The DITC ESN User Guide (June 2024) sets 31 March each year, the same date as the General Registry annual return, and the ESN must be filed before the annual return. The ESN year is the calendar year in which the financial year started, and the ESN for a year is due 31 March of the next calendar year (the 2022 ESN is due 31 March 2023). So a year ending 31 December 2025 is due 31 March 2026, and a year ending 31 March 2026 (ESN year 2025) is also due 31 March 2026. For year ends from January to November the ESN can fall due before the year ends, and the DITC says some entities must give details in advance. This date comes from DITC guidance, not from the Act, and is not moved for weekends or holidays. This is a tp-form kind only because no better kind exists. It is an economic substance filing, not a transfer pricing form.Fixed calendar date (e.g. Mar 31, 2026)Every company, LLC, LLP, partnership, exempted limited partnership and foreign limited partnership registered in the Cayman Islands, every foreign company registered under the Companies Act and every foreign limited partnership. Trusts do not file. The entity says whether it carries on a relevant activity and whether it is a relevant entity.DITC: Economic Substance Notification User Guide (CAP), June 2024
3CbC report filed with the DITC (regulations 4 and 6) Due no later than 12 months after the last day of the Reporting Fiscal Year (reg 6(3)). The report follows the OECD template in the Schedule and is filed as an XML file on the DITC Portal. One time only: the DITC gave groups whose 2024 report was due between 31 July 2025 and 31 December 2025 (year ends from July to December 2024) an extension to 27 February 2026, because of the move to the new portal. The tool shows this date when extended dates are on. Failure is an offence (reg 12) or draws a 4,000 dollar administrative penalty (reg 17), and inaccurate information that is not corrected draws 5,000 dollars (reg 20). A date that falls on a Sunday or a public general holiday moves to the next day that is neither (Interpretation Act (1995 Revision) s.8(b) and (c), which covers regulations as well as Acts; Public Holidays Act (2007 Revision) and its Orders). Saturday is not an excluded day, so a Saturday deadline does not move.12 months after year end (e.g. Dec 31, 2026)A Cayman-resident Ultimate Parent Entity of an MNE Group with consolidated revenue of at least USD 850m in the preceding fiscal year. A Cayman-resident Surrogate Parent Entity also files if the Ultimate Parent Entity is not required to file where it is resident, its country has an agreement with Cayman but no qualifying competent authority agreement in effect, or the Authority has told the entity of a systemic failure (reg 4(2)). Other Cayman entities do not file a CbC report.Tax Information Authority (International Tax Compliance) (Country-By-Country Reporting) Regulations, 2017 (SL 99 of 2017), legislation.gov.ky
4Economic Substance return under the ES Act, not a transfer pricing form Due no later than 12 months after the last day of each financial year of the relevant entity (ES Act s.7(3)). It is filed on the DITC Portal in the form the Authority approves. A DITC advisory of 17 June 2026 (as reported by Maples, Harneys and Appleby) says that from ESN year 2025 the DITC no longer sends reminder emails, so the entity must track its own deadline. A late return costs 5,000 dollars plus 500 dollars a day (s.7(8A)). Failing the economic substance test is penalised separately (s.8). This is a tp-form kind only because no better kind exists. It is an economic substance filing, not a transfer pricing form. Dec 31, 2026)A relevant entity that carries on a relevant activity and must meet the economic substance test. Relevant activities are banking, distribution and service centre, financing and leasing, fund management, headquarters, insurance, intellectual property, shipping and holding company business. Domestic companies, local partnerships, investment funds and entities tax resident outside Cayman are not relevant entities (an entity tax resident elsewhere files a Tax Resident Outside the Islands form instead, also within 12 months). The return must also give details of any MNE Group the entity belongs to for CbC purposes (s.7(4)(i)).International Tax Co-operation (Economic Substance) Act (2026 Revision), s.7, legislation.gov.ky
