The law
#Bermuda has no general transfer pricing act. The rule is section 37 of the Corporate Income Tax Act 2023 (the CIT Act), which taxes in-scope MNE groups at 15% (s.4) for fiscal years beginning on or after 1 January 2025. A group is in scope if it has consolidated revenue of at least EUR 750m in at least two of the four preceding fiscal years (s.11) and a Bermuda tax resident entity or permanent establishment. Section 37(1) says a transaction between a Bermuda Constituent Entity and a group entity in another jurisdiction that is not consistent with the arm's length principle must be adjusted to it. The Act defines the principle as using the conditions independent enterprises would have agreed in comparable transactions. Section 37(2) says a transaction not recorded in the same amount by both sides must be adjusted to the same amount, and s.37(3) recomputes gains and losses on asset transfers between two Bermuda entities at arm's length. Tax is charged on the Bermuda Constituent Entity Group, and every Bermuda Constituent Entity of the in-scope group is jointly and severally liable for it (s.4(3)). The CIT Agency (CITA) administers the Act under the Corporate Income Tax Agency Act 2024.
Documentation
#Bermuda has no master file, local file or transfer pricing documentation rule in the CIT Act, the Administrative Regulations or the CITA guidance read for this research. The group makes the s.37 adjustments in its CIT return and must keep books and records that support every item in the return for 5 years after filing (Administrative Regulations reg 27). CITA can open an enquiry into any return item (regs 29 to 31) and can assess within 4 years of the due or filing date, with no limit for fraud or no return. The official guidance (Guidance Notes General, 8 October 2026, part 17) only says that no s.37 adjustment is needed for the opening tax loss carryforward, because the cost of reviewing old intercompany deals would be too high. Keeping a normal transfer pricing study is still sensible, because it can help to show reasonable cause or substantial authority if CITA questions the return.
Methods
#The CIT Act and the CITA guidance do not list transfer pricing methods and do not mention the OECD Transfer Pricing Guidelines. The Act only defines the arm's length principle and requires adjustments to match it. The CITA guidance also says that the Act is similar to the GloBE Rules in many places but that those rules and their commentary are not part of the Act unless it says so. In practice a group will use the usual OECD style methods, but this is practice and not a stated rule. The arm's length adjustment applies to transactions with group entities in other jurisdictions and to asset transfers between two Bermuda entities. The rule that both sides must record the same amount applies to all group transactions. An election lets Bermuda Constituent Entities of the same group eliminate transactions between them as in consolidation (s.37(4) and (5)).
Penalties
#Civil penalties are in Part 8A of the CIT Act. Failing to register: up to USD 10,000 (s.46C). Failing to file a return: the greater of USD 3,000 or 5% of tax due for each of the first five months, then USD 3,000 a month (s.46D). Failing to file instalment forms (Form 001) or other required information: USD 3,000 a month until it is filed or the return is filed. Understating tax through negligence, disregard or a substantial understatement: up to 20% of the understatement, which is reduced where there was substantial authority or adequate disclosure, and removed for reasonable cause and good faith (s.46E). Failing to pay tax: 0.5% of the tax due for each month (s.46F). All group entities are jointly and severally liable, and CITA must first send a warning notice with 28 days to respond. Criminal offences cover deliberate failure to file for over six months (fine up to USD 5m or 6 months, s.46H) and tax evasion (fine up to 100% of the tax or up to 5 years, s.46I). CbC failures carry a civil penalty up to USD 4,000, a USD 200 a day penalty on unpaid penalties, USD 5,000 for known inaccurate data, and an offence with a fine up to USD 10,000 or 6 months.
Pillar Two
#The Bermuda CIT is Bermuda's response to Pillar Two, but it is a stand-alone 15% income tax, not a qualified domestic minimum top-up tax (QDMTT). The CIT Act does not enact the GloBE income inclusion rule, UTPR or a QDMTT, and its own wording treats the s.4 tax as an income tax next to a separate mention of QDMTTs. CITA's guidance says many Act provisions are like the GloBE Rules but the GloBE Rules are not part of Bermuda law. The tax uses a GloBE-like base (financial accounting income with adjustments, a 5 year loss carryforward and an economic transition adjustment) and the same EUR 750m revenue test. Because it is not a QDMTT, the QDMTT safe harbour does not apply, so countries that apply an IIR or UTPR to the group still run the GloBE calculation for Bermuda. The Bermuda tax should count as a covered tax there, so top-up tax arises only if the Bermuda effective tax rate under the GloBE Rules is below 15% (for example because of tax credits or base differences). No Bermuda GloBE Information Return or top-up tax notification was found, so there is no separate Pillar Two filing in Bermuda. The filings are the CIT return, two instalments and the final payment. Do not use the 15 or 18 month GloBE timing here: the Bermuda return is due at the end of the tenth month after the fiscal year end. Whether the 2026 OECD side-by-side package changes how other countries treat this tax was not checked.
Other rules
#CIT registration goes through CITA Online. The filing entity registers at least 10 days before the first instalment, and other entities at least 90 days before the original return due date. A group pays two instalments during the year (the last day of the 8th month and the 15th day of the 12th month of the fiscal year), then the balance by the return due date, all in US dollars. No instalments are due if the year tax is under USD 10,000. A de minimis election gives zero tax if average revenue is under EUR 10m and average net taxable income is under EUR 1m (s.7). Under Administrative Regulations reg 5(3), a deadline that is not a business day (Saturday, Sunday or a Bermuda public holiday) moves to the next business day, and CITA publishes dates that way (for example 2 November 2026 for 31 December 2025 year ends). Bermuda public holidays are in the Schedule to the Public Holidays Act 1947. CbC reporting is separate, under the International Cooperation (Tax Information Exchange Agreements) Act 2005 and the 2017 CbC Regulations: the Bermuda ultimate parent notifies by the last day of the fiscal year and files within 12 months, and a Sunday or public holiday (but not Saturday) moves the date under the Interpretation Act 1951 s.9. The Economic Substance Act 2018 is a separate regime with its own declaration, due six months after the end of the relevant financial period according to CITA, and it is not shown as a filing here. The Corporate Income Tax Agency Act 2024 and the Tax Credits Act 2025 are also part of the regime, and CITA has consulted on more amendments in 2026.
Filings and deadlines
#| # | Filing | When | Who | Source |
|---|---|---|---|---|
| 1 | Registration with the CIT Agency (Filing Bermuda Constituent Entity, one time) The Filing Bermuda Constituent Entity must register no later than 10 days before the payment of any required instalment (reg 6(1)(a)), so the date shown is 10 days before the first instalment. The Agency can extend or vary the deadline. Failing to register can bring a civil penalty of up to USD 10,000 (CIT Act s.46C). Registration is through CITA Online. This is a one-time step: the tool shows it every year, so ignore it once the entity is registered (changes must be updated within 90 days, reg 6(2)). If no instalment is due (for example tax under USD 10,000), the Regulations give the Filing entity no specific date; registering by the date for other entities is the safe course. A date that is not a business day in Bermuda (a Saturday, a Sunday or a public holiday under the Public Holidays Act 1947) moves to the next business day (Corporate Income Tax (Administrative) Regulations 2025, reg 5(3) and the definition of business day in reg 2). | With CIT first instalment payment, less 10 days (e.g. Aug 21, 2025) | Groups in scope of the Bermuda corporate income tax: an MNE group with consolidated revenue of at least EUR 750m in at least two of the four preceding fiscal years (CIT Act s.11), with a Bermuda tax resident entity or Bermuda permanent establishment, for fiscal years beginning on or after 1 January 2025. Tax is charged on the Bermuda Constituent Entity Group, and one Filing Bermuda Constituent Entity files and pays for it. Groups with a limited international footprint (s.13) and entities under the de minimis election (s.7) can owe zero tax. The tool tests only the revenue figure, so check the other conditions by hand. | Corporate Income Tax (Administrative) Regulations 2025 (as amended to 14 August 2026), reg 6 |
| 2 | CIT first instalment payment Due on the last day of the 8th month of the group's fiscal year (reg 13(1)), so 4 months before the year end for a 12 month year (31 August for a 31 December year end). The amount is the lesser of 50% of the tax or 100% of the tax on the first six months, less 50% of tax credit benefits in some cases. No instalments are due if the year is 32 weeks or less, if the tax is under USD 10,000, and no second instalment if the year is over 32 and under 52 weeks (reg 12). Late instalments bear interest at 4% plus the one-year USD risk-free rate (reg 19). A date that is not a business day in Bermuda (a Saturday, a Sunday or a public holiday under the Public Holidays Act 1947) moves to the next business day (Corporate Income Tax (Administrative) Regulations 2025, reg 5(3) and the definition of business day in reg 2). Example: for a 31 December 2025 year end the date is 2 September 2025, because 31 August was a Sunday and 1 September was Labour Day. | 4 months before year end (e.g. Sep 2, 2025) (moved from Aug 31, 2025, a Sunday) | Groups in scope of the Bermuda corporate income tax: an MNE group with consolidated revenue of at least EUR 750m in at least two of the four preceding fiscal years (CIT Act s.11), with a Bermuda tax resident entity or Bermuda permanent establishment, for fiscal years beginning on or after 1 January 2025. | CITA: Filing & Payment Deadlines (published 5 June 2026), with Administrative Regulations reg 13 |
| 3 | CIT second instalment payment Due on the 15th day of the 12th month of the fiscal year (reg 14(1)), which is the 15th of the year end month for a 12 month year (15 December for a 31 December year end). The amount is the lesser of 90% of the tax or 120% of the tax on the first nine months, less the first instalment. No second instalment is due if the year is over 32 but under 52 weeks long, and no instalment at all if the year is 32 weeks or less or the tax is under USD 10,000 (reg 12). A date that is not a business day in Bermuda (a Saturday, a Sunday or a public holiday under the Public Holidays Act 1947) moves to the next business day (Corporate Income Tax (Administrative) Regulations 2025, reg 5(3) and the definition of business day in reg 2). | Day 15 of the year-end month (e.g. Dec 15, 2025) | Groups in scope of the Bermuda corporate income tax: an MNE group with consolidated revenue of at least EUR 750m in at least two of the four preceding fiscal years (CIT Act s.11), with a Bermuda tax resident entity or Bermuda permanent establishment, for fiscal years beginning on or after 1 January 2025. | CITA: Filing & Payment Deadlines (published 5 June 2026), with Administrative Regulations reg 14 |
| 4 | CbC notification to the Minister (CbC Regulations 2017, reg 5) Must notify the Minister no later than the last day of the group's reporting fiscal year (reg 5(1)). The notice goes through the Bermuda Tax Information Reporting Portal run by CITA. After the 2017 amendment (BR 81 of 2017) only the parent or surrogate entity has this duty, not other Bermuda entities. The CbC rules are not under the CIT Act, so the Administrative Regulations date convention does not apply. Under the Interpretation Act 1951 s.9, a date on a Sunday or public holiday moves to the next day, but a Saturday does not. The tool keeps the unadjusted date, which is safe but may be early for a Sunday or holiday. Failure to comply: civil penalty up to USD 4,000 (reg 17), and an offence with a fine up to USD 10,000 or 6 months (regs 11 and 15). | Last day of the fiscal year (e.g. Dec 31, 2025) | A Bermuda tax resident Constituent Entity of an MNE group with consolidated revenue of at least EUR 750m in the preceding fiscal year (Excluded MNE Group test, reg 2). Reg 5(1), as amended by BR 81/2017, requires it to notify whether it is the ultimate parent or surrogate parent entity; CITA's guidance speaks only of ultimate parent and surrogate parent entities. | International Cooperation (Tax Information Exchange Agreements) Country-by-Country Reporting Regulations 2017 (BR 40/2017, amended by BR 81/2017) |
| 5 | Registration with the CIT Agency (other Bermuda Constituent Entities, one time) Every other Bermuda Constituent Entity that is not the Filing entity must register no later than 90 days before the original due date of the group's return (reg 6(1)(b)). This is a one-time step: the tool shows it every year, so ignore it once the entity is registered. The Agency can extend or vary this. A change in registered details must be updated within 90 days (reg 6(2)). The Agency may also use Registrar of Companies data to simplify registration, and an entity that declared itself to the Registrar is not in default until the Agency tells it that its registration is incomplete and 90 days pass (reg 7). A date that is not a business day in Bermuda (a Saturday, a Sunday or a public holiday under the Public Holidays Act 1947) moves to the next business day (Corporate Income Tax (Administrative) Regulations 2025, reg 5(3) and the definition of business day in reg 2). | With Corporate income tax return (Form 100 with Form S-101 or S-102 schedules), less 90 days (e.g. Aug 3, 2026) (moved from Aug 2, 2026, a Sunday) | Groups in scope of the Bermuda corporate income tax: an MNE group with consolidated revenue of at least EUR 750m in at least two of the four preceding fiscal years (CIT Act s.11), with a Bermuda tax resident entity or Bermuda permanent establishment, for fiscal years beginning on or after 1 January 2025. | Corporate Income Tax (Administrative) Regulations 2025 (as amended to 14 August 2026), regs 6 and 7 |
| 6 | Corporate income tax return (Form 100 with Form S-101 or S-102 schedules) The Filing Bermuda Constituent Entity files one return for the group for each fiscal year. The original due date is the end of the tenth month after the fiscal year end (reg 23(2)), for example 31 October for a 31 December year end, not 15 or 18 months. The first return is for a fiscal year beginning on or after 1 January 2025 and has no longer first year period; for the 31 December 2025 year the date is 2 November 2026 because 31 October 2026 is a Saturday. The Agency can also require a return by notice (reg 24). Late filing: the greater of USD 3,000 a month or 5% of tax due a month for the first five months, then USD 3,000 a month (s.46D). A date that is not a business day in Bermuda (a Saturday, a Sunday or a public holiday under the Public Holidays Act 1947) moves to the next business day (Corporate Income Tax (Administrative) Regulations 2025, reg 5(3) and the definition of business day in reg 2). | Day 31 of the 10th month after year end (e.g. Nov 2, 2026) (moved from Oct 31, 2026, a Saturday) | Groups in scope of the Bermuda corporate income tax: an MNE group with consolidated revenue of at least EUR 750m in at least two of the four preceding fiscal years (CIT Act s.11), with a Bermuda tax resident entity or Bermuda permanent establishment, for fiscal years beginning on or after 1 January 2025. | CITA: Filing & Payment Deadlines (published 5 June 2026), with Administrative Regulations reg 23 |
| 7 | CIT final tax payment (balance after instalments) All tax due for the fiscal year must be paid by the original due date of the return (reg 17), the same date as the return. Late payment brings a civil penalty of 0.5% of tax due for each month (s.46F) and interest at 4% plus the one-year USD risk-free rate (reg 19). Payment is in US dollars. A date that is not a business day in Bermuda (a Saturday, a Sunday or a public holiday under the Public Holidays Act 1947) moves to the next business day (Corporate Income Tax (Administrative) Regulations 2025, reg 5(3) and the definition of business day in reg 2). | With Corporate income tax return (Form 100 with Form S-101 or S-102 schedules) (e.g. | CITA: Filing & Payment Deadlines (published 5 June 2026), with Administrative Regulations reg 17 |
| 8 | Tax Credit Benefits return CITA publishes the Tax Credit Benefits return deadline on the same date as the corporate income tax return. The tool shows it for every in-scope group, but it matters only for groups that claim the credits. Nov 2, 2026) (moved from Oct 31, 2026, a Saturday) | Only groups with a Qualifying Bermuda Group BCE that claims tax credit benefits under the Tax Credits Act 2025. Groups in scope of the Bermuda corporate income tax: an MNE group with consolidated revenue of at least EUR 750m in at least two of the four preceding fiscal years (CIT Act s.11), with a Bermuda tax resident entity or Bermuda permanent establishment, for fiscal years beginning on or after 1 January 2025. | CITA: Filing & Payment Deadlines (published 5 June 2026) |
| 9 | Transfer pricing adjustments in the CIT return (CIT Act s.37) Bermuda has no separate transfer pricing form, master file or local file. Transactions with group entities in other jurisdictions must be adjusted to the arm's length principle, and mismatched amounts must be aligned, when the group works out its taxable income in the CIT return (s.37(1) and (2)). The date follows the return. Understatements caused by negligence or disregard of the Act can cost up to 20% of the understatement (s.46E). | Corporate Income Tax Act 2023, section 37 (Part 6) |
| 10 | Country-by-country report Due no later than twelve months after the last day of the group's reporting fiscal year (reg 7), filed through the Bermuda Tax Information Reporting Portal (CITA page and EOI deadlines table). The report follows the OECD Annex III template. Inaccurate information known to the filer can bring a civil penalty up to USD 5,000 (reg 19). Under the Interpretation Act 1951 s.9, a Sunday or public holiday moves the date to the next day, but a Saturday does not. The tool keeps the unadjusted date, which is safe but may be early for a Sunday or holiday. | 12 months after year end (e.g. Dec 31, 2026) | A Bermuda tax resident ultimate parent entity of an MNE group with consolidated revenue of at least EUR 750m in the preceding fiscal year. A Bermuda constituent entity may also have to file in the cases covered by the Regulations (surrogate parent, systemic failure). | International Cooperation (Tax Information Exchange Agreements) Country-by-Country Reporting Regulations 2017, reg 7; CITA Exchange of Information Filing Deadlines (5 June 2026) |
| 11 | Form 001 instalment information, first instalment The Filing entity must file Form 001 (instalment information, including any reduction for distributable tax credit benefits) for each instalment, even where the instalment is nil, unless no instalment is due or the de minimis election will be made (reg 10A). From 14 August 2026 the deadline is the same as the instalment payment date; a form the Agency finds incomplete counts as filed late. For instalments due on or before 31 December 2025 the deadline was 31 January 2026 (moved to 2 February 2026 by CITA), so earlier year ends are not shown. A date that is not a business day in Bermuda (a Saturday, a Sunday or a public holiday under the Public Holidays Act 1947) moves to the next business day (Corporate Income Tax (Administrative) Regulations 2025, reg 5(3) and the definition of business day in reg 2). | Starts with years ending on or after 2026-05-31 | Groups in scope of the Bermuda corporate income tax: an MNE group with consolidated revenue of at least EUR 750m in at least two of the four preceding fiscal years (CIT Act s.11), with a Bermuda tax resident entity or Bermuda permanent establishment, for fiscal years beginning on or after 1 January 2025. | Corporate Income Tax (Administrative) Regulations 2025 (as amended to 14 August 2026), reg 10A |
| 12 | Form 001 instalment information, second instalment Same Form 001 obligation as for the first instalment (reg 10A), due on the second instalment payment date. For the earliest year ends (December 2025 and January 2026) CITA set 2 February 2026, so those are not shown. A date that is not a business day in Bermuda (a Saturday, a Sunday or a public holiday under the Public Holidays Act 1947) moves to the next business day (Corporate Income Tax (Administrative) Regulations 2025, reg 5(3) and the definition of business day in reg 2). | Starts with years ending on or after 2026-02-28 | Groups in scope of the Bermuda corporate income tax: an MNE group with consolidated revenue of at least EUR 750m in at least two of the four preceding fiscal years (CIT Act s.11), with a Bermuda tax resident entity or Bermuda permanent establishment, for fiscal years beginning on or after 1 January 2025. | Corporate Income Tax (Administrative) Regulations 2025 (as amended to 14 August 2026), reg 10A |
