The law
#Colombia's transfer pricing rules are in articles 260-1 to 260-11 of the Estatuto Tributario (ET), added by Law 1607 of 2012 and changed by Law 1819 of 2016. They are detailed in Decreto 1625 of 2016 (DUR, articles 1.2.2.1.1 and following, as changed by Decreto 2120 of 2017) and in DIAN Resolution 1210 of 2022. Taxpayers that deal with related parties abroad, related parties in a free zone, or parties in non-cooperative, low-tax or preferential-regime jurisdictions must set their income, costs, deductions, assets and liabilities at arm's length (ET arts. 260-2 and 260-7). Related parties are defined in art. 260-1 (control, branches, permanent establishments, common control and similar links). The rules only affect income tax (art. 260-2, parágrafo).
Documentation
#There are three layers. First, an informative return (Formulario 120, with the data loaded through the DIAN Formato 1125 prevalidator) is due when gross equity at year end is at least 100,000 UVT or gross income for the year is at least 61,000 UVT, and the taxpayer deals with related parties abroad or in free zones (ET art. 260-9, DUR art. 1.2.2.1.2). Second, a local file is due for each type of transaction above 45,000 UVT a year, or above 10,000 UVT for transactions with non-cooperative, low-tax or preferential-regime parties. Third, a master file is due from those taxpayers who belong to a multinational group and meet the same caps. Taxpayers dealing with non-cooperative or low-tax jurisdictions must file whatever their size (ET art. 260-7, parágrafo 2). The local and master files go in as PDF files, the financial data must be signed by the legal representative and the public accountant or statutory auditor, and records must be kept five years (ET art. 260-5). For 2026, 1 UVT is COP 52,374, so 61,000 UVT is about COP 3.19bn.
Methods
#Five methods are allowed (ET art. 260-3): comparable uncontrolled price, resale price, cost plus, transactional net margin and profit split. The most appropriate method is chosen on the facts and a functional analysis, the reliability of data, comparability and the adjustments needed. For commodities, the comparable uncontrolled price method must be used except in special cases. Several comparables give an arm's length range, which can be narrowed with the interquartile range. If the taxpayer's result is inside the range it is accepted, and if it is outside the range the median is treated as the arm's length result. Internal comparables come first, unlisted shares cannot be valued at book value, and intra-group services need proof that the service was really provided. Interest on loans that fail the comparability tests is not deductible and is treated as a dividend (DUR art. 1.2.2.1.3).
Penalties
#Penalties are in ET art. 260-11 and are counted in UVT. A late local or master file costs 0.05% of the value of the transactions (cap 417 UVT) if filed within 5 business days, and then 0.2% a month (cap 1,667 UVT a month, 20,000 UVT in total). Not filing costs 4% of the value (cap 25,000 UVT), or 6% for tax haven transactions (cap 30,000 UVT), and the related costs and deductions are disallowed. For the informative return, late filing costs 0.02% (cap 313 UVT) within 5 business days and then 0.1% a month (cap 1,250 UVT a month, 15,000 UVT in total). Wrong data costs 0.6% (cap 2,280 UVT), omitted data 1.3% (cap 3,000 UVT), and not filing after a one month summons costs 4% (cap 20,000 UVT). Penalties for wrong or omitted data are halved if the taxpayer fixes them voluntarily in time. The country-by-country report is penalised under ET art. 651 instead, with a fine of up to 7,500 UVT.
Pillar Two
#Colombia has not adopted the OECD GloBE rules as far as could be confirmed on 26 October 2026: no income inclusion rule, undertaxed profits rule, qualified domestic minimum top-up tax or GloBE information return was found, so there is no Pillar Two filing deadline for Colombia. As context only, Law 2277 of 2022 added a domestic minimum tax, the Tasa de Tributación Depurada (TTD), which tops up the income tax of Colombian companies and permanent establishments (but not foreign companies without residence) to 15% of adjusted accounting profit (ET art. 240, parágrafo 6) from tax year 2023. It is a local rule that is not a GloBE rule, and it is paid through the normal income tax return.
Other rules
#Colombia's tax year is the calendar year (31 December). The general corporate income tax rate is 35% (ET art. 240). Due dates for the return and the transfer pricing filings are set in business days by Decreto 2229 of 2023, which applies from 2024 on with no yearly decree needed, and depend on the last digit of the NIT (tax ID, without the check digit): digit 1 is the 7th business day and digit 0 is the 16th. Unilateral, bilateral and multilateral advance pricing agreements are possible (ET art. 260-10); a unilateral one can cover the year of signing, the year before and up to three years after. If a treaty partner makes a transfer pricing adjustment that the DIAN accepts, the Colombian party can file a corrected return without penalty (ET art. 260-6).
Filings and deadlines
#| # | Filing | When | Who | Source |
|---|---|---|---|---|
| 1 | Corporate income tax return (Formulario 110, declaración de renta) Large taxpayers (grandes contribuyentes) file in April by the last NIT digit, from the 7th business day (digit 1) to the 16th (digit 0): 9 to 22 April 2024, 9 to 24 April 2025, 13 to 24 April 2026 and 9 to 22 April 2027. They also pay the first of three installments in February (10 to 23 February 2026, 9 to 22 February 2027), before the return is filed, and the third in June (art. 1.6.1.13.2.11). All other companies file the return and pay the first of two installments in May, and pay the second in July (art. 1.6.1.13.2.12): 10 to 24 May 2024, 12 to 23 May 2025, 12 to 26 May 2026 and 12 to 25 May 2027. The date shown is the large taxpayer date for digit 1, the earliest possible, so a company that is not a large taxpayer has about a month more and later digits have more days. The 2024 to 2026 dates match the DIAN calendars; the 2027 dates are counted from the decree. | 7th business day of April (large taxpayers, NIT digit 1), the earliest date across all NIT digits and taxpayer types (e.g. Apr 13, 2026) | All companies and branches liable to Colombian income tax. The date depends on the last NIT digit and on whether the DIAN classes the taxpayer as a large taxpayer (gran contribuyente). | Decreto 1625 de 2016, arts. 1.6.1.13.2.11 and 1.6.1.13.2.12 (as replaced by Decreto 2229 de 2023); DIAN Calendario Tributario 2024 to 2026 |
| 2 | Informative transfer pricing return (Formulario 120 with Formato 1125) Filed electronically in September by the last NIT digit, from the 7th business day (digit 1) to the 16th (digit 0): 10 to 23 September 2024, 9 to 22 September 2025, 9 to 22 September 2026 and 9 to 22 September 2027 (the 2024 to 2026 windows match the DIAN calendars). The data is first loaded through the Formato 1125 prevalidator and sent with the electronic signature (IFE), and then the Formulario 120 is signed and filed; the filing counts only when both steps are done (Resolution 1210 of 2022, art. 2). Late filing costs 0.02% of the transactions within 5 business days and 0.1% a month after that, and not filing after a one month summons costs 4% (ET art. 260-11 B). Dates are already business days, so nothing moves for weekends or holidays. | 7th business day of September (NIT digit 1), the earliest date across all NIT digits (e.g. Sep 9, 2026) | Income tax payers with gross equity of 100,000 UVT or more at year end, or gross income of 61,000 UVT or more for the year, that deal with related parties abroad or in a free zone, including branches and permanent establishments of foreign companies in the cases listed in DUR art. 1.2.2.1.2. Also anyone dealing with non-cooperative, low-tax or preferential-regime parties, whatever their size. The tool tests revenue only, using 61,000 UVT at the 2024 value (COP 47,065 a UVT, so about COP 2.87bn); the equity test cannot be checked. The UVT is higher in 2025 and 2026 and was lower in 2023 (COP 42,412). | Decreto 1625 de 2016, art. 1.6.1.13.2.28 (as replaced by Decreto 2229 de 2023) |
| 3 | Local file (Informe Local) Due on the same dates as the informative return, by NIT digit, in September (art. 1.6.1.13.2.29). It is uploaded as a PDF through the DIAN electronic services under 'envío de archivos' with the electronic signature (Resolution 1210 of 2022, art. 6). The financial and accounting data must be signed by the legal representative and the public accountant or statutory auditor (ET art. 260-5). Below the thresholds no file is needed, but the support for the related party dealings must be kept (DUR art. 1.2.2.1.2, parágrafo 3). Keep the records five years. A late file costs 0.05% of the value of the transactions within 5 business days and 0.2% a month after that, and no file costs 4% (ET art. 260-11 A). | With Informative transfer pricing return (Formulario 120 with Formato 1125) (e.g. Sep 9, 2026) | Same entry test as the informative return (gross equity of 100,000 UVT or gross income of 61,000 UVT, plus related party dealings), but the file is only needed for each type of transaction above 45,000 UVT a year (10,000 UVT for non-cooperative, low-tax or preferential-regime parties). The tool tests revenue only. | ET art. 260-5, DUR arts. 1.2.2.1.2 and 1.6.1.13.2.29 |
| 4 | Master file (Informe Maestro) Due on the same dates as the informative return and the local file, by NIT digit, in September (art. 1.6.1.13.2.29, numeral 1). It is filed as a PDF in the same way as the local file (Resolution 1210 of 2022, art. 6) and covers the group's structure, business, intangibles, financing activities and financial and tax positions (DUR arts. 1.2.2.2.2.1 to 1.2.2.2.2.6). Penalties are the same as for the local file (ET art. 260-11 A). | With Informative transfer pricing return (Formulario 120 with Formato 1125) (e.g. Sep 9, 2026) | Taxpayers that meet the same thresholds as the local file and belong to a multinational group (two or more companies with tax residence in different jurisdictions, or a company taxed abroad through a permanent establishment). The tool tests revenue only. | ET art. 260-5, DUR arts. 1.2.2.1.2 (parágrafo 4) and 1.6.1.13.2.29 |
| 5 | Country-by-country notification (Notificación del Informe País por País) Taxpayers that must file the informative return give the notice by filling boxes 37 to 44 of the Formulario 120, so it is due with the return in September (Resolution 1210 of 2022, art. 5, parágrafo 1). Companies that do not have to file the return send the DIAN notification format by email to preciostransferencia@dian.gov.co, subject 'Notificación - Informe País por País' plus the year, on the same September dates (Resolution 5744 of 2024). An entity that is not the parent or surrogate gives the identity and tax residence of the reporting entity (DUR art. 1.2.2.2.3.4). | With Informative transfer pricing return (Formulario 120 with Formato 1125) (e.g. Sep 9, 2026) | Each Colombian resident member of a multinational group must say whether it is the ultimate parent or surrogate entity, or else name the reporting entity and its tax residence. A group with consolidated income below 81,000,000 UVT in the prior fiscal year is an excluded group (DUR art. 1.2.2.2.3.2), so the notice only applies to groups at or above that amount. The tool uses that amount at the 2024 UVT (about COP 3.81 trillion). | DUR arts. 1.2.2.2.3.2 and 1.2.2.2.3.4, DIAN Resolution 1210 of 2022, art. 5 (as changed by Resolution 5744 of 2024) |
| 6 | Country-by-country report (Informe País por País) Due by the 10th business day of December, whatever the NIT digit (art. 1.6.1.13.2.29, numeral 2): 13 December 2024, 15 December 2025, 15 December 2026 and 15 December 2027 (the 2024 to 2026 dates match the DIAN calendars). The December date is read as the report for the previous calendar year (December 2025 for 2024), about 12 months after year end. It is filed electronically with the DIAN. It is not covered by the ET art. 260-11 penalties (art. 260-5, parágrafo 1); art. 651 applies instead: a fine of up to 7,500 UVT (1% of amounts not supplied, 0.7% of wrong amounts, 0.5% of late amounts), cut to 50% if cured before the penalty is notified or 70% if cured within 2 months after. | 10th business day of December of the year after the fiscal year (same for every NIT digit) (e.g. Dec 15, 2026) | Colombian resident ultimate parents of multinational groups with consolidated income of 81,000,000 UVT or more in the prior year, entities named as surrogate filer, and Colombian entities with 20% or more of group income whose foreign parent has not filed in its home country under a working exchange agreement (ET art. 260-5, numeral 2; DUR art. 1.2.2.2.3.3). The tool uses 81,000,000 UVT at the 2024 value (COP 47,065) for every group. | Decreto 1625 de 2016, art. 1.6.1.13.2.29 numeral 2 (as replaced by Decreto 2229 de 2023) |
