The law
#Uruguay applies the arm's length principle in Chapter VIII of Title 4 (IRAE) of the Ordered Text 2023 (TO 2023), articles 46 to 57. These are the old articles 38 to 46 of the 1996 Ordered Text, renumbered. Dealings between an IRAE taxpayer and a related party are treated as made between independent parties only if the terms follow normal market practice. If not, the DGI adjusts them with the methods in article 49, but it must prove the departure (art. 46). Parties are related when the same people direct or control both, or have decision power over the taxpayer through capital, credit rights or any other influence (art. 47). Dealings with entities in low or nil tax jurisdictions or regimes are presumed to be with related parties, with no proof to the contrary allowed (art. 48). Decreto 56/009 sets the detail. A jurisdiction is low or nil tax if it taxes income from Uruguayan activities, assets or rights at less than 12% and has no information exchange agreement or treaty with an exchange clause that fully applies (art. 3).
Documentation
#The main yearly filing is the transfer pricing sworn statement, Formulario 3001, with the transfer pricing study attached as a PDF. It is due from IRAE taxpayers with related party or low tax jurisdiction dealings (Decreto 56/009 art. 1) when those dealings exceed UI 50 million in the year (Resolución DGI 2084/009 numeral 10, as amended by 2098/009 and 745/011), or when the DGI has notified them. Free zone users are left out for dealings not taxed by IRAE. It is due in the 9th month after the fiscal year end, on the day set by the DGI calendar for the taxpayer's group. The DGI can also ask for the support behind the prices, and the taxpayer gets at least 8 months from year end to deliver it (Decreto 56/009 art. 15). Members of a multinational group with consolidated revenue of at least EUR 750m also file the master file and the country-by-country (CbC) report within 12 months after the group's reporting year (Decreto 353/018 arts. 5 and 9, Resolución DGI 94/019 numeral 8). A group entity in Uruguay that does not file the CbC report because it is filed abroad and can be exchanged still has to give the DGI the yearly information on the reporting entity before the group's year end (numeral 9). Uruguay has no separate local file.
Methods
#Article 49 of Title 4 lists five methods: comparable uncontrolled price, resale price, cost plus, profit split and transactional net margin. The taxpayer uses the method that fits the type of transaction best, and the regulations may add others. Decreto 56/009 art. 4 defines each method. The analysis may test the Uruguayan party or the foreign party (art. 5). If the foreign party is tested, the taxpayer needs proof certified in the country of origin by a reputed independent auditor, translated and legalised. Comparability looks at the transaction, the functions, assets and risks, the contract terms and the economic circumstances (art. 6). Imports and exports of goods with a public, transparent market price must use that price unless the taxpayer proves otherwise (art. 50). For related party commodity trades through a foreign intermediary, the comparable price method is mandatory, using the market price on the loading day, unless the intermediary meets the tests in art. 51. Advance pricing agreements of up to three fiscal years are allowed (art. 53), and can be made with other tax authorities under treaties.
Penalties
#Breaching a transfer pricing formal duty is fined in a graded way under article 100 of the Código Tributario, using the fine in the fourth paragraph of art. 469 of Ley 17.930 (art. 57 of Title 4). That fine is up to 1,000 times the maximum contravention fine in art. 95 of the Código Tributario. The art. 95 amounts are updated each year by decree: for 2026 the range is UYU 680 to UYU 13,220 (Decreto 344/025), so the transfer pricing fine can reach about UYU 13.2m. A tax adjustment itself carries late payment charges under art. 94 of the Código Tributario: a fine of 5% if paid within 5 working days of the due date, 10% up to 90 days, and 20% after that, plus a monthly surcharge. Fraud is punished under arts. 96 and following, which were not studied in depth.
Pillar Two
#Uruguay has enacted a domestic minimum top-up tax, the Impuesto Mínimo Complementario Doméstico (IMCD). Ley 20.446 of 16 December 2025 (art. 665) added Title 21 to the Ordered Text 2023, in force from the date of promulgation. It sets a 15% minimum effective rate in Uruguay for constituent entities in groups with revenue of at least EUR 750m in two of the four prior years (arts. 2 and 3 of Title 21). The tax arises at the end of the fiscal year (art. 13). The first year in scope is therefore the first fiscal year that ends on or after 16 December 2025, which is the year ended 31 December 2025 for a calendar year group. Each Uruguayan constituent entity must file a sworn statement (the Global Information Return) with the DGI no later than 15 months after the year end. The DGI may extend that to 18 months for the first year of application, but no such extension was found (art. 71). A local entity can file for all, and the Executive can name the entity that files and pays. The law gives no payment date. Decreto 206/026 (31 August 2026) and DGI Resolución 2400/026 (23 October 2026) set a compensation route for entities with fiscal stability clauses. Title 21 art. 74 says the Executive must exempt Uruguayan entities of groups whose ultimate parent is in a jurisdiction that is exempted or excluded from the income inclusion rule and UTPR, but no decree doing this was found. I found no Uruguayan income inclusion rule or UTPR.
Other rules
#The annual IRAE return is due in the 4th month after the fiscal year end, on the day in the DGI calendar for the taxpayer's group (Resolución DGI 1478/2007 numeral 4, as changed by Resolución 2403/2020 art. 2). The same return covers the Net Wealth Tax for companies. The DGI sets the days each December in a yearly calendar. In 2024 to 2026 the CEDE group, which includes large taxpayers, mostly files on day 22 and the NO CEDE group mostly on day 24 to 26, moved when the day is a weekend or holiday (2026 calendar, Resolución DGI 2284/2025). The DGI does not always follow that pattern: in March 2024 it set the 21st for both groups, before Tourism Week, and in April 2025 it set the 23rd. It also extends single dates by resolution (for example 22 April 2026 to 23 April 2026). Código Tributario art. 49 moves deadlines that fall on a non-working day to the next working day, so rollWeekends is true. Pillar Two and CbC dates count from the group's year end.
Filings and deadlines
#| # | Filing | When | Who | Source |
|---|---|---|---|---|
| 1 | Yearly information on the CbC reporting entity (información complementaria) Sent through the DGI website before the closing date of the group's fiscal year (Resolución DGI 94/019 numeral 9), every year, even with no change. It gives the entity that files the CbC report for the group, the ultimate parent, and the other group entities in Uruguay. The tool shows the day before the year end, the last day that is still before it. A weekend or holiday does not move it later. | Last day of the fiscal year, less 1 days (e.g. Dec 30, 2025) | Every IRAE taxpayer within Title 4 art. 56 that is a member of a multinational group with revenue of at least EUR 750m, whatever the residence of the entity that files the CbC report. | Resolución DGI 94/019, numeral 9 (IMPO) |
| 2 | Annual IRAE return (declaración jurada IRAE, with Net Wealth Tax) Due in the 4th month after the fiscal year end, on the day in the DGI calendar for the taxpayer's group (Resolución DGI 1478/2007 numeral 4, as changed by Resolución 2403/2020 art. 2). The tool shows day 22, the usual CEDE day and the earlier group, moved past weekends and holidays, so 22 April 2027 for a 31 December 2026 year end. NO CEDE taxpayers usually file 2 to 4 days later. The 2027 calendar comes out in December 2026, so check it. Where the 22nd falls in Tourism Week (22 to 26 March 2027), the DGI may set an earlier day, as it did in March 2024 (the 21st). | Day 22 of the 4th month after year end (e.g. Apr 22, 2026) | All IRAE taxpayers, including companies and branches. The tax year is the company's fiscal year and may end in any month (31 December is the most common). | Resolución DGI 2403/020, art. 2 (changing Resolución 1478/2007) and Resolución DGI 2284/025 (IMPO) |
| 3 | Transfer pricing sworn statement and study (Formulario 3001) Due in the 9th month after the fiscal year end, on the day set for the taxpayer's group in the DGI calendar (DGI guide to Formulario 3001). It has two files: a .txt file from the Sigma program and a PDF of the transfer pricing study, under 1 MB. The tool shows day 22, the usual CEDE day, so 22 September 2027 for a 31 December 2026 year end; NO CEDE taxpayers usually file a few days later. Check the DGI calendar each year, as the DGI sometimes sets an earlier day (for example around Tourism Week). Resolución DGI 1881/010 gave extra time in past years and was not read. Breach of the duty is fined under Title 4 art. 57. | Day 22 of the 9th month after year end (e.g. Sep 22, 2026) | IRAE taxpayers within Decreto 56/009 art. 1 (dealings with related parties abroad or with low or nil tax jurisdictions or regimes) whose dealings in the year exceed UI 50 million, or that the DGI has notified. The tool test uses about UYU 320m, a rough conversion of UI 50 million. | DGI, Precios de Transferencia Formulario 3001 |
| 4 | Master file sworn statement (Informe Maestro, declaración jurada especial) Due within 12 months after the close of the reporting year (Decreto 353/018 art. 9), so 31 December 2027 for a calendar 2026 year. Contents are in Decreto 353/018 art. 2 and Title 4 art. 55. The law says the DGI may require it and the decree says it must be filed. No DGI resolution setting the form or channel was found. The 12 months count from the group's year end. A deadline on a non-working day moves to the next working day (Código Tributario art. 49). | 12 months after year end (e.g. Dec 31, 2026) | IRAE taxpayers that are members of a multinational group whose consolidated revenue in the year before the reporting year was at least EUR 750m. The Uruguayan entity can be a subsidiary, a head office with permanent establishments, or another resident entity of the group. | Decreto 353/018, arts. 2 and 9 (IMPO) |
| 5 | Country-by-country report (Informe País por País) Due within 12 months after the close of the reporting year (Title 4 art. 56, Decreto 353/018 art. 9, Resolución DGI 94/019 numeral 8), so 31 December 2027 for a calendar 2026 year. If several group entities are in Uruguay, one may file for all, but the ultimate parent or designated entity must file its own. The report is sent in the OECD exchange format. If the DGI finds the foreign report could not be exchanged, it tells the taxpayer to file. Tax adjustments cannot rest on the report alone (Decreto 353/018 art. 8). A deadline on a non-working day moves to the next working day (Código Tributario art. 49). | 12 months after year end (e.g. Dec 31, 2026) | IRAE taxpayers that are members of a multinational group with consolidated revenue of at least EUR 750m in the year before the reporting year, including the ultimate parent and head offices with permanent establishments in Uruguay. Not required of a Uruguayan subsidiary if a group entity files it in a country with an exchange agreement with Uruguay and it can be exchanged. | Resolución DGI 94/019, numerals 1 to 8 (IMPO) |
| 6 | IMCD sworn statement (Global Information Return) Each Uruguayan constituent entity files with the DGI, or a designated local entity files for it, no later than 15 months after the last day of the reference fiscal year (TO 2023 Title 21 art. 71), so 31 March 2027 for the year ended 31 December 2025. The DGI may extend this to 18 months for the first year of application (30 June 2027 for a calendar group). No DGI resolution granting the extension was found by 27 October 2026, so the tool shows 15 months, the safe date (some advisers expect June 2027). It applies to fiscal years that end on or after 16 December 2025, the date of Ley 20.446. The DGI sets the terms of filing and can align them with the OECD Global Information Return. A deadline on a non-working day moves to the next working day (Código Tributario art. 49). | 15 months after year end (e.g. Mar 31, 2027) | Groups with consolidated revenue of at least EUR 750m, with an entity located in Uruguay. The test is revenue of at least EUR 750m in at least 2 of the 4 prior fiscal years. | TO 2023 (DGI), Title 21, art. 71 (IMPO) |
| 7 | IMCD payment The article is titled information and payment, but no payment date is written in Title 21, Decreto 206/026 or Resolución 2400/026. Decreto 206/026 art. 6 only refers to the due date of the tax. The tax is expected with the sworn statement, 15 months after year end, but the DGI has not said so in anything found. Check DGI notices. Late tax payment brings the fines and surcharge in Código Tributario art. 94. | See note | Groups with consolidated revenue of at least EUR 750m, with an entity located in Uruguay. | Decreto 206/026, arts. 1 and 6 (IMPO) |
| 8 | Request for compensation under a fiscal stability clause (optional) The entity first files a sworn statement asking for compensation, then opens an administrative file at the DGI with the group chart, the CbC report and a certificate from an international audit firm (Decreto 206/026 arts. 2 to 5, Resolución DGI 2400/026 numerals 1 and 2). No filing date is set. If the DGI answers in favour before the tax falls due, the entity can use the amount to pay the IMCD. The entity must still file the IMCD return and pay the tax (Decreto 206/026 art. 1). | See note | Only entities covered by a fiscal stability clause in force before the IMCD: free zone users (Ley 15.921 arts. 19, 20 and 25), forestry taxpayers (Ley 15.939 art. 43) or a specific agreement with the Uruguayan government. | Resolución DGI 2400/026 (IMPO) |
