The law
#The arm's length rule is section 33 of the Income Tax Law 118(I)/2002 (ITL). Section 33(1) lets the Commissioner add to the profit of a business any profit it lost because of non-arm's length terms with a related business. Companies are related at 25% of votes, capital or income (s.33(3)), and since 1 January 2026 a director who holds 50% of board votes also counts (Law 244(I)/2025). Section 33(5) gives the Cyprus counterparty a matching deduction, and section 33(6) says the OECD Transfer Pricing Guidelines, as amended, may be used to apply and read the rule. The full documentation rules came in with Law 101(I)/2022 from 1 January 2022. The Cyprus tax year is the calendar year (ITL s.2).
Documentation
#Every Cyprus resident company, and every Cyprus permanent establishment, with controlled transactions must file a Summary Information Table (SIT) electronically with its tax return each year (s.33(10)). It must also keep a transfer pricing documentation file, updated each year and ready by the return deadline (Notification KDP 314/2022, para 3). The file has a Master File, only for a Cyprus ultimate or surrogate parent entity of a group, and a Cyprus Local File. The Local File is not needed for a category of controlled transactions that does not exceed EUR 2.5m in the tax year, EUR 5m for goods, or EUR 10m for financing (s.33(9)(a), raised from EUR 750,000 per category from 1 January 2026 by Law 244(I)/2025; the Council of Ministers can change these amounts by decree under s.33(14)). For tax years 2022 to 2025 the law said EUR 750,000 per category, but the Tax Commissioner wrote to professional bodies on 1 February 2024 that EUR 1m (EUR 5m for financing) would be applied. Below the thresholds the Tax Department's Circular 6/2023 requires minimum documentation (a short functional analysis, the method and the arm's length price) and offers optional safe harbours for low value adding services (5% mark-up on cost) and for loans. Files go to the Commissioner within 60 days of a request (s.33(11)), in English or another international language, with a Greek translation on request.
Methods
#The OECD methods apply through s.33(6) and the Notification (KDP 314/2022 para 7), which ties the arm's length principle to Article 9 of the OECD Model. The Local File must name the most appropriate method and explain why it was chosen. The Commissioner can publish accepted methods and acceptable ranges by notice in the Official Gazette (s.33(13)). Unilateral, bilateral and multilateral advance pricing applications can be made to the Commissioner under s.33C ITL.
Penalties
#Failing to file the SIT is a fixed fine of EUR 500. If the documentation file is not given within 60 days of a request, the fine is EUR 5,000 for days 61 to 90, EUR 10,000 for days 91 to 120, and EUR 20,000 after that or if never provided (Assessment and Collection of Taxes Law 4/1978, s.50Z). A late tax return carries a fixed charge, now EUR 500 for a company with turnover or assets above EUR 1m and EUR 250 for other companies (s.50A), and the Commissioner usually waives it if the return arrives by a published penalty-free date. Late tax is charged 5%, and another 5% after two months. A CbC report that is not filed can be fined up to EUR 10,000 (s.50D).
Pillar Two
#The Law for Ensuring a Global Minimum Level of Taxation 151(I)/2024 (passed December 2024) applies the IIR to fiscal years starting on or after 31 December 2023, and the Cyprus domestic top-up tax and the UTPR to fiscal years starting on or after 31 December 2024 (art. 61). Groups with revenue of EUR 750m or more, and large domestic groups, are covered. The Top-Up Tax Information Return (TTIR, Form T.D.336) and the notifications (Forms T.D.331 to T.D.334) are due 15 months after the fiscal year end (art. 45(7), art. 47). For the transition year the period is 18 months or 30 June 2026, whichever is later (art. 57). The top-up tax return and payment are due 30 days later (art. 48), and Form T.D.335 is the return for the IIR. For the first fiscal year that starts from 31 December 2023 to 30 December 2024, the Tax Commissioner set 30 November 2026 as the last date for the returns (T.D.335, T.D.336), the notifications (T.D.331 to T.D.334) and the payment, and no fines, interest or charges apply if they are made by then (notice of 27 October 2026, which replaced the 30 September 2026 date in the notice of 15 June 2026).
Other rules
#The company tax return (Form T.D.4) is due by 31 March of the second year after the tax year (15 months) up to tax year 2025, and by 31 January of the second year after from tax year 2026 (Law 243(I)/2025). The Council of Ministers often moves the date by decree. Tax year 2023 was moved to 31 March 2026 (KDP 358/2025) and tax year 2024 to 30 November 2026 (KDP 359/2025). Companies with audited accounts pay the balance of tax by 1 August after the tax year for tax years up to 2025, and by 31 January of the second year after from tax year 2026, the same day as the return (Law 4/1978 s.38(1)(a), as amended by Law 243(I)/2025). CbC reports are due 12 months after the group's year end under the Administrative Cooperation Law 205(I)/2012, art. 7C. The corporate tax rate is 15% from 2026. All filings go through the Tax For All (TFA) portal. Deadlines that fall on a Sunday or public holiday move to the next working day under the Interpretation Law s.31, but a Saturday does not move.
Filings and deadlines
#| # | Filing | When | Who | Source |
|---|---|---|---|---|
| 1 | CbC notification to the Tax Department Each Cyprus entity must say, no later than the last day of the reporting fiscal year, whether it is the ultimate or surrogate parent, or name the reporting entity and where it is resident (Law 205(I)/2012, Annex III Section II points 3 and 4). A failure can be fined up to EUR 5,000 (Law 4/1978 s.50D(2)). The date is the year end itself, so it is not moved for a Sunday or holiday. | Last day of the fiscal year (e.g. Dec 31, 2025) | Cyprus resident constituent entities of groups with consolidated revenue of EUR 750m or more in the year before the reporting year. | Law 205(I)/2012 Annex III, Section II |
| 2 | Country-by-country report Filed within 12 months of the last day of the group's reporting fiscal year (Law 205(I)/2012 art. 7C(1)). A failure to file can be fined up to EUR 10,000 (Law 4/1978 s.50D(1)). | 12 months after year end (e.g. Dec 31, 2026) | A Cyprus resident ultimate parent entity, or another reporting entity, of a group with consolidated revenue of EUR 750m or more in the previous year. | Law 205(I)/2012 art. 7C and Law 4/1978 s.50D |
| 3 | Company income tax return (Form T.D.4) Companies with audited accounts file by 31 March of the second year after the tax year for tax years up to 2025, so 31 March 2027 for tax year 2025. From tax year 2026 the date is 31 January of the second year after (Assessment and Collection of Taxes Law s.5(1A), as replaced by Law 243(I)/2025), so 31 January 2028 for tax year 2026. The Council of Ministers can set a later date by decree (s.5(1A) last proviso). It set 31 March 2026 for tax year 2023 and 30 November 2026 for tax year 2024, with or without a SIT duty. The tax year is the calendar year. The balance of tax is due by 1 August after the tax year up to tax year 2025, and by 31 January of the second year after from tax year 2026 (Law 4/1978 s.38). For tax year 2023 the Commissioner also said no late charge applies if the return is filed by 30 April 2026 (notice of 26 March 2026). No decree or notice for tax year 2025 had been published by 27 October 2026. | 31 March of the second year after the tax year up to tax year 2025, and 31 January of the second year after from tax year 2026 (e.g. Mar 31, 2027) | Every company resident in Cyprus, and every non-resident company with Cyprus income that is not fully taxed by withholding. | Tax Department notice of 28 Nov 2025, with KDP 358/2025 and KDP 359/2025 |
| 4 | Summary Information Table of controlled transactions (SIT) Filed electronically with the tax return, so it has the same due date (ITL s.33(10), KDP 314/2022 para 5). It is a summary and does not replace the documentation file. Failing to file is a fixed fine of EUR 500 (Assessment and Collection of Taxes Law s.50Z(1)). The 2023 and 2024 return decrees (KDP 358/2025 and KDP 359/2025) also cover the SIT. | With Company income tax return (Form T.D.4) (e.g. Mar 31, 2027) | Every Cyprus resident person, and every Cyprus permanent establishment, with controlled transactions in the tax year. There is no size threshold. | ITL s.33(10) and Notification KDP 314/2022 para 5 |
| 5 | Cyprus Local File prepared The file must be ready by the date the income tax return is due, kept at the taxpayer's office and updated every year by the same date (KDP 314/2022 paras 3 and 6). It is not filed with the return. Below the thresholds, minimum documentation under Circular 6/2023 is still needed. The 2022 notification took effect on 1 January 2022. | With Company income tax return (Form T.D.4) (e.g. Mar 31, 2027) | From tax year 2026, needed for each category of controlled transactions above EUR 2.5m in the tax year (EUR 5m for goods, EUR 10m for financing) (ITL s.33(9)(a) as amended by Law 244(I)/2025). For tax years 2022 to 2025 the law said EUR 750,000 per category, and the Tax Commissioner wrote on 1 February 2024 that EUR 1m (EUR 5m for financing) would be applied. The tool tests total controlled transactions above EUR 1m, so it can flag a company that is exempt, especially from tax year 2026. | ITL s.33(9) and Notification KDP 314/2022 para 3 |
| 6 | Master File prepared Must be ready by the income tax return date and given on request within 60 days (ITL s.33(11), KDP 314/2022 para 3). The content follows OECD Annex I. Other Cyprus group entities are exempt from keeping a Master File. | With Company income tax return (Form T.D.4) (e.g. Mar 31, 2027) | A Cyprus ultimate parent entity or surrogate parent entity of a multinational group (ITL s.33(9)(b)). The law gives no revenue figure of its own, and practitioners use the EUR 750m CbC threshold. | ITL s.33(8) and (9)(b), and Notification KDP 314/2022 |
| 7 | Top-Up Tax Information Return (TTIR, Form T.D.336) Due 15 months after the fiscal year end (art. 45(7)), or 18 months or 30 June 2026, whichever is later, for the transition year (art. 57). The Tax Department applied the 18-month rule to the first fiscal year that starts from 31 December 2023 to 30 December 2024. On 27 October 2026 the Tax Commissioner set 30 November 2026 as the last date for first-year filings (years starting 31 December 2023 to 30 December 2024). The notice states one date for all first-year forms. For year ends from 31 May 2025 the law gives a later date (18 months), and the notice does not say it shortens that, so the tool keeps the later date; filing by 30 November 2026 is the safe course. The group can file once through central filing in Cyprus or in a listed qualifying country, and then the other Cyprus entities only notify. Failing to file can be fined up to EUR 10,000 (art. 49(1)), and the law bars fines for a transition period if the group acted in good faith (art. 49(12)). | 15 months after year end (e.g. Mar 31, 2027) | Groups with consolidated revenue of EUR 750m or more in at least two of the four preceding fiscal years, and large domestic groups, with an entity in Cyprus. | Tax Department notices of 15 Jun 2026 and 27 Oct 2026, and Law 151(I)/2024 arts. 45 and 57 |
| 8 | Notification of the filing entity (Form T.D.331, or T.D.333 by a designated local entity) Names the filing entity and where it is resident (art. 45(4) and art. 57). Same date as the TTIR. A designated local entity files one form T.D.333 for all Cyprus entities. A missing or wrong notice can be fined up to EUR 5,000 (art. 49(5)). | With Top-Up Tax Information Return (TTIR, Form T.D.336) (e.g. Mar 31, 2027) | Cyprus entities of a group whose TTIR is filed abroad by the ultimate parent or a designated filing entity. | Tax Department notice of 15 Jun 2026, Law 151(I)/2024 art. 45(4) |
| 9 | Constituent entity notification (Form T.D.332, or T.D.334 by a designated local entity) A one-time notice to the Commissioner, filed before the TTIR deadline expires (art. 47(1)). Changes must be reported before that deadline expires (art. 47(3)). A designated local entity files T.D.334 for all Cyprus entities. A missing or wrong notice can be fined up to EUR 5,000 (art. 49(5)). | With Top-Up Tax Information Return (TTIR, Form T.D.336) (e.g. Mar 31, 2027) | Every Cyprus constituent entity or joint venture of an in-scope group. | Tax Department notice of 15 Jun 2026, Law 151(I)/2024 art. 47 |
| 10 | Top-up tax due return (Form T.D.335 for the IIR) Due 30 days after the TTIR deadline (art. 48(2)). A nil return is also required for the IIR. On 27 October 2026 the Commissioner made 30 November 2026 the last date for first-year returns and payments that would fall due earlier. The Tax Department has published only the IIR form (T.D.335). No form for the domestic top-up tax or the UTPR was found, although art. 48(2) covers them. Revised returns are allowed (art. 50). | 15 months after year end, plus 30 days (e.g. May 4, 2027) (moved from Apr 30, 2027, a public holiday) | Each Cyprus parent entity or entity that owes top-up tax under the IIR, the UTPR or the Cyprus domestic top-up tax. | Tax Department notices of 15 Jun 2026 and 27 Oct 2026, Law 151(I)/2024 art. 48 |
| 11 | Top-up tax payment Paid through TFA within 30 days after the TTIR deadline, which is the same day as the return (art. 48(3)). Late tax adds a 5% charge and interest at the unified public default rate (art. 48(4)). | With Top-up tax due return (Form T.D.335 for the IIR) (e.g. May 4, 2027) (moved from Apr 30, 2027, a public holiday) | Each entity that owes top-up tax in Cyprus. | Law 151(I)/2024 art. 48(3) and (4) |
| 12 | Documentation file provided on request Within 60 days of the Commissioner's request, handed over by the taxpayer or its appointed representative (ITL s.33(11)). A Greek translation is due within 60 days of a translation request (KDP 314/2022 para 4). Fines: EUR 5,000 for days 61 to 90, EUR 10,000 for days 91 to 120, EUR 20,000 after that or if never provided (s.50Z(2) of Law 4/1978). | Within 60 days of a tax authority request | Anyone who must keep a documentation file, including minimum documentation below the thresholds. | ITL s.33(11) and Law 4/1978 s.50Z |
| 13 | Notice of changes, departures and exemption start Changes to the notification must be given before the TTIR deadline expires (art. 47(3)). An entity that leaves the group, or a group that falls out of scope, must tell the Commissioner within the same deadlines (art. 47(4)). The designated filing entity must tell the Tax Department when the group starts the initial phase of international activity, or a domestic group starts to be covered (art. 55(9)). No fixed date is set for that last notice. | See note | Cyprus entities of in-scope groups. | Law 151(I)/2024 arts. 47 and 55 |
