The law
#Bulgaria has two arm's length rules. Art. 15 of the Corporate Income Taxation Act (ZKPO) says that when related persons trade on terms that differ from those between unrelated persons and this affects the tax base, the base is set on the terms unrelated persons would have used. Art. 16 ZKPO is a wider anti-avoidance rule that can also reach deals between unrelated parties. The Tax and Social Insurance Procedure Code (DOPK) defines market price, transfer pricing and the list of methods (Additional Provisions § 1 points 8 to 10) and holds the documentation rules in Chapter Eight "a" (art. 71а to 71ж). Ordinance N-9 of 2006, which many guides still cite for the methods, was repealed from 1 January 2026 by Ordinance N-3 of 7 November 2025 (State Gazette 96/2025).
Documentation
#Documentation has two parts, a local file and a master file (art. 71а DOPK). A local file is due from local companies, foreign companies with a place of business in Bulgaria, and some sole traders that have controlled transactions (art. 71б(1)). The duty does not apply to companies that do not exceed at least two of EUR 20m assets, EUR 40m net sales and 250 staff on 31 December of the previous year, to deals only within Bulgaria, to tax-exempt and alternative-tax activities, or to deals with individuals who are not sole traders (art. 71б(2) and (4)). A transaction needs a local file when its value, without VAT and excise, is over BGN 400,000 for goods or BGN 200,000 for everything else (about EUR 204,517 and EUR 102,258), or when a loan is over BGN 1,000,000 or its interest and related items are over BGN 50,000 (art. 71б(5)). Similar deals can be pooled. The local file must be ready by 30 June of the year after the year it covers (art. 71д(1)). A group member must also have the group master file, which must exist within 12 months after that date (art. 71д(3)). Both files are prepared each year and are not filed. The tax office can ask for them during an audit (art. 71е). Bulgaria has no separate annual TP form.
Methods
#DOPK Additional Provisions § 1 point 10 lists the methods: comparable uncontrolled price, resale price, cost plus, transactional net margin, transactional profit split, and another method the taxpayer may use under the ordinance. The way to apply them is set by a Ministry of Finance ordinance. That is now Ordinance N-3 of 7 November 2025, in force from 1 January 2026, which replaced N-9 of 2006. The text of N-3 could not be read for this file, so the detailed rules (comparability factors, ranges, hierarchy) are not described here. Market price means the price independent persons would agree on comparable terms in comparable circumstances (§ 1 point 8). The documentation must show how comparables were found. The search is refreshed at least every three years when nothing important changes, and the financial data every year (art. 71е(3)).
Penalties
#A missing local file costs up to 0.5% of the total value of the transactions that should have been documented. A local file counts as missing if it is not handed over by the date the tax office sets (art. 278а(5) DOPK). A missing master file costs BGN 5,000 to 10,000 (about EUR 2,556 to 5,113). False or incomplete data in the documentation costs BGN 1,500 to 5,000 (about EUR 767 to 2,556). A repeat breach doubles the sanction (art. 278а(6) to (8)). A late or missing CbC report costs BGN 100,000 to 200,000 (about EUR 51,129 to 102,258), and a missing CbC notification costs BGN 50,000 to 150,000 (art. 278а(1) and (4)). A late or missing corporate tax return costs BGN 500 to 3,000 (art. 261 ZKPO). The laws still state these amounts in leva. Bulgaria joined the euro on 1 January 2026 and the leva amounts are read at the fixed rate of 1.95583.
Pillar Two
#Bulgaria has enacted Pillar Two in Part Five "a" of the ZKPO (Chapters 34а to 34л, art. 260а to 260я35). The Part took effect on 1 January 2024 (SG 106/2023) and has the primary top-up tax (IIR, art. 260е), a national top-up tax (QDMTT, Chapter 34л, art. 260я25 to 260я29) and the secondary top-up tax (UTPR, art. 260к and 260л, from 1 January 2025). It covers groups with revenue of at least EUR 750m in two of the four previous periods, and also large domestic groups (art. 260а(2)). The tax period follows the group's consolidated accounts (art. 260б). Each Bulgarian entity files the information return (GIR) with the NRA electronically, or names the entity that files it (notification), and files a top-up tax return and pays the tax by the same date (art. 260я23). That date is 15 months after the last day of the tax period, and 18 months for the group's transitional period, which is its first tax period in scope for Bulgaria (art. 260я16 and 260я19). The national top-up tax return follows the same dates (art. 260я28 and 260я29). Fines are BGN 100,000 to 200,000 for a missing return and BGN 50,000 to 150,000 for wrong data (art. 279 ZKPO), with relief for reasonable efforts on information returns for periods that start on or before 31 December 2026 and end on or before 30 June 2028 (art. 279(5)).
Other rules
#Groups with consolidated revenue above EUR 750m must file a country-by-country report with the NRA within 12 months after the end of the group's reporting year if the ultimate parent is a Bulgarian tax resident, or if a Bulgarian entity must step in (art. 143у(3), 143х, 143ц and 143ф DOPK). Every Bulgarian group member must tell the NRA by the last day of the reporting year whether it is the parent, a surrogate parent or none of these, and name the reporting entity (art. 143ш). The corporate tax return is filed from 1 March to 30 June of the year after the tax year, and the tax is paid by 30 June (art. 92 and 93 ZKPO). The tax year is the calendar year (art. 21 ZKPO) and the rate is 10% (art. 20). The law gives no standing extension. DOPK art. 22(7) moves a time limit that ends on a non-attendance day to the next attendance day, and art. 22(4) says a limit counted in months ends on the same day number of the last month, or on its last day.
Filings and deadlines
#| # | Filing | When | Who | Source |
|---|---|---|---|---|
| 1 | CbC notification to the NRA (уведомление) Each Bulgarian group member tells the NRA, no later than the last day of the group's reporting year, whether it is the ultimate parent, a surrogate parent or a member that must report. Other members name the reporting entity and its country (art. 143ш(1) and (2) DOPK). The date is the last day of the year itself and is not moved for weekends, because the duty must be met within that year. A missed notification is fined BGN 50,000 to 150,000 (art. 278а(4)). | Last day of the fiscal year (e.g. Dec 31, 2025) | Bulgarian tax resident entities of groups with consolidated revenue above EUR 750m in the year before the reporting year. | Art. 143ш and 278а DOPK (Tax and Social Insurance Procedure Code) |
| 2 | Annual corporate income tax return (годишна данъчна декларация) Filed from 1 March to 30 June of the year after the tax year with the NRA office where the company is registered, together with the annual activity report (art. 92(2) and (3) ZKPO). The tax year is the calendar year (art. 21 ZKPO). The tax is due by 30 June as well, after advance payments (art. 93(1)). No standing extension was found. Under art. 22(7) DOPK a limit that ends on a Saturday, Sunday or other non-attendance day moves to the next attendance day. A late return is fined BGN 500 to 3,000 (art. 261 ZKPO). | Fixed calendar date (e.g. Jun 30, 2026) | All companies that pay corporate tax. A company that did no business activity in the year files only if tax is due or it wants to declare other data (art. 92(4) ZKPO). | Art. 92 and 93 ZKPO (Corporate Income Taxation Act) |
| 3 | Local file (местно досие) Must be ready by 30 June of the year after the year it covers (art. 71д(1) DOPK). It is not filed. It is kept and handed to the tax office on request during an audit by the date the office sets (art. 71е(1)). The default time limit is 14 days and the office cannot set less than 7 days (art. 22(1) DOPK). A file not handed over in time counts as not prepared and is fined up to 0.5% of the transaction value (art. 278а(5)). The date is shown without a weekend move because it is a preparation date, not a filing. If art. 22(7) DOPK applies to it, a Saturday or Sunday 30 June would move to the next attendance day. | Fixed calendar date (e.g. Jun 30, 2026) | Local companies, foreign companies with a place of business in Bulgaria and some sole traders with controlled transactions, unless they stay under two of EUR 20m assets, EUR 40m net sales and 250 staff on 31 December of the previous year. A transaction needs a local file when it is over BGN 400,000 (goods, about EUR 204,517) or BGN 200,000 (everything else, about EUR 102,258), or a loan is over BGN 1,000,000 or its interest over BGN 50,000. The tool uses the lowest transaction limit, EUR 102,258, and cannot test the size gate. | Art. 71б, 71д, 71е and 278а DOPK (Tax and Social Insurance Procedure Code) |
| 4 | Country-by-country report (отчет по държави) Filed electronically with the NRA within 12 months counted from the end of the group's reporting year (art. 143ф(1) DOPK). A report filed late or not filed is fined BGN 100,000 to 200,000, and wrong or incomplete data BGN 50,000 to 150,000 (art. 278а(1) and (2)). A limit counted in months ends on the same day number of the last month (art. 22(4)), and one that ends on a non-attendance day moves to the next attendance day (art. 22(7)). | 12 months after year end (e.g. Dec 31, 2026) | Ultimate parent that is a Bulgarian tax resident, or a Bulgarian entity that must step in (art. 143ц DOPK), for groups with consolidated revenue above EUR 750m in the year before the reporting year. | Art. 143ф and 278а DOPK (Tax and Social Insurance Procedure Code) |
| 5 | Pillar Two information return (информационна декларация, GIR) Filed electronically with the NRA by each Bulgarian entity, or by a designated local entity for all of them, no later than 15 months after the last day of the tax period (art. 260я23(2), (3) and (8) ZKPO). For the transitional period, the first tax period in which the group is in scope for Bulgaria, the limit is 18 months (art. 260я19), so 30 June 2026 for a calendar 2024 year. For a first period that started in 2024, § 30 of the State Budget Act for 2025 (SG 26/2025) lets the returns be filed only from 10 January 2026, with the deadline at 18 months after the period end but not before 30 June 2026. The tool applies 18 months to year ends up to 30 December 2025; a group that first comes into scope for Bulgaria later also has 18 months for that first year. No filing is needed in Bulgaria if the parent or a designated entity files in a country with a qualifying agreement, but the notification is then due (art. 260я23(4) and (5)). A limit that ends on a non-attendance day moves to the next attendance day (art. 22(7) DOPK). A missing return is fined BGN 100,000 to 200,000 (art. 279 ZKPO). | 15 months after year end (e.g. Mar 31, 2027) | Groups with consolidated revenue of at least EUR 750m in at least two of the four preceding tax periods, with a constituent entity located in Bulgaria. Large domestic groups are in scope too (art. 260а(2) ZKPO). | Art. 260я19 and 260я23 ZKPO (Corporate Income Taxation Act) |
| 6 | Notification of the entity that files the GIR (уведомление) If the information return is filed abroad by the parent or a designated entity under a qualifying competent authority agreement, the Bulgarian entity (or the designated local entity) tells the NRA who files it and in which country (art. 260я23(5) ZKPO). Notifications have the same time limit as the information return (art. 260я23(8) and 260я19). A missed notification is fined BGN 10,000, or BGN 15,000 for a repeat (art. 279(3)). Counted from the group's year end (the tax period follows the parent's consolidated accounts, art. 260б ZKPO). | With Pillar Two information return (информационна декларация, GIR) (e.g. Mar 31, 2027) | Groups with consolidated revenue of at least EUR 750m in at least two of the four preceding tax periods, with a constituent entity located in Bulgaria. Large domestic groups are in scope too (art. 260а(2) ZKPO). | Art. 260я23(5) and (8) ZKPO (Corporate Income Taxation Act) |
| 7 | Top-up tax return and payment (IIR and UTPR, NRA form 1080) Filed in euro on the NRA form with the NRA office where the taxpayer is registered, and the tax is paid by the same date as the information return: 15 months after the tax period, or 18 months for the transitional period (art. 260я23(9), (10) and 260я19 ZKPO). The form number 1080 comes from a trade report on a Ministry of Finance order, not from the law. A missing return is fined BGN 100,000 to 200,000 (art. 279(1)). Counted from the group's year end (the tax period follows the parent's consolidated accounts, art. 260б ZKPO). | With Pillar Two information return (информационна декларация, GIR) (e.g. Mar 31, 2027) | Bulgarian taxpayers that owe primary top-up tax (art. 260е) or secondary top-up tax (art. 260к) for the tax period. | Art. 260я23(9) and (10) ZKPO (Corporate Income Taxation Act) |
| 8 | National top-up tax return and payment (QDMTT, NRA form 1081) Filed on the NRA form with the NRA office where the taxpayer is registered, based on the information return, and the tax is paid by the same date (art. 260я28(1) and 260я29 ZKPO). The time limits are those of art. 260я19 and 260я23(8): 15 months after the tax period, or 18 months for the transitional period. The form number 1081 comes from a trade report on a Ministry of Finance order, not from the law. A missing return is fined BGN 100,000 to 200,000 (art. 279(1)). Counted from the group's year end (the tax period follows the parent's consolidated accounts, art. 260б ZKPO). | With Pillar Two information return (информационна декларация, GIR) (e.g. Mar 31, 2027) | Bulgarian entities taxed at a low rate that owe national top-up tax, including entities of large domestic groups and joint ventures (art. 260я25 ZKPO). | Art. 260я25 to 260я29 ZKPO (Corporate Income Taxation Act) |
| 9 | Master file (обобщено досие) The entity must have the master file for the ultimate parent's tax year that starts on 1 January or later in the year the local file covers, no later than 12 months after the local file date (art. 71д(3) DOPK). For a local file covering 2026 (due 30 June 2027) that is 30 June 2028. It is not filed and is handed over on request in an audit (art. 71е(1)). A missing master file costs BGN 5,000 to 10,000 (art. 278а(6)). Shown without a weekend move because it is a preparation date. | Fixed calendar date (e.g. Jun 30, 2027) | Any person that must prepare a local file and belongs to a multinational group. The group master file is made by the ultimate parent or another group person; the Bulgarian entity must have it. | Art. 71б(10), 71д(3), 71е and 278а(6) DOPK (Tax and Social Insurance Procedure Code) |
| 10 | Local file update after a corrective return If a corrective annual return under art. 75(3) ZKPO changes data in the local file, the file must be updated within 14 days of filing the corrective return, but no later than 30 September of the current year (art. 71д(2) DOPK). The date depends on when the corrective return is filed, so no fixed date is shown. | See note | Companies that must keep a local file and later file a corrective annual tax return that changes data in it. | Art. 71д(2) DOPK (Tax and Social Insurance Procedure Code) |
| 11 | Notice of the start of the initial phase of international activity The designated filing entity tells the tax authority of the EU state where it is located about the start of the five-year initial phase of international activity (art. 260я18(6) ZKPO). The law gives no deadline, so no date is shown. | See note | Groups with consolidated revenue of at least EUR 750m in at least two of the four preceding tax periods, with a constituent entity located in Bulgaria. Large domestic groups are in scope too (art. 260а(2) ZKPO). | Art. 260я18(5) and (6) ZKPO (Corporate Income Taxation Act) |
