The law
#The arm's length principle is in §1 Außensteuergesetz (AStG), with hidden profit distribution and hidden capital contribution rules also applying. Documentation duties are in §90(3)-(4) Abgabenordnung (AO) and the Gewinnabgrenzungsaufzeichnungsverordnung (GAufzV). Germany follows the OECD Guidelines through the BMF administrative principles (Verwaltungsgrundsätze Verrechnungspreise 2024, 12 Dec 2024).
Documentation
#Every taxpayer with cross-border related-party dealings must keep TP records: a transaction matrix (Transaktionsmatrix), a factual description (local file) and an arm's length analysis. A master file (Stammdokumentation) is also needed if the German company's own revenue was at least EUR 100m in the prior fiscal year. Records are normally only handed over on request, within 30 days. In a tax audit the transaction matrix, master file and records on extraordinary transactions must be handed over within 30 days of the audit order, without a separate request. Records on extraordinary transactions (restructurings, major long-term contracts, function transfers, cost sharing) must be prepared contemporaneously, which counts as met if done within 6 months after the end of the fiscal year. Small companies (related-party goods transactions up to EUR 6m and other remuneration up to EUR 600k) get simplified rules. Records should be in German unless the tax office allows another language.
Methods
#OECD methods are accepted (CUP, resale price, cost plus, TNMM, profit split). §1(3) AStG sets an interquartile range approach: if the price is outside the range, the adjustment goes to the median. Hypothetical arm's length test applies when no comparables exist, and special rules cover function transfers and financing (§1(3d)-(3e) AStG).
Penalties
#If records are missing or unusable, the tax office may presume higher German income and use the edge of the range against the taxpayer (§162(3) AO). Surcharge of 5% to 10% of the income adjustment, minimum EUR 5,000 (§162(4) AO). Late submission: up to EUR 1m, at least EUR 100 per full day late. In audits, a delay penalty under §200a AO of EUR 75 per day (max 150 days) can apply, plus a surcharge for large taxpayers. Failing to file the CbC report on time can be fined up to EUR 10,000 (§379(2) no. 1c and (5) AO).
Pillar Two
#Germany's Mindeststeuergesetz applies the IIR and a QDMTT to fiscal years starting after 30 December 2023 and the UTPR after 30 December 2024. Group entities file the Mindeststeuer-Bericht (GIR) with the BZSt unless it is filed centrally abroad, and the group parent files a minimum tax return. Both are due 15 months after year end, 18 months for the first year, never before 30 June 2026; payment follows one month after filing.
Other rules
#Unilateral and bilateral APAs are available (§89a AO), with fees under §178a AO. Interest deduction is limited by the interest barrier (§4h EStG, 30% of tax EBITDA, EUR 3m exemption). Adjustments generally take the form of hidden profit distributions (which can trigger dividend withholding tax) or hidden capital contributions, so secondary effects can arise. Mutual agreement procedures follow tax treaties and the EU Arbitration Convention/Directive.
Filings and deadlines
#| # | Filing | When | Who | Source |
|---|---|---|---|---|
| 1 | Records on extraordinary transactions (prepare contemporaneously) These records must be prepared close in time to the transaction. Preparing them within 6 months after the end of the fiscal year counts as on time (§3 GAufzV). In an audit they must be handed over within 30 days of the audit order, without a separate request. | 6 months after year end (e.g. Jun 30, 2026) | Any taxpayer with extraordinary transactions such as restructurings, major long-term contracts, function and risk transfers, TP strategy changes or cost sharing arrangements. | §3 GAufzV |
| 2 | Country-by-country report (länderbezogener Bericht) to the BZSt Filed electronically with the Federal Central Tax Office (BZSt) no later than one year after the end of the fiscal year. | 12 months after year end (e.g. Dec 31, 2026) | German ultimate parent of a group with consolidated revenue of at least EUR 750m in the prior fiscal year, or a German entity that must file locally. | §138a Abgabenordnung |
| 3 | Corporate income tax return (Körperschaftsteuererklärung) Due 31 July of the year after the calendar year in which the fiscal year ends (§149(2) AO). A non-calendar fiscal year counts in the calendar year it ends in. If a tax advisor prepares the return, the deadline moves to the last day of February of the second following year (§149(3) AO), for example 29 Feb 2028 for a fiscal year ending in 2026. The tax office can call for earlier filing. The COVID-era extensions in Art. 97 §36 EGAO only covered 2020 to 2024. For 2025 returns prepared by an advisor the deadline is 1 March 2027 (28 February 2027 is a Sunday). For 2024 returns prepared by an advisor the deadline was 30 April 2026 (Art. 97 s. 36(3) EGAO). | Extended: return prepared by a tax advisor (s. 149(3) AO) (e.g. Mar 1, 2027); original due date Jul 31, 2026 (moved from Feb 28, 2027, a Sunday) | All German corporations. | §149 Abgabenordnung |
| 4 | CbC notification (statement in the tax return) There is no separate form. The German entity states in its tax return for the fiscal year whether it is the ultimate parent, a surrogate parent, or a constituent entity, and which entity files the CbC report (§138a(5) AO). | With Corporate income tax return (Körperschaftsteuererklärung) (extended) (e.g. Mar 1, 2027); original due date Jul 31, 2026 (moved from Feb 28, 2027, a Sunday) | German constituent entities of groups with consolidated revenue of at least EUR 750m in the prior fiscal year. | §138a Abgabenordnung |
| 5 | Mindeststeuer-Bericht (GloBE Information Return) File with the BZSt 15 months after fiscal year end, 18 months for the group's first reporting year, never before 30 June 2026. Not needed if the parent or a designated filer files it in an EU state or a country with an exchange agreement. Late or missing filing: fine up to EUR 30,000. | 15 months after year end (e.g. Mar 31, 2027) | Groups with consolidated revenue of at least EUR 750m in at least two of the four preceding fiscal years. | MinStG § 75 (gesetze-im-internet.de) |
| 6 | Mindeststeuer-Erklärung (top-up tax return) and payment Self-assessed return filed by the group parent (Gruppenträger), due no earlier than the Mindeststeuer-Bericht deadline. Tax is payable one month after the return is filed. IIR and QDMTT apply to fiscal years starting after 30 December 2023; the UTPR after 30 December 2024. | 15 months after year end (e.g. Mar 31, 2027) | Groups with consolidated revenue of at least EUR 750m in at least two of the four preceding fiscal years. | MinStG § 95 (gesetze-im-internet.de) |
| 7 | Transaction matrix and local file (Sachverhalts- und Angemessenheitsdokumentation) Due within 30 days of a request (§90(4) AO). In a tax audit, the transaction matrix must be sent within 30 days of the audit order without a separate request. The tax office can extend the period in justified cases. Rules in this form apply from 1 Jan 2025. | Within 30 days of a tax authority request | Any taxpayer with cross-border related-party transactions. Simplified rules if related-party goods transactions are up to EUR 6m and other remuneration up to EUR 600k (§6 GAufzV). | §90 Abgabenordnung |
| 8 | Master file (Stammdokumentation) Due within 30 days of a request. In a tax audit it must be sent within 30 days of the audit order without a separate request (§90(4) AO). | Within 30 days of a tax authority request | German company that is part of a multinational group and had revenue of at least EUR 100m in the prior fiscal year. | §90 Abgabenordnung |
