The law
#Hong Kong has no separate transfer pricing act. The rules are in Part 8AA of the Inland Revenue Ordinance (Cap. 112), added by the Inland Revenue (Amendment) (No. 6) Ordinance 2018 and in force since 13 July 2018 (transactions entered into before that date are grandfathered). Rule 1 (s.50AAF) says that if a transaction between two persons that meet the participation condition (s.50AAG: one participates directly or indirectly in the management, control or capital of the other, or the same persons participate in both) differs from what independent persons would agree and gives a Hong Kong tax advantage, income or loss is computed as if the arm's length terms applied. Rule 2 (s.50AAK) applies the separate enterprise principle to a permanent establishment, and s.50AAE requires Part 8AA to be read consistently with the OECD rules. Part 8AA also covers corresponding relief for adjustments (ss.50AAM to 50AAO) and advance pricing arrangements (ss.50AAP to 50AAR). The IRD explains the rules in DIPN 58 (documentation and CbC), DIPN 59 (associated persons) and DIPN 60 (permanent establishments), all July 2019. Domestic transactions are covered unless they give no tax advantage.
Documentation
#A Hong Kong entity of a group that has controlled transactions must prepare a master file and a local file within 9 months after the end of its own accounting period (s.58C). The master file follows the OECD five categories. The local file must cover each type of controlled transaction above HKD 220m (property), HKD 110m (financial assets or intangibles) or HKD 44m (other). An entity that meets any two of revenue of HKD 400m or less, assets of HKD 300m or less, and 100 employees or fewer is exempt from both files. The files are not filed with the return. The return and form S2 say whether they are required, and the IRD runs desk-based reviews, usually within 6 months after the return is filed. Keep the files at least 7 years, in English or Chinese. Documents that show reasonable efforts protect against the additional tax.
Methods
#DIPN 59 follows the OECD Guidelines and lists the comparable uncontrolled price, resale price, cost plus, transactional net margin and profit split methods. The most appropriate method for the case is used. If a traditional transaction method and a profit method are equally reliable, the traditional one is preferred (para 103). Other methods are allowed if the file explains why the OECD methods do not work (para 106). Results are shown as a range, and an interquartile range can be used. If the price is outside the range, the adjustment point is usually the median, applied year by year (paras 120 to 122, 126).
Penalties
#For a transfer pricing adjustment under s.50AAF(5), additional tax under s.82A(1C) to (1F) can be up to the tax undercharged, which is lower than the up to three times that applies to other incorrect returns. No additional tax applies if the person proves it made reasonable efforts to find the arm's length amount (s.82A(1G); DIPN 59 paras 127 to 132). Failing to prepare the master and local file is an offence under s.80(2Q): a fine at level 5 (HKD 50,000), a court order to comply, and a level 6 fine (HKD 100,000) for ignoring the order. CbC offences (s.80G) carry a level 5 fine and HKD 500 a day for a continuing failure. Pillar Two offences (s.80O) carry a level 3 fine plus a fine of three times the top-up tax undercharged.
Pillar Two
#Hong Kong added Part 4AA and Schedules 61 to 64 to the Inland Revenue Ordinance by the 2025 Minimum Tax Ordinance (enacted 6 June 2025). The income inclusion rule (IIR) and the Hong Kong minimum top-up tax (HKMTT, a qualified domestic minimum tax) apply to fiscal years beginning on or after 1 January 2025 for groups with revenue of at least EUR 750m in two of the four prior years. The UTPR starts on a date still to be set by notice in the Gazette. Each Hong Kong entity files a top-up tax notification within 6 months after the fiscal year end and one top-up tax return (BIR82, which carries the GIR information) within 15 months (18 months for the group's transition year), through the Pillar Two Portal. One designated local entity can file for all Hong Kong entities, and the GIR can be filed abroad if the other country exchanges it with Hong Kong. Top-up tax is deemed profits tax and is paid one month after the filing deadline or the assessment notice, whichever is later. Part 4AA entities must also e-file their profits tax return from 2025/26.
Other rules
#Groups with consolidated revenue of at least HKD 6.8bn (or the EUR 750m equivalent in the parent's currency for a foreign-parented group) file a CbC return through the CbC Reporting Portal within 12 months after the accounting period. The Hong Kong ultimate parent has the main duty, and every Hong Kong entity notifies the IRD within 3 months. Advance pricing arrangements (3 to 5 years, annual reporting) are available under DIPN 48, with an early engagement request at least 6 months before the start. Mutual agreement procedure requests go to the competent authority under the tax treaties (form IR1454, DIPN 45). The profits tax return is issued each April. The normal due date is one month after issue, and tax representatives get the Block Extension Scheme dates by accounting date code (N, D, M). Entities of in-scope Pillar Two groups must e-file and get one more month. Under Cap. 1 s.71(1), a deadline that falls on a Sunday, a general holiday, or a gale or black rainstorm warning day moves to the next day that is none of these. A Saturday is not covered, so only Sundays and general holidays are rolled here. Gale and black rainstorm days cannot be known in advance and are not shown.
Filings and deadlines
#| # | Filing | When | Who | Source |
|---|---|---|---|---|
| 1 | CbC reporting notification (section 58H) Filed within 3 months after the end of the accounting period, through the CbC Reporting Portal (s.58H(2)). It says whether the entity is the ultimate, surrogate or other filing parent, or who is. A registered CbC Reporting Account and an e-Cert (Organisational) with AEOI functions are needed. Failure is an offence under s.80G, a fine at level 5, plus HKD 500 a day while it continues after conviction. A date that falls on a Sunday, a general holiday, or a day with a gale warning (typhoon signal 8 or above) or black rainstorm warning in force moves to the next day that is none of these (Interpretation and General Clauses Ordinance, Cap. 1, s.71(1)(b) and (c)). A Saturday is a normal day, so a Saturday deadline does not move. | 3 months after year end (e.g. Mar 31, 2026) | Every Hong Kong entity of a reportable group: a multinational group with consolidated revenue in the preceding accounting period of at least HKD 6.8bn, or, if the parent is outside Hong Kong and reports in its own currency, the parent country's threshold or the EUR 750m equivalent (s.58D). A Hong Kong entity need not file if another Hong Kong entity of the group has already filed the notification with all the required details. | IRD: Country-by-Country Reporting |
| 2 | Top-up tax notification (Schedule 63, section 5) Each Hong Kong constituent entity files a notice within 6 months after the end of the fiscal year, every year, through the Pillar Two Portal (Sch. 63 s.5, s.11(4)). It names the Hong Kong entities, the UPE, and where the GIR will be filed (Hong Kong or abroad), and whether a designated filing or local entity will file. One entity can file for all the others. Failure is an offence under s.80O: a fine at level 3 and a further fine of treble the top-up tax undercharged. | 6 months after year end (e.g. Jun 30, 2026) | Groups with consolidated revenue of at least EUR 750m in at least two of the four preceding fiscal years, with a constituent entity (or joint venture) located in Hong Kong. Fiscal years beginning on or after 1 January 2025. | Inland Revenue (Amendment) (Minimum Tax for Multinational Enterprise Groups) Ordinance 2025, Schedule 63 (Ord. No. 21 of 2025, IRD copy) |
| 3 | Profits tax return (BIR51 for corporations, with supplementary forms) For 2025/26 (year ends 1 April 2025 to 31 March 2026) the returns were issued on 1 April 2026. One month ran to 1 May, a general holiday, and the IRD set the due date at 4 May 2026. A tax representative can use the Block Extension Scheme: N code (year ends 1 April to 30 November) no extension; D code (December year end) 31 August 2026, moved from 17 August by the IRD circular of 14 July 2026; M code (1 January to 31 March year end) 30 November 2026, moved from 16 November by the circular of 20 October 2026; M code loss cases 1 February 2027 on application. E-filing adds one more month: N code 4 June 2026, D code 2 October 2026, M code 30 December 2026. Entities of in-scope Pillar Two groups (Part 4AA entities) must e-file from 2025/26 and get this month without applying if they told the IRD of their status before March 2026; others must apply at least 7 working days before the due date. A first return after registration is due 3 months from issue. The IRD sets new dates each year, so later years show 'See note' until its circular letter (normally March) is out. Late filing can lead to an estimated assessment and penalties under s.80 or s.82A. | Extended: Block Extension Scheme for returns lodged by a tax representative (D code and M code; N code has no extension) (e.g. Aug 31, 2026); original due date May 4, 2026 | Every company carrying on a trade or business in Hong Kong that receives a return. The IRD issues returns once a year, in bulk, on the first working day of April, and the due date printed on page 1 of the return is normally one month after issue. | IRD: Block Extension Scheme circular letter for 2025/26 (19 March 2026), with the D code (14 July 2026) and M code (20 October 2026) circulars |
| 4 | Transfer pricing declarations in the profits tax return and supplementary form S2 The entity declares in the return and in supplementary form S2 whether it is required to prepare a master file and a local file under section 58C. The files themselves are not filed with the return. Where supplementary forms are required, they must be e-filed. The date follows the profits tax return. | With Profits tax return (BIR51 for corporations, with supplementary forms) (extended) (e.g. Aug 31, 2026); original due date May 4, 2026 | Every company with a profits tax return. It must say whether it had controlled transactions with associated entities and whether it must prepare a master file and local file. | IRD: Transfer Pricing Documentation, Master File and Local File |
| 5 | Master file (Part 9A, section 58C) Must be prepared no later than 9 months after the end of the Hong Kong entity's own accounting period (s.58C(2)(a)), for accounting periods beginning on or after 1 April 2018. It is not filed with the return. Have it ready for the Assessor on request, in English or Chinese, and keep it for at least 7 years. Failure is an offence under s.80(2Q), a fine at level 5 (HKD 50,000), with a court order to comply and a further level 6 fine (HKD 100,000) if the order is ignored. | 9 months after year end (e.g. Sep 30, 2026) | A Hong Kong entity (tax resident or permanent establishment) of a group in the extended sense that has transactions with associated entities. It is exempt if it meets any two of: revenue not above HKD 400m, assets not above HKD 300m, average employees not above 100 (for the accounting period). It is also exempt if every type of controlled transaction is at or below: property HKD 220m, financial assets HKD 110m, intangibles HKD 110m, other transactions HKD 44m. The tool does not test these limits, so check them by hand. | IRD: Transfer Pricing Documentation, Master File and Local File |
| 6 | Local file (Part 9A, section 58C) Prepared within 9 months after the end of the Hong Kong entity's accounting period (s.58C(2)(a)). It must hold the information in Part 3 of Schedule 17I. The benchmarking study and comparables can be rolled forward for up to 3 years if conditions stay consistent, but the file is reviewed every year. The IRD runs desk-based reviews, normally within 6 months after the return is filed, and may ask for the files and form IR1475. | 9 months after year end (e.g. Sep 30, 2026) | Same entities and exemptions as the master file. The local file also leaves out any type of controlled transaction at or below the amounts above, and specified domestic transactions. | IRD: Transfer Pricing Documentation, Master File and Local File |
| 7 | Country-by-country return (CbC return, sections 58E and 58F) The filing deadline is 12 months after the end of the accounting period, or the earlier date given in the Assessor's notice (s.58B(3)). If a surrogate parent files elsewhere and the foreign filing date is later, the foreign filing date applies. The report is an XML file filed through the CbC Reporting Portal. The first period was one beginning on or after 1 January 2018. | 12 months after year end (e.g. Dec 31, 2026) | The Hong Kong ultimate parent of a reportable group (HKD 6.8bn, or the EUR 750m equivalent for a foreign parent, s.58D). Other Hong Kong entities file only if the parent is not required to file, there is no exchange arrangement, or there has been a systemic failure to exchange, unless a Hong Kong entity or a surrogate parent files. | IRD: Country-by-Country Reporting |
| 8 | Top-up tax return (BIR82), which includes the GloBE Information Return Due 15 months after the end of the fiscal year, or the earlier date in an Assessor's notice (Sch. 63 s.9(1)). It is 18 months for the group's transition year, which the law defines as the earliest fiscal year in which any group entity is subject to a qualified IIR, UTPR or the HKMTT in Hong Kong or elsewhere (s.9(2),(3)); it is not tied to Hong Kong's own first year. Most groups were already under such a rule elsewhere in 2024, so this tool shows 15 months; a group whose first year under any such rule is its 2025 year has 18 months. One return covers the IIR, UTPR and HKMTT. Filing is online only (Pillar Two Portal return function opened 26 October 2026). The GIR part is not needed if the group files the GIR in a jurisdiction that exchanges it with Hong Kong (the GIR MCAA was signed 21 April 2026), but the notification must say so. | 15 months after year end (e.g. Mar 31, 2027) | Groups with consolidated revenue of at least EUR 750m in at least two of the four preceding fiscal years, with a constituent entity (or joint venture) located in Hong Kong. Fiscal years beginning on or after 1 January 2025. | Inland Revenue (Amendment) (Minimum Tax for Multinational Enterprise Groups) Ordinance 2025, Schedule 63 (Ord. No. 21 of 2025, IRD copy) |
| 9 | Payment of top-up tax (IIR, UTPR and HKMTT) The top-up tax is assessed from the return, with no provisional tax. Payment is due one month after the filing deadline or the date of the notice of assessment, whichever is later, so the date shown is the earliest it can fall. The group can name one or more designated paying entities for the HKMTT and UTPR tax. The objection period is 2 months from the notice. The 18-month transition year gives 19 months here. | 16 months after year end (e.g. Apr 30, 2027) | Groups with consolidated revenue of at least EUR 750m in at least two of the four preceding fiscal years, with a constituent entity (or joint venture) located in Hong Kong. Fiscal years beginning on or after 1 January 2025. | IRD: Global minimum tax and Hong Kong minimum top-up tax for MNE groups |
| 10 | Assessor's notice to prove arm's length amount (section 50AAF(3)) and desk-review requests The Assessor can give a notice requiring the person to prove, within a reasonable time stated in the notice, that the income or loss in its return is the arm's length amount (s.50AAF(3)). If the person fails, the Assessor estimates an amount (s.50AAF(5)). Desk-review letters ask for IR1475 and the files. The response time is set in each notice, not in the law. | See note | Any person with associated-person transactions that the Assessor selects. | DIPN 59: Transfer Pricing between Associated Persons |
| 11 | Group code application (form IR1485) and Business Tax Portal account No deadline is set by law. A unique MNE group code (and a JV code if relevant) is needed to complete the top-up tax notification, so apply early on paper form IR1485. The notifying entity also needs a Business Tax Portal account for the Pillar Two Portal, and the signer needs an e-Cert (Organisational) with AEOI functions. | See note | Groups with consolidated revenue of at least EUR 750m in at least two of the four preceding fiscal years, with a constituent entity (or joint venture) located in Hong Kong. Fiscal years beginning on or after 1 January 2025. | IRD: Global minimum tax and Hong Kong minimum top-up tax for MNE groups |
| 12 | GIR filing in Hong Kong if foreign exchange fails (Schedule 63, section 7) If a notification said the GIR would be filed abroad but the foreign authority does not pass it to the Commissioner by the exchange date, the Commissioner can send a notice. The Hong Kong entity must then comply by the later of 60 days after the notice or the date the notice states (s.7). | Within 60 days of a tax authority request | Groups with consolidated revenue of at least EUR 750m in at least two of the four preceding fiscal years, with a constituent entity (or joint venture) located in Hong Kong. Fiscal years beginning on or after 1 January 2025. | Inland Revenue (Amendment) (Minimum Tax for Multinational Enterprise Groups) Ordinance 2025, Schedule 63 (Ord. No. 21 of 2025, IRD copy) |
