The law

#

Turkey applies the arm's length principle in article 13 of the Corporate Tax Law No. 5520 (CTL), called disguised profit distribution through transfer pricing. If a company buys or sells goods or services (loans, rents and pay included) with a related person at a price that is not arm's length, the profit is treated as distributed in whole or in part (art. 13(1)). Related persons include shareholders and anyone linked by management, control or capital, and ownership links need at least 10% of capital, votes or profit (art. 13(2)). Dealings with persons in places the President announces are treated as related party dealings. The detail is in Presidential Decision 2007/12888 and the General Communiqué on Disguised Profit Distribution through Transfer Pricing (Serial No. 1, changed in 2008, 2017, 2020 and 2024). A disguised distribution is treated as a dividend on the last day of the accounting period (art. 13(6)), and for two Turkish taxpayers an adjustment needs a loss to the Treasury (art. 13(7)).

Documentation

#

The annual transfer pricing report (the local file) is prepared by the end of the corporate income tax return filing period, which in practice is the last day of the 4th month after the year end, and shown on request. It covers all related party dealings for companies at the Istanbul Large Taxpayers Tax Office and foreign related party dealings for others, with no money threshold. The master file (Genel Rapor) is prepared by the end of the next accounting period, by companies of multinational groups with total assets and net sales both at TL 500m or more in the previous year, and shown on request. A form on transfer pricing, controlled foreign companies and thin capitalization goes in with the return, and dealings with a related person below TL 30,000 a year can be left out. Documents in another language need a Turkish translation.

Methods

#

Companies use the method that best fits the transaction: comparable price, cost plus, resale price, or a transactional profit method (transactional net margin or profit split). If none works, the taxpayer may use its own method (art. 13(4)). A result inside a range of comparable prices is accepted, and a price outside the range is moved to the mean, mode, median or another reasonable point in the range (Communiqué section 4.2). A company can agree a method with the Revenue Administration in an advance pricing agreement for up to three years, which can cover open past years (art. 13(5)), and the President may extend this to five years (art. 13(9)).

Penalties

#

A transfer pricing adjustment brings a tax loss penalty of 100% of the tax lost (VUK art. 344), three times that for the fraud acts in art. 359, plus late payment interest. The penalty is cut by 50% if the transfer pricing documentation was complete and on time (CTL art. 13(8)). Late, missing or wrong reports, notifications and forms are penalised under the Tax Procedure Law, usually as a special irregularity penalty (VUK repeated art. 355). For 2026 that penalty is TL 35,000, 17,000 or 8,700 depending on the taxpayer class, and it doubles if the duty is still not met after a new deadline. No penalty written specially for CbC or Pillar Two filings was found.

Pillar Two

#

Law 7524 (2024) added Part 5 (additional articles 1 to 13) to the CTL. The domestic minimum top-up tax (DMTT) and the global top-up tax under the income inclusion rule (IIR) apply to accounting periods that start in 2024 or later, and the undertaxed profits rule (UTPR) to periods that start in 2025 or later. They cover groups with consolidated revenue above the Turkish lira equivalent of EUR 750m in at least two of the four prior periods. The global top-up tax return, with the GloBE Information Return attached, and the tax are due by the last day of the 15th month (18 months for 2024 and for first-time filers). The DMTT return and payment are due in the 12th month after the year end. For 2024 GİB extended the DMTT date to 28 January 2026 and the global top-up tax date to 31 July 2026. Turkish entities that are not parents file a notification form, and transitional safe harbours apply (temporary art. 17).

Other rules

#

Thin capitalization applies when debt from shareholders or related persons exceeds three times equity at any time in the year, and interest on the excess is treated as a disguised profit distribution (CTL art. 12). Controlled foreign company income is taxed in Turkey when Turkish residents control at least 50%, passive income is at least 25% of gross revenue and the foreign tax burden is below 10% (CTL art. 7). A Turkish parent or surrogate of a group with consolidated revenue of EUR 750m or more files a CbC report within 12 months, and every Turkish group member files a CbC notification within 6 months of the year end. The law says the corporate tax return is due on the 25th of the 4th month, but since 2019 GİB has moved it to the last day of that month (VUK Circular 115). A last day on an official holiday or a weekend moves to the next working day (VUK art. 18(4); GİB treats Saturday as a holiday, for example VUK Circulars 119 and 188). Turkish laws, communiqués and circulars are free of copyright (FSEK art. 31).

Filings and deadlines

#
#FilingWhenWhoSource
1Corporate income tax return (Kurumlar Vergisi Beyannamesi) Filed electronically from the 1st to the last day of the 4th month after the accounting period ends, for example 30 April for a calendar year. The law says the 25th (CTL art. 14(3)), but GİB moved the end of the filing period to the end of the payment period from 1 April 2019 'until a new determination' (VUK Circular 115), and its deadline table still says the last day. GİB often extends the date a few days by circular (5 May 2025 for 2024, VUK Circular 188). A last day on an official holiday or a weekend moves to the next working day (VUK art. 18(4); GİB treats Saturday as a holiday, for example VUK Circulars 119 and 188).4 months after year end (e.g. Apr 30, 2026)All companies subject to Turkish corporate income tax, including branches and permanent representatives of foreign companies.GİB VUK Circular 115 (29 Mar 2019) and GİB filing deadline table; CTL art. 14(3)
2Corporate income tax payment The tax is paid by the end of the month in which the return is filed (CTL art. 21(1)), so by the last day of the 4th month after the accounting period ends when the return is filed on time. GİB extensions of the return date usually extend payment too (VUK Circular 188). A last day on an official holiday or a weekend moves to the next working day (VUK art. 18(4); GİB treats Saturday as a holiday, for example VUK Circulars 119 and 188).4 months after year end (e.g. Apr 30, 2026)All companies subject to Turkish corporate income tax.CTL art. 21(1) (Law 5520, mevzuat.gov.tr) and GİB filing deadline table
3Form on transfer pricing, controlled foreign companies and thin capitalization (Annex 3) Filled in and sent with the corporate income tax return to the tax office (Communiqué Serial No. 1, section 7.5), so it follows the return date, the last day of the 4th month after the year end. The form also covers controlled foreign company and thin capitalization data. Late, missing or wrong forms bring penalties under the Tax Procedure Law (section 8.1).With Corporate income tax return (Kurumlar Vergisi Beyannamesi) (e.g. Apr 30, 2026)Every corporate tax payer with purchases or sales of goods or services with related persons in the accounting period. Dealings with a related person that total less than TL 30,000 net a year can be left out.TP Communiqué (Serial No. 1) as amended, section 7.5 (Resmî Gazete, 1 Sep 2020)
4Annual transfer pricing report (Yıllık Transfer Fiyatlandırması Raporu) Must be prepared in the Annex 4 format by the end of the corporate income tax return filing period (section 7.3), which is the last day of the 4th month after the accounting period ends (VUK Circular 115). It is not filed. It is kept and shown on request to the tax office or inspectors, and foreign language documents need a Turkish translation. Complete and timely documentation cuts the tax loss penalty on a transfer pricing adjustment by 50% (CTL art. 13(8)). A last day on an official holiday or a weekend moves to the next working day (VUK art. 18(4); GİB treats Saturday as a holiday, for example VUK Circulars 119 and 188).With Corporate income tax return (Kurumlar Vergisi Beyannamesi) (e.g. Apr 30, 2026)Companies registered with the Istanbul Large Taxpayers Tax Office: all dealings with related persons, at home and abroad. Other companies: dealings with related persons abroad. Free-zone companies: domestic related party dealings. Dealings with foreign branches and with related persons in free zones are covered for all. No money threshold.TP Communiqué (Serial No. 1), consolidated GİB text with changes up to Serial No. 5, sections 7.3 and 7.3.1
5CbC reporting notification form (ülke bazlı raporlamaya ilişkin bildirim formu) Given each year through the Digital Tax Office by the end of the 6th month after the end of the reported accounting period (Communiqué section 7.4 as changed by Serial No. 5, from 1 Sep 2024). It says whether the entity is the ultimate parent or surrogate entity and which entity reports for the group. Before September 2024 the date was the end of June of the following year; for a December year end both give 30 June. A last day on an official holiday or a weekend moves to the next working day (VUK art. 18(4); GİB treats Saturday as a holiday, for example VUK Circulars 119 and 188).6 months after year end (e.g. Jun 30, 2026)Turkish members of groups with consolidated revenue of EUR 750m or more in the accounting period before the reported period.TP Communiqué amendment Serial No. 5 (Resmî Gazete 32695, 17 Oct 2024)
6Master file (Genel Rapor) Must be prepared by the end of the accounting period that follows the period concerned (section 7.2), which is 12 months after the year end for a normal 12 month period. It is not filed. It is shown on request to the tax office or inspectors after that date. A master file made by a foreign group entity can be used, with a Turkish translation. This is a preparation duty that ends with an accounting period, so the date is not moved for weekends.12 months after year end (e.g. Dec 31, 2026)Companies that belong to a multinational group and had both total assets and net sales of TL 500m or more in the previous accounting period (balance sheet and income statement attached to that period's return). 7Country-by-country report (ülke bazlı rapor) Prepared and sent electronically (XML through the GİB BTRANS system) by the end of the 12th month after the reported accounting period (section 7.4). If the ultimate parent is in Turkey, it files even if another country already got a report from a surrogate. Missing, late or wrong reports bring penalties under the Tax Procedure Law (section 8.1). A last day on an official holiday or a weekend moves to the next working day (VUK art. 18(4); GİB treats Saturday as a holiday, for example VUK Circulars 119 and 188).12 months after year end (e.g. Dec 31, 2026)Ultimate parent or surrogate entity resident in Turkey of a group with consolidated revenue of EUR 750m or more in the accounting period before the reported period. The return is due even when no tax arises. One Turkish entity can file and pay for all, which frees the others, though all stay jointly liable if it is not paid in full (add. art. 10(5)). The first return, for 2024, was due 31 Dec 2025; GİB moved it to 15 Jan 2026 and then 28 Jan 2026 (VUK Circulars 193 and 195). It can be filed by one Turkish entity for the others. A Turkish taxpayer does not file it if it is filed in a country with a qualifying competent authority agreement, but the return must then say which country and which entity filed it.With Global minimum top-up tax return (Küresel ATV Beyannamesi): income inclusion rule (e.g. Mar 31, 2027)Groups with consolidated revenue above the Turkish lira equivalent of EUR 750m in at least two of the four preceding accounting periods, with a constituent entity in Turkey (CTL add. art. 1(1)).CTL add. art. 8(5) (Law 5520, mevzuat.gov.tr)
