The law

#

The arm's length rule is in section 2 of the Ligningslov (LL § 2). It covers taxpayers that are controlled by, control, or are in the same group as another person, and taxpayers with a foreign permanent establishment. It also lets a taxpayer avoid secondary adjustments by committing to payment on arm's length terms if the other country taxes the same way (LL § 2(5)). A simplified approach for baseline distribution (OECD Chapter IV annex) applies to listed countries (LL § 2 B, from income year 2025). Documentation and reporting duties are in the Skattekontrolloven (SKL) §§ 37-52 and the TP documentation order (BEK 883 of 24 June 2025). The tax agency applies the OECD Transfer Pricing Guidelines, in their latest version, when it reads LL § 2.

Documentation

#

Every taxpayer with controlled transactions must report them in the tax return (oplysningsskema, SKL § 38). A taxpayer with cross-border controlled transactions must also prepare and file a master file (fællesdokumentation) and a country-specific file (landespecifik dokumentation), and file them no later than 60 days after the tax return deadline (SKL § 39(3)). For a December year end that is 29 August of the next year (60 days after 30 June). From income year 2025, an extension of the tax return also extends the documentation deadline. No documentation is needed if total controlled transactions (excluding receivables and debt) in the year are under DKK 5m and controlled receivables and debt at year end are under DKK 50m (SKL § 39(2)), with exceptions for intangibles and for counterparties in non-EU/EEA countries without an information exchange agreement. Small groups (under 250 employees and either balance sheet under DKK 195m or turnover under DKK 391m) only document transactions with counterparties in non-EU/EEA countries that have no tax treaty with Denmark (SKL § 40). Documentation can be in Danish, Norwegian, Swedish or English. On audit, the agency can ask for more material and for database searches (60 to 90 days).

Methods

#

The order requires the most appropriate method to be named and explained for each category of transactions, with the tested party, comparables and any adjustments (BEK 883 § 5). The methods in the OECD Guidelines are accepted. The Danish courts have said that profits outside the interquartile range are not enough by themselves to prove a non-arm's-length price (Supreme Court, SKM2025.295.HR).

Penalties

#

Late or missing documentation can lead to a fine under SKL § 84(1) no. 5 if the failure is intentional or grossly negligent. Under the tax agency's practice (Juridisk Vejledning) the base fine is DKK 250,000, cut to half if proper documentation is prepared later, plus 10% of any income increase. The agency can also impose daily coercive fines (SKL § 72) and make a discretionary assessment of the controlled transactions (SKL § 46). Filing the tax return late, including the controlled transactions information, carries a surcharge of DKK 400 a day, up to DKK 10,000 (SKL § 73, rates raised by Act 16 of 14 January 2025). A late CbC report or CbC notification can be fined (SKL § 84(1) no. 5). The DKK 250,000 base fine comes from the Juridisk Vejledning, not from the statute text.

Pillar Two

#

The Minimumsbeskatningsloven (Act 1535 of 12 December 2023, consolidated as LBK 1089 of 2 September 2025) applies the IIR and the QDMTT to financial years starting on or after 31 December 2023, and the UTPR to financial years starting on or after 31 December 2024 (earlier if the parent is in an EU state that used the Article 50 delay). It covers groups with revenue of at least EUR 750m in two of the four prior years. Each Danish group entity must notify the tax agency within 6 months after the reporting year (MBL § 55), and file the standard GIR form 15 months after the reporting year, or 18 months for the first (transition) year, never before 30 June 2026 (MBL § 53(4)). The top-up tax is due 2 months after the GIR deadline (17 or 20 months after year end, never before 30 August 2026). There is no separate top-up tax return. If the GIR is filed in another country under an exchange agreement, the Danish entity only gives a notice of who files it.

Other rules

#

The tax return (oplysningsskema) for companies is due 6 months after the year end, so 30 June for a December year end (SKL § 12). SKL § 13 lets a taxpayer file on time by 9.00 on the next working day if the deadline falls on a weekend or public holiday, or on the day before one. This is the legal basis for rollWeekends, and it covers only the tax return (and the controlled transactions answers in it). Documentation, CbC and Pillar Two dates do not move. The tax agency can extend the return deadline on request if there are special circumstances (SKL § 14(1)). The CbC report is due 12 months after the year end for Danish ultimate parents of groups with revenue of at least DKK 5.6bn (SKL § 48). Danish statutes, orders and similar official texts are free of copyright (ophavsretsloven § 9(1)).

Filings and deadlines

#
#FilingWhenWhoSource
1CbC notification (who files the CbC report) Notify the tax agency electronically before the end of the income year that the CbC report covers (SKL § 51). A Danish ultimate or surrogate parent says it will file. Any other Danish group company says which group company files and where it is resident (§ 51(2)). The date does not move for weekends.Last day of the fiscal year (e.g. Dec 31, 2025)Danish group entities of multinational groups with consolidated revenue of at least DKK 5.6 billion in the prior financial year (about EUR 750m).Skattekontrolloven § 51 (retsinformation.dk)
2Corporate income tax return (oplysningsskema for selskaber) Due 6 months after the end of the income year, so 30 June for a December year end (SKL § 12(1)). A year that ends in March is due 1 September of the same year (SKL § 12(2)). If the deadline falls on a Saturday, Sunday or public holiday, or on the day before one, the return is on time if filed by 9.00 on the next working day (SKL § 13). The tool only moves dates that fall on the weekend or holiday itself. The tax agency can extend the deadline on request for special reasons (SKL § 14(1)). A late return carries a surcharge of DKK 400 a day, up to DKK 10,000 (SKL § 73 as amended by Act 16 of 14 January 2025).6 months after year end (e.g. Jun 30, 2026)All companies and other legal persons subject to Danish corporate income tax (except estates under the Estates Tax Act).Skattekontrolloven §§ 12-14 (retsinformation.dk)
3Controlled transactions information in the tax return (SKL § 38) The company answers the controlled transaction questions inside the tax return (TastSelv Selskabsskat), so the deadline is the same as the return. Other legal persons can use form 05.021 (English 05.022) as an attachment to the return. From income year 2025, a taxpayer whose only controlled transactions are exempt from documentation under SKL § 39(2) only has to report them under § 38.With Corporate income tax return (oplysningsskema for selskaber) (e.g. Jun 30, 2026)Every taxpayer that has controlled transactions with related parties. There is no size threshold for this information.Skattekontrolloven §§ 37-39 (retsinformation.dk)
4Pillar Two registration (notice that the entity is covered by the Act) Each Danish group entity (or a designated local entity for it) notifies the tax agency within 6 months after the end of the reporting year (MBL § 55(1)). From 1 January 2026 the notice states name, address, CVR or SE number and the reporting year it covers, and changes must be reported within 30 days (BEK 1299 of 12 Nov 2025). The first notice for a December 2024 year end was due 30 June 2025. The date does not move for weekends.6 months after year end (e.g. Jun 30, 2026)Danish group entities of groups with revenue of at least EUR 750m in at least two of the four prior financial years (MBL § 1).Minimumsbeskatningsloven § 55 (retsinformation.dk)
5Master file (fællesdokumentation), filed with the tax agency File no later than 60 days after the tax return deadline (SKL § 39(3)): 29 August for a December year end, 1 March for a June year end and 31 October for a March year end. SKL § 13 moves only the tax return deadline, so the tool does not move this date. For 2026, 29 August is a Saturday; BDO reported Monday 31 August 2026 as the deadline, but no official source confirms this, so file by the Friday to be safe. From income year 2025 an extension of the return also extends this deadline, and the tax agency can extend it on request for special reasons.6 months after year end, plus 60 days (e.g. Aug 29, 2026) (a Saturday: may move to the next working day)Taxpayers with cross-border controlled transactions, unless total controlled transactions (excluding receivables and debt) are under DKK 5m and controlled receivables and debt at year end are under DKK 50m (SKL § 39(2)). Small groups (under 250 employees and balance sheet under DKK 195m or turnover under DKK 391m) only document transactions with non-EU/EEA counterparties in countries without a tax treaty with Denmark (SKL § 40). The tool tests only the DKK 5m transactions limit; documentation is also needed if controlled receivables and debt reach DKK 50m, so check that by hand.Skattekontrolloven § 39 (retsinformation.dk)
6Country-specific documentation (landespecifik dokumentation), filed with the tax agency File together with the master file, no later than 60 days after the tax return deadline (SKL § 39(3)): 29 August for a December year end. The date does not move for weekends under SKL § 13. Upload is digital through TastSelv Selskabsskat. A fine under SKL § 84(1) no. 5 can follow if it is filed late or is so incomplete it counts as missing.6 months after year end, plus 60 days (e.g. Aug 29, 2026) (a Saturday: may move to the next working day)Same persons and exemptions as the master file (SKL §§ 39 and 40). 7Country-by-country report to Skattestyrelsen Due 12 months after the last day of the income year reported on (SKL § 48(2)). Filed electronically in the OECD XML format. A fine under SKL § 84(1) no. 5 applies if it is intentionally or grossly negligently late. SKL § 13 does not apply, so the date does not move for weekends or holidays.12 months after year end (e.g. Dec 31, 2026)Danish ultimate parent (or Danish surrogate parent or entity that must file locally) of a group with consolidated revenue of at least DKK 5.6 billion in the prior financial year.Skattekontrolloven §§ 48-49 (retsinformation.dk)
8GloBE Information Return (standard form with top-up tax information) Due 15 months after the last day of the reporting year, or 18 months for the transition (first) year, and never before 30 June 2026 (MBL § 53(4)). For 2025 year ends this uses 15 months. If the GIR is filed in another country with an exchange agreement, the Danish entity instead gives a notice naming the filer by the same date. IIR and QDMTT apply to years starting on or after 31 December 2023, the UTPR to years starting on or after 31 December 2024. Late filing can lead to daily coercive fines and a discretionary assessment (MBL §§ 56 and 60). The date does not move for weekends or holidays.15 months after year end (e.g. Mar 31, 2027)Danish group entities of groups with revenue of at least EUR 750m in at least two of the four prior financial years. 9Payment of top-up tax (ekstraskat) to the Danish skattekonto The last timely payment day is 2 months after the GIR deadline that applies under MBL § 53(4) (MBL § 69(1) as amended by Act 1643 of 16 Dec 2025, from 1 January 2026), so 17 months after year end (20 months for the transition year) and never before 30 August 2026. There is no separate top-up tax return in Denmark; the tax is assessed from the GIR. Payment goes to the skattekonto. No rule was found that moves this date for weekends (30 August 2026 is a Sunday), so pay by the Friday before.17 months after year end (e.g. May 31, 2027)Danish group entities with a QDMTT or IIR top-up tax to pay.
