The law

#

Romania's arm's length rule is Article 11(4) of the Fiscal Code (Law 227/2015): deals between affiliated persons follow the market value principle. A person is affiliated at a 25% holding or voting right, or through effective control (art. 7 point 26). If the principle is not met, the tax authority adjusts the result, and if the taxpayer gives no data it estimates, using the central tendency of the market. The rules cover deals between two Romanian companies too. The duty to document is in Tax Procedure Code art. 108(2), and the details are in ANAF Order 828/2026 (Official Gazette 543 of 2 July 2026), which applies to annual files for transactions from 2026 and to audits started after 1 January 2027. Order 442/2016 applies to earlier audits, the OECD Guidelines fill gaps (Order 828 art. 12), and the limitation period is 5 years.

Documentation

#

Large taxpayers on the ANAF list prepare a file every year for each affiliate and transaction type at or above EUR 100,000 (services), EUR 200,000 (financing), EUR 250,000 (intangibles and royalties) or EUR 350,000 (tangible goods). They file it in the Virtual Private Space within 30 working days after the profit tax return deadline, which is early August for a calendar year. Small and medium taxpayers prepare it only when asked in an audit, at EUR 50,000, 100,000, 150,000 and 200,000 for the same four types, with 30 to 60 working days to hand it over, extendable once by 30. There is no separate master file or local file: one file has a group section based on the OECD master file, then company, transaction and comparability sections, and foreign documents need Romanian translations. No file is needed for transactions covered by an advance pricing agreement or an adjustment decision (art. 6).

Methods

#

Article 11(4) lists the comparable price, cost plus, resale price, net margin and profit split methods, plus any OECD method, and the most appropriate one must be used. A transaction is at arm's length if its profitability indicator is inside the interquartile range (Order 828 art. 8), which the Order defines by splitting the comparison range into four equal segments and dropping the first and last (art. 10). If the result is outside the range, the tax office adjusts to the median, and if there are too few comparables for a range it uses at least three and their arithmetic mean (art. 11(2)). A Romanian tested party is benchmarked on Romanian comparables first, then EU and UK, then EMEA, then worldwide (art. 9). Multi-year studies cover at least 3 years.

Penalties

#

Not preparing or not handing over the file is a fine of RON 12,000 to 14,000 for medium and large taxpayers and RON 2,000 to 3,500 for others (Tax Procedure Code art. 336(1)(e) and (2)(c)). A missing or incomplete file also means arm's length pricing is not shown, and ANAF can estimate transfer prices for those transactions and years (Order 828 art. 7). A late or wrong CbC report is fined RON 30,000 to 50,000 and a missing one RON 70,000 to 100,000. Adjustments bring extra profit tax with late interest and penalties. Pillar Two penalties follow Law 207/2015, and using a non-standard information return form is fined RON 10,000 to 30,000 (Tax Procedure Code art. 336(1)(pp), added by Government Ordinance 1/2026).

Pillar Two

#

Law 431/2023, as amended by Government Ordinance 21/2025, applies the income inclusion rule and the domestic top-up tax to fiscal years that start on or after 31 December 2023, and the undertaxed profits rule to years that start on or after 31 December 2024. It covers groups with revenue of at least EUR 750m in two of the four prior years. Each Romanian entity files the top-up tax information return (ANAF Order 218/2026) or, where the group files abroad, the N409 notification, 15 months after year end, or 18 months for the first year in scope. The top-up tax is paid by the same date. A group with several Romanian entities can choose one of them to declare and pay the domestic top-up tax, by filing a notification within 6 months of year end (12 months for the first year). Late and wrong filings follow the penalties in Law 207/2015.

Other rules

#

Groups with consolidated revenue of at least EUR 750m file a country-by-country report (form R404) within 12 months of year end if the ultimate parent is resident in Romania or Romania is the reporting state. Every Romanian entity of such a group sends a notification (form R405) by the last day of the group's reporting year, but not later than its previous-year profit tax return date. Advance pricing agreements are issued by ANAF, and mutual agreement procedures follow the tax treaties and EU Directive 2017/1852. The profit tax return is due on 25 June of the next year for a calendar year, and on the 25th of the 6th month after a modified fiscal year. A date on a weekend or public holiday moves to the next working day, and Orthodox Easter moves each year, so Good Friday, Easter Monday and the Pentecost days move with it.

Filings and deadlines

#
#FilingWhenWhoSource
1CbC notification (notificare, form R405) Each Romanian entity says whether it is the ultimate or surrogate parent or the designated entity, or names the reporting entity and its residence. The deadline is the last day of the group's reporting year, but never later than the last day to file that entity's profit tax return for the previous year (Tax Procedure Code annex 3 section II points 7 and 8). The tool shows the second date, which is 25 June of the reporting year for a calendar year. The ANAF form is named R405 in secondary sources.Day 25 of the 6th month before the year-end month (e.g. Jun 25, 2025)Every Romanian constituent entity of a multinational group with consolidated revenue of at least EUR 750m in the previous fiscal year (or the lei equivalent at the January 2015 average rate).Tax Procedure Code annex 3 section II points 7 and 8
2Corporate income tax return (Declaratia 101, impozit pe profit) From fiscal year 2026 the return is due on 25 June of the next year for a calendar year, and on the 25th of the 6th month after the end of a modified (non-calendar) fiscal year (Fiscal Code art. 42(1) and (2), as changed by GEO 8/2026). The same date was already used for 2021 to 2025 under a temporary rule (GEO 153/2020), so the 25 March date that older sources show no longer applies. A 25 December due date moves to 21 December, or the last working day before it (Tax Procedure Code art. 155(2)), which affects June year ends. A due date on a weekend or public holiday moves to the next working day.Day 25 of the 6th month after year end (e.g. Jun 25, 2026)All companies that pay corporate income tax in Romania, including permanent establishments. Companies that dissolve with liquidation (art. 41(16) and (17)) follow their own dates.GEO 8/2026 art. 6 points 12 and 14, art. 10 (Fiscal Code art. 42)
3Notification of the election of one entity to declare and pay the domestic top-up tax The entity that files the domestic top-up tax return can choose to have one designated Romanian entity declare and pay the tax for all Romanian entities of the group. It makes this choice by filing a notification with the tax office within 6 months of the last day of the reporting fiscal year, or within 12 months for the first year of application (Law 431/2023 art. 48(10) as changed by GO 21/2025). The tax itself is still due by the normal deadline. Other elections last 5 years or 1 year and are reported to the tax office (art. 49).6 months after year end (e.g. Jun 30, 2026)Groups with more than one constituent entity in Romania that want one designated entity to declare and pay the domestic top-up tax. Groups with revenue of at least EUR 750m in at least two of the four preceding fiscal years, with a constituent entity in Romania (Law 431/2023 art. 2(1)).Law 431/2023 art. 48(10) as amended by Government Ordinance 21/2025 (Official Gazette 805 of 29 August 2025)
4Country-by-country report (raportul pentru fiecare tara, form R404) File within 12 months of the last day of the group's reporting fiscal year (Tax Procedure Code art. 291^3(1)). The model is approved by ANAF Order 3049/2017. A late, wrong or incomplete report is fined RON 30,000 to 50,000, and a missing report RON 70,000 to 100,000 (art. 336(1)(u) and (v), (2)(l) and (m)).12 months after year end (e.g. Dec 31, 2026)An ultimate parent entity resident in Romania, or another entity that must report as reporting entity (surrogate parent or designated), of a group with consolidated revenue of at least EUR 750m in the previous fiscal year.Tax Procedure Code art. 291^3 and annex 3
5Top-up tax information return (Declaratie informativa privind impozitul suplimentar, GIR) Filed with the tax office that administers the entity, 15 months after the end of the fiscal year, or 18 months for the group's transition year (Law 431/2023 art. 48(7) and art. 55 as changed by GO 21/2025, ANAF Order 218/2026 art. 3). The entity files electronically using the ANAF assistance program. A designated local entity can file for all Romanian entities, and no Romanian filing is needed if the parent or a designated entity files abroad and the notification is made. The return must use the standard form; using another form is fined RON 10,000 to 30,000 (art. 336(1)(pp) of the Tax Procedure Code, added by Government Ordinance 1/2026).15 months after year end (e.g. Mar 31, 2027)Groups with revenue of at least EUR 750m in at least two of the four preceding fiscal years, with a constituent entity in Romania (Law 431/2023 art. 2(1)).Law 431/2023 art. 48 and 55 (art. 55 as amended by GO 21/2025); ANAF Order 218/2026 art. 3
6Notification on the duty to file the information return (Notificare, form N409) Used when the group return is filed by another entity, such as the parent or a designated filing entity abroad, to name that entity and its country (Law 431/2023 art. 48(4)). It has the same deadline as the return, so 15 months, or 18 months for the transition year (art. 48(7), art. 55). ANAF approved form N409 by Order 218/2026, filed as a signed PDF with XML through the e-government portal. With Top-up tax information return (Declaratie informativa privind impozitul suplimentar, GIR) (e.g. Mar 31, 2027)Groups with revenue of at least EUR 750m in at least two of the four preceding fiscal years, with a constituent entity in Romania (Law 431/2023 art. 2(1)).Law 431/2023 art. 48(4) and (7); ANAF Order 218/2026 annex 3
7Top-up tax and domestic top-up tax: declaration and payment The ultimate parent or other liable Romanian entities declare and pay the top-up tax (IIR, UTPR) within 15 months, and the Romanian constituent entities do the same for the domestic top-up tax (Law 431/2023 art. 48(7) to (9)). For the first year the period is 18 months: art. 55 (as changed by GO 21/2025) makes the 18-month date for the transition year also the payment date, and art. 48(9) and Order 218/2026 art. 3(2) give 18 months for declaring and paying in the first year of application. Penalties follow Law 207/2015 (art. 50). A separate top-up tax return form was not found.15 months after year end (e.g. Mar 31, 2027)Groups with revenue of at least EUR 750m in at least two of the four preceding fiscal years, with a constituent entity in Romania (Law 431/2023 art. 2(1)).Law 431/2023 art. 48(7) to (9) and art. 55 (as amended by GO 21/2025); ANAF Order 218/2026 art. 3
8Transfer pricing file, annual filing for large taxpayers (dosarul preturilor de transfer) Prepare the file by the profit tax return deadline and file it electronically through the Virtual Private Space (SPV) within 30 working days after that deadline (ANAF Order 828/2026 art. 2(2) and (5)). It applies to transactions from 2026, so the first filing is due 6 August 2027 for a calendar year. The date is 30 working days counted from 25 June, skipping weekends and public holidays, so it moves with Easter and other holidays. The tool shows the 30th working day; if the Civil Procedure Code rule that the last day is not counted applies, the true last day may be one working day later. If the file was not filed in SPV, it must be handed over within 5 working days of a request in an audit (art. 4(1)).Starts with years ending on or after 2026-12-30Taxpayers on the ANAF large taxpayer list, for each affiliate and each transaction type at or above: EUR 100,000 services, EUR 200,000 interest on financing, EUR 250,000 intangibles and royalties, EUR 350,000 tangible goods (excluding VAT, BNR rate on the last day of the year). The tool tests only total related-party transactions of EUR 100,000; check large taxpayer status and each type by hand.ANAF Order 828/2026 art. 2 and 4
9Transfer pricing file, on request in a tax audit The file is prepared and handed over only when the tax authority asks for it during an audit. The time given is 30 to 60 working days from the request and can be extended once by up to 30 working days (art. 4(3)). For a request below the thresholds the time is at least 30 working days, with the same single extension (art. 2(11)). The duty to prepare it is in Tax Procedure Code art. 108(2). The 30 days shown are working days.Within 30 days of a tax authority requestSmall and medium taxpayers for each affiliate and each transaction type at or above: EUR 50,000 services, EUR 100,000 interest on financing, EUR 150,000 intangibles and royalties, EUR 200,000 tangible goods (excluding VAT). Below these amounts there is no duty, but ANAF can still ask for a file if its risk analysis supports it. The tool tests only total related-party transactions of EUR 50,000; check each type by hand.ANAF Order 828/2026 art. 2(7), (8), (11) and art. 4(3)
