The law
#The arm's length rule is in Inkomstskattelagen (IL) 14 kap. 19 §. It lets the tax office raise a Swedish company's result if terms with a related party differ from those between independent parties. It only applies if the other side is not taxed on the extra income in Sweden, if the parties have a community of economic interests (20 §), and if the terms do not have another cause. Documentation rules are in Skatteförfarandelagen (SFL) 39 kap. 15 to 16 f §§. The documentation rules also cover permanent establishments.
Documentation
#Companies with transactions with related foreign companies, or a foreign permanent establishment, must keep a two-part file: a group-wide part (master file) and a company-specific part (local file). A company is exempt if its whole group had fewer than 250 employees in the year before and either turnover up to SEK 450m or a balance sheet total up to SEK 400m. Transactions with a foreign related party under SEK 5m a year count as immaterial. The company-specific part must exist when the income tax return is due, and the group-wide part when the parent's return is due. Both go to Skatteverket on request. Swedish, Danish, Norwegian or English may be used.
Methods
#The statute names no methods and sets no ranking. Skatteverket applies the OECD Guidelines. For permanent establishments it uses the functionally separate entity approach. The adjustment is one sided: IL 14 kap. 19 § only lowers a result that was reduced by non-arm's length terms.
Penalties
#There is no fixed fee for missing or poor TP documentation. A TP adjustment is made through the normal rules: a tax surcharge of 40% of the extra tax if an incorrect statement was given (SFL 49 kap. 4, 5 and 11 §§), or, when the error only creates a loss that is not used that year, 40% of one quarter of the wrong loss, in effect 10% (49 kap. 14 §). There is no surcharge if the statement was corrected on the taxpayer's own initiative or the tax at stake is insignificant (49 kap. 10 §), and the fee can be reduced if it is unreasonable (51 kap. 1 §). Skatteverket can also set tax by discretion if the base cannot be worked out (57 kap. 1 §). Late filing of the corporate return costs SEK 6,250. Late Pillar Two filings cost SEK 25,000.
Pillar Two
#The Top-up Tax Act (2023:875) applies the IIR and the Swedish qualified domestic top-up tax to tax years that begin after 31 December 2023, and the UTPR (supplementary rule) to tax years that begin after 31 December 2024. Swedish entities register once within 15 months, file the top-up tax report and any notification within 15 months (18 months the first year, but not before 30 June 2026 for years ended before 31 March 2025), and file the top-up tax return one month later. One entity can apply to carry the UTPR liability within 14 months. Tax is paid after Skatteverket's decision.
Other rules
#Advance pricing agreements are bilateral or multilateral only, under Lag (2009:1289). The fee is SEK 150,000 per country for a new one, and Sweden has no unilateral APAs. Intra-group interest is limited by IL 24 kap. 18 to 20 §§, and net interest by IL 24 kap. 24 § (30% of the tax EBITDA base, or SEK 5m). Skatteverket can reassess to the taxpayer's disadvantage up to six years after the calendar year the tax year ended if an incorrect statement was given (SFL 66 kap. 27 §). Local law moves a deadline that falls on a Saturday, Sunday, public holiday, Midsummer Eve, Christmas Eve or New Year's Eve to the next weekday (Lag 1930:173 2 §).
Filings and deadlines
#| # | Filing | When | Who | Source |
|---|---|---|---|---|
| 1 | CbC notification (underrättelse om land-för-land-rapportering) The notice must reach Skatteverket before the end of the reported financial year (33 a kap. 12 §), so file it by the day before the year end to be safe. This date does not move to the next working day. The entity says whether it is the parent, a surrogate parent or a reporting entity, or otherwise names the group entity that files and its country (8 and 9 §§). Skatteverket has an e-service for it. | Last day of the fiscal year (e.g. Dec 31, 2025) | Every Swedish entity of a multinational group, unless the group had consolidated revenue under SEK 7bn in the year before the reported year (33 a kap. 6 §). | Skatteförfarandelag (2011:1244) 33 a kap. 8, 9 and 12 §§ (riksdagen.se) |
| 2 | Corporate income tax return (Inkomstdeklaration 2, INK2) Set by the year end (SFL 32 kap. 2 §), plus one month for electronic filing. The law lists 1 July for 31 December, 1 November for 30 April, 15 December for 30 June and 1 March for 31 August, and electronic filers get one month more. Skatteverket's table, used here for every year end month (electronic filing): January to April year ends are due 1 December, May to June 15 January, July to August 1 April, and September to December 1 August. A date on a Saturday, Sunday, public holiday, Midsummer Eve, Christmas Eve or New Year's Eve moves to the next weekday (Lag 1930:173 2 §), for example 3 August 2026 for 31 December 2025. There is no automatic extension for companies. A late return costs SEK 6,250, with further fees after 3 and 5 months (48 kap. 6 to 7 §§). | Day 1 of the 8th month after year end (e.g. Aug 3, 2026) (moved from Aug 1, 2026, a Saturday) | All limited companies and other legal persons with a Swedish tax return duty (not estates). | Skatteverket: Deklarera åt ett aktiebolag eller en ekonomisk förening (dates table), and SFL 32 kap. 2 § |
| 3 | Transfer pricing documentation, company-specific part (företagsspecifik del) It must be ready when the income tax return is due (39 kap. 16 d §). It is handed to Skatteverket on request, and the law sets no number of days. Transactions with a foreign related party worth less than SEK 5m in the financial year count as immaterial (39 kap. 16 c §). Swedish, Danish, Norwegian or English may be used (16 e §). The arm's length rule in IL 14 kap. 19 § still applies to exempt companies. There is no fixed fee for missing documentation. | With Corporate income tax return (Inkomstdeklaration 2, INK2) (e.g. Aug 3, 2026) (moved from Aug 1, 2026, a Saturday) | A Swedish company with transactions with a related foreign company, or with a foreign permanent establishment (SFL 39 kap. 16 §). Exempt if the whole group had fewer than 250 employees in the year before and either turnover of at most SEK 450m or a balance sheet total of at most SEK 400m (39 kap. 16 a §). Enter the group's turnover in SEK, not only the Swedish entity's. | Skatteförfarandelag (2011:1244) 39 kap. 15 to 16 f §§ (riksdagen.se) |
| 4 | Transfer pricing documentation, group-wide part (koncerngemensam del, master file) It must be ready no later than when the parent company must file its own income tax return (39 kap. 16 d §). If the parent is Swedish, its date follows the table in 32 kap. 2 §. If the parent is foreign, use the parent's filing date, which this tool does not know. It is handed to Skatteverket on request. It covers an overview of the group and its business (39 kap. 16 b §). | With Corporate income tax return (Inkomstdeklaration 2, INK2) (e.g. Aug 3, 2026) (moved from Aug 1, 2026, a Saturday) | Same scope and exemption as the company-specific part (SFL 39 kap. 16 and 16 a §§). | Skatteförfarandelag (2011:1244) 39 kap. 16 b and 16 d §§ (riksdagen.se) |
| 5 | Country-by-country report (land-för-land-rapport) It must reach Skatteverket within 12 months after the end of the reported financial year (33 a kap. 11 §). For a 31 December year end that is 31 December, which is New Year's Eve, so under Lag 1930:173 2 § it can be filed on the next weekday (for example 4 January 2027); filing by 30 December is safer. It is sent as XML through Skatteverket's file transfer service. There is no fixed fee for a late report, but Skatteverket can order the filing (37 kap. 2 §) with a fine (44 kap. 2 §). | 12 months after year end (e.g. Jan 4, 2027) (moved from Dec 31, 2026, a public holiday) | Swedish parent of a group with consolidated revenue of SEK 7bn or more in the prior year (33 a kap. 4 and 6 §§). A Swedish entity of a foreign-parented group files only if the parent does not have to, there is no exchange agreement, or Skatteverket reports a systemic failure (5 §). | Skatteförfarandelag (2011:1244) 33 a kap. 11 § (riksdagen.se) |
| 6 | Application to name one entity responsible for UTPR top-up tax Due 14 months after the tax year end (Top-up Tax Act 6 kap. 15 §). Skatteverket's example is 2 March 2026 for calendar 2024, because 28 February 2026 was a Saturday. The UTPR applies to tax years beginning after 31 December 2024, so the first normal year is calendar 2025. | 14 months after year end (e.g. Mar 1, 2027) (moved from Feb 28, 2027, a Sunday) | Optional. All Swedish group entities must apply together for one of them to be responsible for the supplementary (UTPR) top-up tax allocated to Sweden. | Skatteverket: Global minimibeskattning (tilläggsskatt) |
| 7 | Notification of the entity that files the top-up tax report (anmälan) Same date as the report: 15 months after the tax year end, 18 months the first time the Top-up Tax Act applies to the group (33 d kap. 13 §). For a year that ended before 31 March 2025 the date is 30 June 2026. Not needed if the Swedish entity files the report itself. | 15 months after year end (e.g. Mar 31, 2027) | Swedish group entities that do not file the report themselves, because the group names one Swedish entity or a foreign entity to file it (SFL 33 d kap. 3 and 4 §§). | Skatteförfarandelag (2011:1244) 33 d kap. 3, 4 and 13 §§ (riksdagen.se) |
| 8 | Top-up tax report (tilläggsskatterapport, GloBE Information Return) Due 15 months after the tax year end, or 18 months the first time the Act applies to the group. A year that ended before 31 March 2025 is due 30 June 2026. Skatteverket says there is no extension. Late filing costs SEK 25,000, with later fees after 3 and 5 months (48 kap. 6 to 7 §§). A serious error can bring a report fee of SEK 250,000 to 5m (49 e kap.). The report is filed in OECD XML format. | 15 months after year end (e.g. Mar 31, 2027) | Swedish group entities of groups with revenue of at least EUR 750m in at least two of the four preceding years. Not needed if the parent or a named entity files it abroad and Sweden has an exchange agreement with that country (33 d kap. 4 §). | Skatteförfarandelag (2011:1244) 33 d kap. 13 § (riksdagen.se) |
| 9 | Top-up tax return (tilläggsskattedeklaration) Due one month after the day the report is due (32 a kap. 7 §), counted by calendar day (Lag 1930:173 1 §): 30 July 2026 for calendar 2024 and 30 April 2027 for calendar 2025. For other year ends the tool takes 16 months (19 the first time) less one day (less three days for November year ends), which gives the exact date for March and June year ends and at most a few days early for others, never late. Skatteverket can grant up to 3 months' extension for special reasons (36 kap. 7 §). Top-up tax is not paid with the return: Skatteverket decides the tax and it falls due on the first due date after 90 days from the decision (62 kap. 8 §). | One month after the top-up tax report is due (e.g. Apr 30, 2027) | Swedish group entities that owe top-up tax (IIR or Swedish QDMTT) or have supplementary UTPR tax allocated to them (SFL 32 a kap. 2 §). | Skatteförfarandelag (2011:1244) 32 a kap. 7 § (riksdagen.se) |
| 10 | Pillar Two registration with Skatteverket (registrering) A one-time registration within 15 months after the end of the tax year in which the duty arose (SFL 7 kap. 2 b §). Skatteverket's examples are 31 March 2026 for calendar 2024 and 30 June 2026 for a year ending 31 March 2025. | One-time: due only for the first year in scope | Swedish group entities of groups with revenue of at least EUR 750m in at least two of the four preceding years (Top-up Tax Act 1 kap. 3 §). | Skatteförfarandelag (2011:1244) 7 kap. 2 b § (riksdagen.se) |
